根据《中华人民共和国合同法》、《中华人民共和国产品质量法》等国家和广东省地方政府部门有关法律法规，双方经过充分友好协商，本着诚实守信、平等互利的原则，就采购商向供应商购买木托盘等（以下简称“产品”）一事，达成如下合同条款。

After full consultation by party A and B, Party A purchase wooden pallets (Below abbr. as Goods) from Party B. Both parties sign this contract on 27th. Jul., 2011 in Party A plant in Zhanjiang in order to ensure right quality and right time to complete this deal, to stipulate clear responsibilities and rights of both parties in accordance with " Contract Law of The People's Republic of China ",”Quality Law of The People's Republic of China "and other related regulations by GD province.

二、交货时间、地点(Delivery Date, schedule and Point)

在乙方收到甲方的订购单后2-5天交货，交货地点为湛江工厂仓库。在每次送货前乙方必须先通知到甲方，以便甲方安排堆放场地。如果因不能按时间交货而发生需调货或紧急采购所造成的产品价差，运费等经济损失由乙方负责,甲方有权从相应的货款中扣除.

Delivery date is 2 to 5 days after getting purchase order from party A with unloading point of Warehouse of Party A. Party B advance to inform Party A the arrival timing so that Party

A can arrange unloading space. Party

B should take the responsibility and compensate

Party A the loss resulted by price variation owning to overdue delivery. Party A will refund the loss from payment for goods.

每次送货数量和送货时间见甲方的书面通知.

Delivery schedule please see delivery information on paper from Party A.

三、质量标准、质量保证和验收(Quality Standard and Quality Assurance)

产品的质量标准按甲方认可的样品标准验收。保质期:6个月

在保质期內若复检确认不合格，甲方有权选择降价接受或作退货处理。如作退货处理，乙方应在一周内运走货物，否则甲方有权自行处理。甲方抽检合格后，乙方依然要对产品本身的质量问题负责。但由于甲方使用不当或保管不善造成的不合格品则由甲方负责.

Product quality standards authorized by party a sample standard acceptance.

Shelf life: 6 months

Shelf life of internal review to confirm the unqualified, the owner the right to select price accepts or returns processing.

Returns processing, party b shall be transported goods within a week, otherwise the owner the right to itself.

After party a sampling qualified, b remains responsible for product quality problems.

But because of the improper use of the owner or his negligence caused the nonconforming party a is responsible for.

四、运输及保险(Transportation and Insurance)

乙方负责把产品运至上述条款二的交货地点,乙方负责到卸货点之间的运输费用和保险费用,收货时间为当天早上九点到下午四点, 送货单上必须注明该次所属的订单号码.

Party B is responsible for shipping these goods with transport charge and insurance fully to party A. Party A will receive goods from 9:00am to 4:00pm. Delivery Note must be marked with PO number.

五、包装及包装物的回收(Packing and Package Return)

无

六、价格及支付(Quantity, Price and Payment):

价格见以上条款一;数量确定。付款方式为：检验合格后，收到发票30天电汇转帐付款.

Confirmed price please see enclosed goods list. Price includes VAT of 17%.

Ordered quantity please see Purchase Order each time.

Payment: 30 natural days by T/T after getting invoice.

七、合同期限和合同生效(Validation of the Contract)

本合同的期限自2011年07月30日至2011年12月31 日。本合同于2011年07月27日由双方授权代表签字并盖章，并自此日起生效。

The contract is validated from Jul..30;2011 to Dec. 31 of 2011, is signed and fulfilled by both parties on Jul. 27th, 2011.

八、不可抗力：凡因不可抗力因素（如风灾、火灾、罢工及战争等）引起迟交，乙方须提

供充分证明条件，经买卖双方同意后，乙方可免除迟交之责任。

When force majeure happens during contracted period the contract may not

be continued to performed, each party inform another one on paper not to

fulfill or delay to fulfill. The contract could be not fulfilled, or delayed to fulfill,

or partially fulfilled after getting evidence.

九、争议解决方法(Arbitration)：

发生争议时双方友好协商解决，协商不成时提交人民法院裁决。未尽事宜，按国家合同法相关条款执行Other matters not covered in this contract, Party A and B will settle through negotiation, or arbitration through Court in Zhanjiang.
