贸易合同4篇贸易合同（220X贸易有限公司（以下简称甲方）和__________ 第一条公司（以下简称乙方），经过友好协商，同意合资_______________厂。兹因合资经营条件尚未成熟，双方将以补偿贸经营__________ 易进行合作生产并以此作为双方合作的第一步，其条件如下：乙方将向甲方转让生产下列型号中

中速船用主机。 1．2 “技术文件资料”的定义、范围及交付：
款所指的技术资料（以下简称资料）定义是乙方1．1 本合同提供合同产品的技术资料由三大部份组成：即乙方现用的一般技术资料、产品设计图纸和生产技术资料，上述资料应包括详细的技术秘密。）一般技术资料包括：（1中速船用主机的技术规范（包括部装、总装、试． a__________ 车、交货试验等。）； __________中速船用主机的主要零部件的技术规范；． b．合同产品中所使用的配套产品的外型尺寸、安装尺寸和性能c
参数的样本。 2）产品设计图纸：（
乙方提供合同产品的产品设计图纸应包括： 1
a．合同产品的全套施工图纸（包括总装图、部件图、系统图、原理图及全部零件的详细图纸）；
b．合同产品的计算资料和计算书；
c．有关船级社发给的证书及交船级社验证的图纸、计算书及其他资料清单；
d．试验台设计图纸及其技术文件。
（3）生产技术资料：
乙方提供的合同产品的生产技术资料应包括：合同产品全部工艺性指导文件及主要零部件的详细制造技术资料；对原材料和合同产品零部件在生产过程中和生产后的质量检验要求、验收手段、验收步骤及
验收技术文件。
（4）资料的修改：
若乙方采用新技术改进产品，改进工艺过程，降低成本等需要对提供的资料进行修改时，应将修改的结果以书面形式提供给甲方。（5）资料的提供方式：
a．对一般技术文件应提供三份蓝图或同等数量的清晰的复制图； b．对产品设计图纸应提供一份生产底图及两份蓝图；
c．对生产技术资料应提供两份蓝图；
d．对已提供过的完全相同的重复资料，可免于提供，但需在清单中予以注明。
（6）资料的交付进度：
a．根据资料定义的规定，为生产_______________型中速船用主机的需要，乙方在签订合同后_____天内需向甲方交付合同产品的全部技术资料和全部图纸；
b．根据资料定义的规定，为生产_______________型中速船用主机的需要，乙方在签订合同后于__________年____月____日前，需向甲方交付合同产品的全部技术资料和图纸。

1．3 甲方将生产的产品向乙方返销如下：

1．4 以补偿贸易进行合作生产期限为_____年，_____年后若合资经营条件不成熟，则可延长合作生产期限，但最长不得超过_____年。
第二条转让技术秘密和技术文件
2．1 乙方向甲方提供合同产品的设计计算、产品图纸、制造工艺、质量控制和试验、安装、调试、运转及维修等有关合同产品的全部技术资料，必须和乙方目前使用的资料内容相同。
2．2 合同产品资料的审核和验证：
乙方对提供给甲方的产品设计图纸、制造技术资料的完整性、正确性、清晰性负责。若产品设计图纸和生产技术资料中的任何部分发现有失误，当乙方接到甲方通知时立即补齐遗失部分或更改错误部份。 2．3 在合作生产期间，乙方将以最优惠价格向甲方提供甲方方面市场不能提供的零部件。具体内容另行商定。
2．4 乙方保证向甲方转让的技术秘密和技术资料不受任何第三者的指控。
第三条价格和支付方式
3．1 为了支付转让2．1 条款中所规定的__________型中速船用主机的技术秘密和技术资料费用，乙方应向甲方支付费用如下：

3．7 在合作生产期间鉴于甲方遵照3．1．款已向乙方支付了转让技术秘密的部份费用，若合资经营时机成熟，双方同意成立合资经营企业时，则乙方将其剩余部份的技术秘密费用可作为投资的一部分，一旦双方不能进行合资经营，在五（5）年之内合作生产被迫终止时，
