甲方同意将其所有的位于中国上海市室房屋及其设施(包括附件一所

列家具和电器)在良好及可租赁的状态下租给乙方居住使用,租赁房屋的面积总计约平方米。

Party A hereby agrees to lease its property located at Unit , Shanghai, PRC, and the related facilities (including furniture and appliances) in

good and tenantable condition to Party B for residential use. The size

of the leased property is approximately m2.

四、租赁期:

Term of Tenancy:

4.1租赁期为年,自年月日至年月日。

The above property is hereby leased for a term of 1 year(s),

commencing on and expiring on .

4.2 租赁期满,甲方有权收回全部租赁房屋,乙方应如期交还。乙方

如要求续租,须在本合同期满日前二个月向甲方提出书面申请,

除了双方衷诚地协议续租的年期及租金外,双方将按于本合约相

同的条款另行签订续租合同。

On expiry of the tenancy, Party A has the right to take back the

entire leased property, and Party B shall deliver the leased

property to Party A. If Party B asks for renewing the lease, Party

B shall give Party A 2 months’written application in advance

before the expiration date, and get the renewal agreement

signed by both parties on the same terms and conditions as this

Agreement save and except that the Parties shall negotiate and

agree upon in good faith, the renewal terms and monthly rental.

4.3 在租赁期满十个月后,乙方可以提前二个月书面通知甲方终止此

合同,并同意甲方在此期间安排潜在客户参观该物业。After the

tenth month of the tenancy, the Tenant may terminate this said

Agreement by giving the Landlord two (2) calendar months

notice in writing, and agree the landlord to show the apartment

to potential tenant.

在乙方付清本合同项下规定其应该支付的费用后十五个工作日内

全额无息将二个月保证金如数归还乙方。如乙方在已经办理了退

房手续支付所有的费用后十五个工作日内未收到甲方归还的全额

押金,则视为逾期未归还押金,每逾期一天超出归还日期后未支

付,乙方须按日加付租金3 %的滞纳金。

The two months’ deposit shall be returned to Party B in full

within 15 working days after the check-out procedure has been

handled. If Party B did not receive the full amount of deposit

after Party B has already paid all the relevant expenses within

15 working days, Party A should be liable to pay a penalty fee

equal to 3% of the rent per day.

五、租金:

Rent:

5.1双方议定租金为每月人民币圆整包括物业管理费,发

票税金,有线电视和卫星电视安装和使用费,电话及宽带的安装

费用。

The rent agreed to by both parties during the lease term is

RMB per month inclusive of management fee, invoice

tax, cable TV and satellite TV installation & usage fee,

telephone installation, broadband installation fee.

5.2乙方应提前支付甲方每月的租金,应在每月的第天或以前汇

至甲方指定的银行帐号,支付租金日期以乙方汇出日期为准。

乙方应以人民币形式支付租金。甲方需提供租金的付款通知单予

乙方。

Party B hereunder shall pay each month’s rent in advance, on or

before the day of each calendar month, by transferring the

amount of such rent to a bank account designated by Party A.

The date of transfer shall be the date of payment. Party A shall

provide debit note on rental.

乙方须于年月日或在此之前,支付从年月

日起至年月日(包括首尾两日)的首期租金人民币

On or before , Party B shall pay to Party A the rental

for the period from to (inclusive), in the

amount of RMB .

5.3如租金逾期支付,每逾期一天超出付款日期后七天仍未支付,乙

方须按日加付租金3 %的滞纳金。如超过15天未付则视为乙方自

动退租,构成违约,甲方有权收回出租房屋,并追究乙方违约责

任。

If the rent shall be unpaid for seven (7) days after the rent shall

become due and payable, Party B shall be liable to pay a late

penalty fee equal to 3% of the rent per day. If the rent has not

been paid more than 15 days after the due date, Party B will be

deemed to have automatically terminated the tenancy resulting

in a breach of this Agreement. Party A will then be entitled to

take back the leased property and have recourse against Party

B for breach of contract.

六、保证金:

Security Deposit:

6.1为确保租赁房屋及其设施之安全与完好及租赁期内相关费用之如

期结算,乙方应在甲方提供该租赁房屋的产权证复印件(或预售/预

租许可证)支付给甲方二个月租金额及管理费的租赁保证金计人民

币圆整,做为乙方确保合同履行之保证金,保证

金的支付日不得晚于起租日。乙方可以人民币形式支付保证金。

甲方应在收到保证金的七个工作日内提供相应的正式收据给乙

方。

To ensure the welfare and good condition of the leased property

as well as the prompt payment and settlement of all related

charges during the term of the tenancy, Party B agrees to pay

Party A security deposit equal to two months’rent and

management fee in the amount of RMB as

security for Party B’s hereunder once the copy of ownership

certificate (or pre-sell / pre-lease permit) of the premises is

provided. Party A shall provide the formal receipt to Party B

within 7 working days after receiving the deposit.

6.2除合同另有约定之外,甲方应于租赁期满或此合同提前终止之日

且双方确认该租赁房屋的归还和乙方付清所有相关费用后的十五

个工作日内将保证金全额无息退还乙方。

Unless otherwise provided in this Agreement, Party A shall

return to Party B the entire security deposit without interest in

15 working days after expiration of the tenancy or early

determination of this Agreement and both parties have

confirmed the return of the premises and Party B has paid all

related outstanding fees.

6.3甲方因乙方违反本合同的规定而受的损失,可在保证金中扣抵合

理数目,不足部分乙方必须在接到甲方付款通知后十天内补足。

Party A may deduct a reasonable amount of security deposit

towards payment of any actual damages Party A shall have

incurred or suffered as a result of Party B’s breach of this

Agreement. If the security deposit is not sufficient to cover such

amounts, Party B must pay the deficiency within 10 days of the

receipt of a demand from Party A.

七、其他费用:

Other Charges:

乙方应承担租赁期内的水、电、煤气、电话费、宽带月租费等,并按上

海市公共事业局的帐单如期缴纳。

Party B is responsible for paying water, gas, electricity, telephone charges and broadband monthly fee. Such charges shall be paid when due according to the bills from Shanghai Utility Bureau therefor received by Party B.

八、出租人的责任:

Landlord’s Obligations:

8.1 甲方须按时将租赁房屋以良好可租赁状态交付乙方使用。办理交

房手续前,甲,乙双方必须清查该物业及其内部所有设施的运行情况。如有任何设施无法正常运作,则应被视为未能按时交房,直至视察时所有设施及设备均呈正常运作状况。在此情况下,双方应签署一份视察情况记录一式两份并且作为本合同的一部分以示房屋交接完毕。

Party A shall deliver on schedule to Party B the leased property in good and tenantable condition for Party B’s use. Prior to hand over both

parties shall participate in a walk through inspection of the premises to

inventory all facilities therein and ensure their proper working

condition. Should any of the facilities or fixtures not be in working order the hand over will be deemed incomplete until such a time as they are

in correct working order and inspected. The inventory / hand over

inspection record will be made in duplicate and forms an integral part of this agreement.

8.2 租赁期内甲方不得无故收回租赁房屋。(除非本合同另有规定)

Party A shall not take back the leased property, without cause, during

the term of the tenancy (unless otherwise stipulated in this Agreement).

8.3 在乙方遵守本合同的条款及支付租金的前提下,乙方有权于租赁期内拒

绝甲方或其他人骚扰(中华人民共和国法律规定除外)而安静享用租赁房

屋。

在租赁期内,租客将在租期开始时搬入自己的家具并在租期结束时搬出

并承担此费用。该条款在合同的其他条款适用。

Provided that Party B paying the rent and performing and observing

Party B’s terms and conditions herein contain shall peaceably hold and

enjoy the leased property throughout the term of this Agreement without

any interruption by Party A or any other person save and except as

required by the law of the People’s Republic of China.

During the leased term, furniture and goods of the occupant will

be delivered to the apartment in the beginning of the Lease Term, and

taken out of the apartment, at its end by his own expense and

respecting the other provisions of the Agreement.

8.4 甲方应维修并保持约定之物业外墙和主体结构,电力供应系统,有线电

缆,下水道,地板,水管和外部窗架在良好及可使用状态下供居住人使

用。租赁房屋的基本设施和结构(包括非乙方原因损坏的家具和电器)损坏

时,甲方有修缮的责任并承担有关的费用,并对其作定期修保。若修缮7

天后此租赁房屋仍无法居住,甲方应提供乙方一个同等于租赁房屋每日租

金的房屋或酒店使用。

To maintain and keep or cause to be maintained and kept the outside

building main walls of the said premises and the said building and the

main structure, electricity supply cables, drains, floors, manholes, water

pipes and exterior window frames of the said building at all times in a

proper state of repair and condition.Party A is responsible for repairing

and maintaining the basic facilities (including furniture and appliances

not damaged by Party B), the structure of the leased property and for

bearing all costs related thereto. During the repair period, Party A shall

provide Party B another premise or hotel at the same daily rent if the

leased property is not livable after 7 days.

8.5 甲方谨在此声明及保证甲方为租赁房屋的合法拥有人并有合法地位出租此

租赁房屋予乙方。就本合同及出租此租赁房屋予以乙方之事,甲方已取得

所有有关机构的批准,包括政府批准及抵押权人的同意(如适用)。

Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and / or mortgage consent (if applicable).

8.6如在租赁期内,租赁房屋发生所有权全部或部分转移、和其他影响乙方

权益的事情时,甲方应保证所有权人或其他影响乙方权益的第三者,能

继续遵守本合同所有条款。如乙方于本合同下的权益受此等所有权人或

第三者所影响或损害,甲方须负责补偿乙方的所有损失、损害、支出及

费用。若甲方出售该租赁房屋,则乙方承诺将放弃优先购买权。

If during the term of the tenancy, all or part of the leased property is transferred or Party B’s right to use leased property is affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leased property will continue to abide by the terms of this Agreement. Party A shall keep Party B indemnified against any costs, expenses, losses and damages incurred to or suffered by Party B as a result of any of Party B’s interests herein are affected or prejudiced by such transferee or third party. Party B hereby agrees to give up the priority of purchasing if Party A sells the leased property.

8.7 在租赁期间,甲方保证提供乙方承租的房屋是安全的,且不会因甲方的原因干扰乙方的正常居住。如因甲方的原因出现周围房屋的影响,导致乙方不能居住 , 乙方有权终止合约。乙方须接受并遵守物业管理处之管理公约.

During the lease term Party A must guarantee that Party B can live safely

in the rented premises and that Party A will not disturb Party B’s regular dwelling .

Party B has the right to terminate the agreement should the general

living conditions surrounding the Premises affect the Premises in such degree that a peaceful living cannot be obtained.

Party B shall accept and abide by all rule and regulations of the Premise’s management.

8.8甲方应根据中华人民共和国的税法规定负责缴纳对因乙方支付租金而可

能产生所有与租赁房屋有关的一切税项,包括但不限于土地使用费,房产税,印花税,营业税及企业所得税。甲方必须在收到租金后的七个工作日内向乙方开具印有税务局监制章的正式发票。如若拖欠有关发票,乙方有权延付租金。

Party A shall be responsible to pay all taxes in respect of the leased property (including but not limited to land use fee, real estate tax, business tax, stamp duty and enterprise income tax) in accordance with the People’s Republic of China tax laws and regulations. Party A shall provide to Party B the official invoice printed under the authorization of the relevant tax bureau in the PRC within 7 working days after receiving the rental. In case Party A fails to do so, Party B shall have the right to withhold any rental payment.

8.9 任何由于非乙方疏忽而造成房屋内由甲方提供的如水、电、煤供

应设施、供应设备或电子仪器包括空调在内的电器无法正常工

作,乙方应及时通知甲方。甲方必须维修恢复其正常使用,甲方

应承担由此而引起的费用。但因乙方疏忽或使用不当而引起的该

等保养、维修费用,甲方将不负责。

Should any of the services or facilities such as water, electricity

and gas supplies and supplied mechanical or electrical

apparatus or appliances, including air conditioners, provided by

Party A in the Premises fail to function normally, provided that

such mal-function is not the result of the improper use or the

negligence of Party B. Party B shall promptly notify Party A, and

Party A shall restore the normal functioning of the services and

facilities and Party A shall be responsible for the expenses

incurred. But Party A shall not be responsible for maintaining

and repairing the said conduits and pipelines resulting from the

improper use or the negligence of Party B.

九、承租人的责任

Tenant’s Obligations:

9.1 乙方应按合同的规定,按时支付租金,保证金及其它各项应付

费用。

Party B shall promptly pay all rent, security deposit and other

charges payable by it in accordance with the terms of this

Agreement.

9.2乙方经甲方事先同意(甲方不得无理拒绝或延迟给予乙方该同

意),可在租赁房屋内进行软装饰装修及添置设备。租赁期满必须

恢复原状(正常损耗除外),并承担其合理费用,经甲方验收认

可后归还甲方。

Party B may, with the prior consent of Party A (such consent

shall not be unreasonably or delayed), renovate and install

additional facilities in the leased property. Upon expiry of the

tenancy, the leased property shall be returned to Party A in its

original conditions (fair wear and tear excepted) which is

accepted by Party A, and all reasonable expenses arising

therefrom shall be borne by Party B.

9.3 乙方应爱护使用租赁房屋,如因乙方的过失或过错致使租赁房

屋及设施受到损坏(正常损耗除外),乙方应负赔偿责任。

Party B shall treat the leased property with care. If, as a result

of party B’s negligence or misconduct, the leased property and

the related facilities suffer any damage (fair wear and tear

excepted), Party B shall be responsible for compensating Party

A for such damages.

9.4 乙方应按本合同的约定合法使用租赁房屋,不得擅自改变使用性

质,不应存放中华人民共和国法律下所禁止的危险的物品,如因

此发生损害,乙方应承担全部责任。

Party B shall use the leased property legally as agreed in this

Agreement and may not change such use on its own. Party B

shall not store any dangerous items which are prohibited by the

laws of the People’s Republic of China in the leased property

and shall be fully responsible for any damages or losses as a

result thereof.

9.5未经甲方事先同意,乙方不得将租赁房屋转租或分租给其他的第

三方,乙方本公司人员除外。

Without P arty A’s prior consent, Party B may not assign the

tenancy or sublet the leased property to a third party, save and

except any associated person of Party B.

9.6 若无甲方的书面同意,不得在所租赁物业内饲养任何宠物或动

物。

Not without the written consent of Party A to keep any pets or

any livestock in the said premises.

9.7 保持该物业内部非结构性部分的良好状态,(合理的损坏除外),

包括:地板;内墙地板,天花板的石灰或粉刷及甲方安装在该物

业内的固定设备,附件及所有的门,窗,电器设备,电线,洁具

和所有设备清单上所列的物件。

To keep in good and tenantable repair and condition (excepting

fair wear and tear) the interior non-structural part of the said

premises including the flooring and interior plaster or other

finishes or rendering to walls, floors and ceilings and the

Landlord’s fixtures and fittings therein and all doors, windows,

electrical installations and wiring, and sanitary and water

apparatus and all other fixtures and additions thereto and the

items listed in the Inventory.

十、违约处理:

Breach of Agreement:

10.1甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相

应的违约责任,双方同意违约方应赔偿另一方之直接损失(间接和

结果性损失除外)。甲方若有违约并七日内未予补救,乙方则有权

延付租金。

If either Party A or Party B fails to perform its obligations

hereunder, it shall constitute a breach of this Agreement and the

defaulting party shall undertake the liabilities for such breach.

The parties agree that the party in breach shall pay the other

party the direct loss and damage (excluding indirect and

consequential loss and damages). If party A is in breach of this

Agreement and does not rectify the said breach within 7 days,

then Party B is entitled to withhold the rent.

10.2乙方有下列行为之一的,甲方有权终止本合同,收回租赁房屋,

并且保证金不予退还。

Party A shall have the right to terminate this Agreement, re-

possess the leased property and forfeit the security deposit if

Party B commits one of the following:

(a)在未经甲方的同意下,将租赁房屋擅自转租,但转租给乙

方本公司人员除外;

without obtaining Party A’s prior consent sublets the leased

property to another person or entity except associated person of

Party B

(b)未得甲方同意将租赁房屋擅自拆改结构或改变用途的;或

alters the structure of the leased property without authorization

or uses the leased property other than for the purpose stated

herein; or

(c)无故拖欠租金超过15天。

fails to pay rent without any reason for more than 15 days after

the due date

十一、不可抗力:

Force Majeure

若由于不可抗力的自然灾害(包括但不限于火灾,洪水,地震,施工,

战争,暴动,敌对等行为等)或其他非乙方过错所造成的对租赁房屋的

损毁致使其无法居住或使用本物业,双方均有权终止本合同,甲方必需

全数退还乙方所有保证金和当月所余租期之相应租金,但乙方须支付其

实际使用的公共事业费用

If the leased property is destroyed, damaged and rendered uninhabitable of unusable due to force majeure (include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy etc.) or actions that are not the result of Party B's fault, Party B shall have the right to terminate this Agreement and prorate balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions. 十二、适用法律:

Applicable Law:

本合同的成立,其有效性,解释,签署和解决与其有关的一切纠纷均应受中国法律的管辖并依据中国法律解释。

The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the l aws of the People’s Republic of China.

十三、争议的解决:

Dispute Resolution:

凡因执行本合同所产生的或与本合同有关的一切争议,双方应通过友好

协商解决;协商不成,应提交该租赁房屋所在的人民法院法院裁决是终

局的,对双方都有约束力。除争议事项外,双方均需继续履行本合同的

其他条款。

In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to resolve such disputes. If such negotiation fails, the parties shall submit the dispute to People’s Court where the leased property located in. The decision of the People’s Court is final and shall be binding on the parties hereto.

During the process of arbitration, the parties shall continue to implement this Agreement without interruption except for matters in dispute.

14.2 本合同附件一是本合同不可分割的组成部分,具有同等法律效

力。

The Appendix I to this Agreement is an inseparable part of this

Agreement and is equally enforceable.

14.3 本合同如有未尽事宜,由甲、乙双方洽谈解决。

If this Agreement is unclear with respect to certain matters, the

two parties shall discuss in order to resolve such ambiguities.

14.4 本合同由中文和英文写成。若两种文本不一致,以中文文本

为准。

This Agreement is written both in the Chinese and English

languages. In the event, there is inconsistency between the two

versions, Chinese version shall prevail.

14.5 本合同自签字之日起生效。未经双方同意,不得任意终止或修改

(本合同另有约定除外)。本合同一式三份,甲、乙双方各执一

份和上海市房地产交易中心执一份。

This Agreement shall become effective upon the signing thereof

by the parties hereto. Save and except as provided in this

Agreement, this Agreement may not be terminated or amended

without the consent of both parties. There are three originals of

this Agreement, the parties herein and the Shanghai District

Real Estate Transaction Administration shall each have a copy

of this Agreement.

14.6 双方须各自分担因准备,商讨及签署本合同所引致法律费用。

Each party shall bear its own legal costs in relation to the

preparation negotiation and execution of this Agreement.
