1、甲方同乙方指定的外方签订外销合同，该合同内容需要由乙方在签订前确认并负责，并经甲方同意。
2、甲方同乙方指定的供货方签订购货合同或三方购货合同，该合同内容需由乙方在签订前确认并负责，并经甲方同意。
3、按照乙方提供的货物数据及时制作出口报关运输及随寄需要的发票、装箱单、货运委托书、保险单等单据。
4、在自身能力允许的情况下，对需办理出口配额和许可证等的货物，在受到乙方委托后应该积极予以办理各种手续及时取得有关单证，但免除不能及时取得有关单证的责任。
5、货物若需甲方负责商检，甲方则应及时认真作好商品的商检通关工作，以免延误通关等后续工作的进行。
6、在甲方负责报关运输的方式下，积极联络货运代理公司进行的订舱保险等事务，保证出口货物安全、及时顺利的出口清关，不延误指定装船日期，但对货物的真实性由乙方负责。
7、及时做好货款在各种方式下的结汇工作，按约定的结算方式同乙方进行结算并规定比例收取代理费。
8、作好货款的核销工作，及时收回外汇核销单及出口报关单，在规定的期限内完成外汇核销。
9、若货物需退税的，在收到乙方提供的按退税机关规定的完整的退税凭证后应及时完成退税工作，按协议的结算款项同乙方结算。
10、积极协助应由乙方完成的各项其他工作，在外贸上给予能力范围内的各种支持。
三、乙方的权利和义务：
1、对甲方同外方及供货方签订的协议内容负责，并承担不能完成协议的一切后果。
2、按时、按量、按质准备货物，货物备妥后及时把规格、数量、质量、包装、毛净重等数据告诉甲方，以便甲方及时制作各种单据。
3、对需要出口配额及许可证的货物，应办理相关的申请手续，甲方予以协助完成。也可以委托甲方在能力范围内予以全权办理。但承担甲方不能及时取得该些单证的后果。
4、若由乙方负责货物的商检、订舱、保险及海关清关等工作，乙方应同时承担由此所产生的各种费用。并保证报关单据上的货物与实际装船出口的货物在品质、规格、数量上的完全一致，负责承担由此产生的一切责任和后果。
5、应积极催促外方在指定的期限内（装船报关以前）将货款汇入甲方的指定帐户，并承担不能收到外汇货款的一切责任和后果。
6、按协议规定与甲方进行货款计算和支付出口代理费（结算方式单独列项）。
7、积极协助甲方办理其他需甲方完成的工作，协调好中外各方的工作情况。
四、结算约定条款：
1、甲方按照乙方出口货值的1 %征收出口代理费。
2、乙方同时承担货款在结算中我方所产生的银行费用和清关费用及运输费用。
3、对于外汇的折人民币汇率按甲方在银行结汇时提供的结汇汇率为准。
4、具体资金支付：
A 、在T/T方式下，甲方在收到外方的外汇货款并按汇率折算人民币后，甲方遵循乙方指令将国内采购货款汇入乙方的指定帐户，乙方将负责提供规定数额的经税务部门验证通过的增值税发票。扣除双方约定的杂费后（如代理费、银行费用、利息、办证费等），剩余利润由甲方汇入乙方指定账号，乙方不提供任何发票。
B 、在L/C和托收方式下，甲方将全套准确有效的单据交到指定的议付银行后，在外汇货款进帐并按汇率折算人民币后，甲方遵循乙方指令将国内采购货款汇入乙方的指定帐户，乙方将负责提供规定数额的经税务部门验证通过的增值税发票。扣除双方约定的杂费后（如代理费、银行费用、利息、办证费等），剩余利润由甲方汇入乙方指定账号，乙方不提供任何发票。甲方交给银行的单据不管是甲方还是乙方制作的必须通过乙方确认，同时乙方将对由于单据不符等原因造成不能得到银行偿付的情况承担责任和由此产生的一切后果。
5、甲方将退税金额在出货完毕后连同所有剩余利润（扣除国内采购货款、代理费、银行费用、利息、办证费等后的剩余）一并汇入乙方指定账号。
五、其它约定条款：
1、乙方保证出口的货物是遵守国家的各项法律、法规的合法的货物，否则承担由此产生的一切责任和后果。
2、代理过程中货物的质量问题由乙方全权负责，发生质量问题时由乙方全权处理，甲方协助乙方处理各种索赔、赔付等事宜。
3、甲方保证乙方的商业秘密，并保证不以任何形式擅自利用乙方的客户渠道及商业资料，否则将赔偿乙方由此造成的一切经济及法律后果。
4、本协议在执行过程中由于产生各种双方无法预料的问题（如国家政策发生变化等），双方将及时进行协商解决，合理调整本协议的有关内容，或拟订补充协议加以规定，该补充协议也将视为本协议的有效部分。
5、甲乙双方需终止本协议的，必须提前2个月以书面的形式通知对方，且之前所签订对外及对内合同必须执行完毕。
6、若产生一方违反本协议条款或产生了争议和分歧，都应本着友好的态度进行协商解决，协商不成的任何一方都有权向法院提请法律诉讼。
7、本协议经甲乙双方签字盖章后生效，正本协议一式贰份，甲乙双方各执一份，二份具有同等的法律效力。
8、本协议有效期从生效之日起的五年内有效。

七、乙方仅承担代理进口该商品的义务，其权利义务受且仅受本代理协议约束。在代理过程中对于经甲方指示或确认而由乙方以自己名义代为签定的一系列形式合同，乙方不负任何责任，而由甲方作为委托人承担。对于甲方与实际进口商等发生的一切争议，（如产品质量、数量、规格、交货期等），乙方概不负责。
八、违约责任
如果本协议任一方未能履行本协议的全部或任一条款、或者以其他方式违反本协议，该方应向另一方承担应履行不能或违约而给对方造成的损失。所有应此履行不能或违约而造成的间接或偶然损害或损失应排除在外。本协议以及中国合同法规定的、守约方对违约方的其他任何权利不受影响。
九、不可抗力条款因不可抗力造成无法履行或不能如期履行本协议时，根据不可抗力的实际影响，部分或全部免除未能履行协议一方的责任。
