甲乙双方根据《中华人民国合同法》及相关法律之规定,并根据诚信及互利的原则,经友好协商一致。签订此合同,双方申明都已理解并且认可了本合同的所有容,同意承担本合同的所有容,同意承担各自所承担的权利与义务,严格执行本协议如下容:
第一条委托事项:甲方授权乙方代理销售甲方生产的全系列设备及其零配件(以下简称“产品”)。
第二条代理区域:
第三条代理方式:甲方授权乙方在代理区域销售“产品”的独家代理权。
第四条代理期限:本协议生效后暂定一年。甲方保证乙方在代理区域的具有合法的经营权,并承诺在该区域发展
的合法代理商,甲方根据乙方第一年的销售业绩优先
发展乙方为该区域的唯一代理商,甲方在乙方管辖的
区域有直接的客源时。如无特殊原因,应该直接交给
乙方洽谈销售,协议到期后,甲乙双方协商同意作相
应顺延。
第五条在协议有效期,甲方不得再就协议规定产品向其他公司授权上诉代理区域的代理权。
第六条甲方的义务与权力:
1.甲方保证给乙方提供合格产品且不侵害他人的知识产权等合
法权益,并保证乙方的独家代理权且不得直接向代理区域用户销售本协议规定的产品。
2.甲方有义务及时为乙方提供与产品销售相关的技术支持。信
息及资料便于乙方开展销售及宣传工作。
第七条乙方的权力与义务
1.乙方有权根据市场行情,确定产品价格。并以自己的名义联
系方的用户签订购销合同。
2.乙方对甲方所供的产品相关价格。代理规定等情况严格。不
得泄露给第三方。
3.乙方不得经营或者代理其他厂家的同类产品。
第八条条款
双方同意对所有使用信息,除了用于评估或促成双方之间可能的交易外,任何一方都不得为了其他目的使用这些信息,不向第三方透露任何信息。双方承认并同意,可能或合格的终端用户仅了解所购设备必要知道的技术信息。
第九条本协议的条款适用于甲乙双方的下属雇员,管理人员,代理商,经纪人,客服人员,。下属机构和专业顾问。
第十条合作关系的建立和相关约定:
1.甲乙双方的关系是销售代理关系,并不是隶属关系,双
方均属于独立的法律经济体。独立的承担自身的法律责
任,该责任不因本协议而过度到对方。
2.在本合同约定的区域,如因销售需要,以甲方名义开展
专项性工作(如投标签约等)时,乙方需以书面的方式
向甲方申请,甲方批准后出具相关专项授权书面证明,
乙方在授权围可以用甲方名义开展工作。
3.未经甲方书面同意,乙方不得以“”字样注册任何形式
的经营机构,否则甲方有权随时终止本协议,情节严重
时甲方将依法追究乙方侵权行为的法律责任。
第十一条因本协议发生的纠纷,双方协商解决,协商不成的,向起诉方所在地方法院起诉。
第十二条其他约定
1.甲乙双方均不得向第三方泄露本协议合作的具体事项,和对方的商业秘密。否则对方均有权按相关法律规定追究所造成损失
的法律责任。
2.在本协议生效期间,甲乙双方如因业务发展需要,有必要补充本协议未完善的管理条款时。经过双方同意可补充本协议条款,补充协议与本协议具有同等法律效率。
3.本协议有效期为(一)年,任何一方不得无故终止本协议,如一方出现任何严重违约行为或者乙方确实不能完成本协议任务
时,对方有权提前以书面的形式终止本协议。
4.协议一式两份,甲乙双方各一份。本协议书双方签字盖章之日起生效。

According to the provisions of the Contract Law of the People's Republic of China and relevant laws and regulations, based on the principles of integrity and mutual benefit, this Agreement is signed through friendly consultation. Both parties have understood and recognized the entire contents of the Agreement, agree to assume all the contents of this Agreement, agree to assume their respective rights and obligations, and strictly implement the following contents:
Article I Entrusted Matter: Party A shall authorize Party B to be the agent and sell the full range of equipments and spare parts (hereinafter referred to as
"Product") produced by Party A.
Article II Agency Area:
Article III Agency Method: Party A shall grant Party B the exclusive rights to sell the "Product" within the territory.
Article IV Agency Period: The Agreement shall be effective for one year since its entry into force. Party A shall guarantee that Party B has a legitimate right to
operate in the agency area, and commit that Party A shall give priority to
Party B to become the sole agent within the area based on Party B’s sales
performance in the first year. In case that Party A has direct customer
resources within Party B’s area, Party A shall handle the customers to Party
B and let Party B to discuss sales with the customers except there are any
special reasons. After the expiration of the agreement, both parties shall
negotiate and agree to extend accordingly.
Article V During the valid period of this Agreement, Party A shall not grant the agency right of the product stipulate by this agreement in the above agency area to
other companies
Article VI Obligations and rights of Party A:
1. Party A shall assure to provide Party B with acceptable product which does not
infringe others’ intellectual property rights and other legitimat e rights and interests, assure the sole agency right of Party B, and shall not sell the product stipulated by this Agreement to the users within the agency area directly.
2. Party A shall be obliged to provide Party B with technical support, information and
data relevant to product sales promptly, to facilitate Party B to carry out sales and publicity work.
