Supplier Honesty and Integrity Agreement
乙方：
Party B：
在甲乙双方业务往来过程中坚持守法、公平和诚信原则，防止各种违法违纪行为的发生，维护双方的合法权益，根据国家、地方相关法律法规和廉洁诚信建设方面的规章制度，经双方协商一致，达成如下廉洁诚信协议以资信守。
In consideration of persisting in the principle of law abiding, fairness and integrity during Party A and Party B business activities, preventing the occurrence of all kinds of illegal and undisciplined acts or behaviors, maintaining the lawful rights and interests of both parties and in accordance with the law of PRC, local relevant laws and regulations and related rules and regulations of the Honesty and Integrity Cultivation, the two parties through consultation here
by agree upon, and shall be bound by the following agreement.
一、定义Definition
本协议中的相关词句应作如下定义：
Definition of related terms in the agreement:
1、“不正当利益”包括但不限于利用职务上的便利收受他人钱财、物品、购物卡/券、有价证券等财物，或接受他人的旅游、桑拿、浴足、按摩、KTV等安排或各种娱乐场所的VIP卡、金卡、银卡等，或收受各种名义的提成、回扣归个人所有，或以明显不合理低价
的形式购买他人的商品，或借用他人的物品（含车辆），或要求、接受接送服务及报销差
旅费，或以任何形式侵占甲方财产，或以任何形式参股乙方（含乙方参股的组织），或索
取或变相索取其他财物、好处。Illegitimate profits include but are not limited to, by taking advantage of duty convenience, the receiving of the property like cash, goods, shopping
cards/coupons and securities, the acceptance of the arrangement service from others like
touring, sauna, foot bath, massage, KTV or the VIP cards, gold card, silver card of any entertainment place, the receiving of all kinds of percentage of deduction money, rebate and turning into individual possessions; the purchase of the others' merchandise at an obviously low price and borrowing of others' goods (including vehicles), the requirement or the acceptance of pickup and delivery service and claiming of reimbursement of travel expense, the embezzlement of party A's property and join stock of party B(including the organization that party B joins stock) in various form and the claim or the disguised claim of other property or benefits.
2、甲方人员包括甲方投资人/股东、董事、代理人、谈判代表或其它甲方员工。Party
A personnel include investor/share holder, director, agent, negotiator or the employee of party A.
3、乙方人员包括乙方投资人/股东、董事、代理人、谈判代表或其它乙方员工。Party
B personnel include investor/share holder, director, agent, negotiator or the employee of party B.
4、“特定关系人”是指甲方人员的配偶、子女、三代以内直系亲属以及其他关系密切的亲属和朋友。Specific relevant party refer to the spouse, offspring, direct relatives within three generations of party A and the relatives or friends having close relationship with party A.
5、甲方定点乙方涉及的条款和协议；Terms and Agreement in sourcing stage
IPTV-甲方对售后汽车质量即千辆车故障管理流程；Incidents Per Thousand Vehicles, procedure of after sales vehicle quality management of party A
GT&C-甲方对乙方的标准条款，包括在合同框架下乙方所需承担责任；General Terms & Conditions – Defines the liabilities that Party B should take within contract
CSR-甲方对乙方的特殊要求，包括质量、价格、服务、技术等要素下管理供应商的流程以及供应商需承担的责任；Customer Specific Request to Party B, including supplier management procedure and liability of supplier in Quality, Price, Service, Technology etc.
MSA-甲方对潜在供应商的评定流程；Manufacture Site Assessment procedure of Party A to supplier
TFC-乙方对甲方的技术可行性承诺；Team Feasibility Commitment from Party B to Party A
QA-质量协议，甲方对乙方质量的要求和乙方需承担的质量责任；Quality Agreement, Includes quality request to Party B from Party A and the quality liability that Party B should take
