This contract is made by and between the Buyer and the seller, whereby the Buyer，agrees to buy and the Seller agrees to sell the under mentioned goods on the terms and conditions stated below:此铁矿石买卖合同由买卖双方同意签定，即买方同意购买，卖方同意出售下列之货品，双方同意并遵守以下条款:1．COMMODITY 商品1.1 Name of commodity: IRON Ore fines Fe Content 58% Basis商品名称: 铁矿粉含铁量58%为基准1.2 Country of Origin原产地：Philippines 菲律宾1.3 Loading Port 装运港：MAC ARTHUR Port: 麦克阿瑟港1.4 Discharge Port: LANSHAN/BAYUQUAN Port, CHINA (at BUYER’S option)卸货港: 岚山/鲅鱼圈港，中国 (买方选择港)1.5 Packing包装：in bulk散装2．DELIVERY, QUALITY AND QUANTITY 交货期、品质及数量2.1 Shipment schedule 装运计划Schedule: Before September 30th , 2011Shipment: in bulk vesselLaycan : 1st Sep 2011-15th Sep 20112.3 QUANTITY数量Quantity: 10,000 (+/-10% at seller’s option) metric ton数量：10,000（卖方有权决定10%的溢短装）吨3．PRICE 价格USD 112/DMT CFR LANSHAN/BAYUQUAN PORT ,CHINAPRICE ADJUSTMENT价格调整3.1 For Fe Content 含铁量(1) If the Fe content above 58%, a bonus at the rate of US$0.2/DMT for each 0.1% increase shall be applied, fractions pro rata.若铁含量高于58%，每0.1%每干吨增价美元0.2元。
按比例计算。
(2) If the Fe content below 58%, a penalty at the rate of US$0.40/DMT for each0.1% decrease shall be applied, fractions pro rata.若铁含量低于58%，每0.1%每干吨减价美元0.4元。
按比例计算。
(3) If the Fe content below 57%, the buyer has right to reject the cargo of shipment and has right to negotiate the price.如果铁含量低于57%,买方有权拒收货物,买方有权选择重新议价.(4) Without prejudice to Buyer’s rights of reject the cargo, both parties shall discuss and negotiate a new price in amicable manner to settle this off-spec cargo. If no price agreement can be reached within five working days upon the date of CIQ certificate is provided by Buyer to Seller, then Buyer’s right of rejection shall be exercised in such manner:在不影响买方拒收权利的前提下，双方可协商重新议价；若在CIQ报告提供给卖方5个工作日内，协商无果，则买方有权按以下方式拒收:a) Within 10 working days upon the date of CIQ is provided by Buyer to Seller, the Seller should refund and/or repay to the Buyer all the incurred payments and costs to exchange the relevant shipping documents. Seller agrees that the Buyer is entitled to retain the Ore at Seller’s risk until the Buyer has been fully reimbursed by the Seller of all the payments and costs,including but not limited to the 95% of contract value paid under the contract, negotiation banking charges, insurance, port disbursement, storage charges, customs VAT, and pro-rated interest at 3.5% per annum on the provisional payment and above mentioned costs and expenses, and other losses due toSeller’s such failure to deliver Contractual quality Ore.卖方需在买方提供CIQ的10个工作日内，返还买方进口此货产生的所有费用；在买方收到卖方的所有返还款前，有权滞留该票货（返还款包括且不仅包括合同金额95%的预付，银行议付费用，保险，港口费，堆存费，海关增值税，及相关资金垫押3.5%的年利息，及其它买方的损失）b) In case the aforesaid payments and costs are not received by Buyerwithin the 10 working days, it is agreed by both parties that the Buyer has right to retain the cargo back, and in Buyer’s sole and absolute discretionre-sell the Ore by any appropriate means to a third party at a price, which Seller hereby unconditionally and irrevocably agree is the market price. Such resell price shall also be considered as final settlement price for bothparties to settle this off-spec cargo.若在10个工作日内买方未收到上述费用，则买方有权将此票货收回，并转卖给第三方；且此转卖价卖方必须承认为市场价。
该转卖价格作为结算此货的最终结算价格。
c) The Buyer are entitled to claim against Seller for the differencebetween the cargo value basis the final settlement price and the provisional payment as stipulated in article 11(2). Such difference must reimbursed by Seller to Buyer within working days upon Buyer’s notice of reselling the shipment of ore and issuance of debit note. In addition, the Buyer reserves the right to claim all other losses and damages arising from the Seller’s such default.最终结算价格基础上的货款值与首款支付的差价，卖方需在7个工作日将差价返还给买方。
此外，买方仍有权索偿卖方其他产生的损失。
4．Other Chemical Composition其他化学成分If the shipment does not meet any of the chemical specifications provided above as finally determined in accordance with the provisions of Clause 8, the base price shall be decreased as follows, fractions pro rata:4.1 For excess of silica (SiO2) 若SiO2超标At the rate of USD0.10 /DMT for each 1.0% in excess of 4.00%超过4.00%的部分每超过1.0%,价格下浮USD0.1/干吨4.2 For excess of alumina (Al2O3) Al2O3超标At the rate of USD0.10/DMT for each 1.0% in excess of 4.00%超过4.00%的部分每超过1.0%,价格下浮USD0.10/干吨4.3 For excess Phosphorus (P) P超标At the rate of USD0.25/DMT for each 0.01% in excess of 0.1%.超过0.1%的部分每超过0.01%，价格下浮USD 0.25/干吨.4.4 For excess Sulphur (S) S超标At the rate of USD0.25/DMT for each 0.01% in excess of 0.1%.超过0.1%的部分每超过0.01%,价格下浮USD 0.25/干吨.4.5 For excess TiO2 TiO2超标At the rate of USD 0.05/DMT for each 0.1% in excess of 8.0%.超过8.0%的部分每超过0.1%,价格下浮USD0.05/干吨5．PAYMENT TERMS付款5.1. Provisional Payment首期付款5.1.1 The first payment of 50% (FIFTY percent) will be made through T/T within 3 working days after the signing of the contract.合同签订后3个工作日内，买方需支付50%合同金额的预付款给卖方。
