1.Assignment

31-1. This Agreement is personal to Dealer, and shall not be assigned or otherwise transferred or delegated by Dealer, in whole or part. Any attempted assignment of or attempt to assign this Agreement or any part thereof, whether by voluntary act or operation of law, shall be null and void.

本协议是针对经销商签订，经销商不得将协议全部或部分转移或以其他方式转让或委派。任何试图转移本协议或其中的任何部分的行为，不论是自愿还是法律作用的结果，都是无效的。

31-2. Company may assign or otherwise transfer any of its rights and/or obligations under this Agreement to Manufacturer.

Confidentiality

Unless agreed by Nissan (China) Investment Co., Ltd, in written, PAI shall not disclose the following information to any third party, including but not limited to any data, database, questionnaire, materials and other information submitted by Nissan (China) Investment Co., Ltd. to PAI.

Entire Agreement

1．

This Agreement sets forth the entire and only agreement and understanding between Company and Dealer and supersedes all negotiations, commitments and writings prior to the date of this Agreement, pertaining to the subject matter of this Agreement. Extract from Dealer Agreement

This Agreement sets forth the entire and only agreement between the Parties relating to the sale and purchase of the Parts and supersedes all negotiations, commitments and writings prior to the date of this Agreement. Extract from MPA

This Agreement may not be modified, supplemented or amended except by a written agreement

executed by both Parties.

2.All the appendices to this Agreement shall be an integral part of this Agreement.

本协议的所有附件是本协议不可分割的一部分。

3.This Agreement and all its appendices shall constitute the entire agreement between the

Parties with respect to the subject matter set forth herein and supersede any and all previous oral and written discussions, negotiations, notices, memoranda, documents, agreements, contracts and communications between the Parties relating to such subject matter.

本协议及其附件构成双方就本协议规定的标的达成的完整协议，并取代双方先前与该标的有关的一切口头和书面的洽谈、谈判、通知、备忘录、文件、协议、合同和通讯。

4.Each version shall be in eight counterparts.

Headings

Agreement.

b.Paragraph headings are for convenience only and are not intended to expand or restrict the

scope or substance of the provisions of this agreement.

各段落标题词的使用仅是为了方便，不能扩大或限制本协议条款的范围与实质内容。

Hold harmless the other party

Each Party hereby indemnifies the other Party and undertakes to hold harmless and defend the other party against any and all claims ,suits ,losses ,damages ,disbursements (including legal and management costs) arising out of any alleged or actual breach or failure to comply with the provision hereof including but not limited to any infringement of the other party’s intellectual property or other rights occurring as a result of the offending Party’s fault, omission or activities in connection with the Project.

各方谨此表示，因一方被指控违反、实际违反或未遵守本协议条款和条件，包括但不限于由于该方与项目相关的过错、不作为或活动导致对另一方的知识产权或其他权利的侵犯，而引起的任何和所有索赔、诉讼、损害、支出（包括律师费和管理费），均由该违约方向另一方作出赔偿，且违约方承诺使另一方免受损害，并为其进行抗辩。
