Bank information:银行信息：Account账号：Bank银行：Bank address银行地址：Swift code银行代码 :SECTION 2: ROLES OF EACH PARTY第二节:各方角色A. Party A shall provide Party B with clear investigation requirements.甲方应向乙方提供明确的调查要求。
B. Party B shall conduct a detailed investigation of the target market and issue an investigation report in accordance with Party A’s requirements.乙方应根据甲方的要求对目标市场进行详细调查并出具调查报告。
SECTION 3: CONFIDENTIALITY第三节:保密From time to time prior to and during the term of this Agreement, either Party (“disclosing Party”) has disclosed or may disclose to the other Party (“receiving Party”) business, marketing, technical, scientific or other information which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgments, to be confidential (“Confidential Information”).在本协议期限之前和期间，任何一方(“披露方”)向另一方(“接收方”)披露或可能披露在披露时被指定为保密的信息(或类似指定)、双方在做出合理商业判断后理解为保密的商业、营销、技术、科学或其他信息(“保密信息”)。
The receiving Party shall, during the term of this Agreement and for FIVE (5) YEARS thereafter:接收方应在本协议有效期内及之后的五(5)年内：A. Maintain the confidentiality of Confidential information;维护保密信息的保密性；B. Not to use confidential information for any purpose other than thosespecifically set out in this Agreement.除本协议明确规定的用途外，不得将机密信息用于任何其他目的。
C. Not disclose any such confidential information to any person or entity, exceptto its employees or employees of its affiliates, its agents, accountants andother advisors who need to know such information to perform theirresponsibilities and who have signed written confidentiality contractscontaining terms at least as stringent as the terms provided in this Article.不得向任何个人或实体披露任何此类保密信息，除非其雇员或其附属公司的雇员、其代理人、会计师和其他顾问需要知道此类信息以履行其职责，并签署了书面保密合同，其中的条款至少与本条规定的条款同样严格。
SECTION 4: PUBLIC ANNOUCEMENTS第四节：公告Neither Party shall make any announcement or disclosure concerning the contents of the Agreement without the other Party’s prior written consent except as may be reasonably required by law.除法律合理要求外，未经另一方事先书面同意，任何一方不得就本协议的内容作出任何公告或披露。
SECTION5: AMENDMENT OF TERMS第五节：修正条款The terms and conditions of this Agreement shall be amended only by mutual written consent between the Parties.本协议的条款和条件只有在双方书面同意的情况下方可修改。
SECTION 6: NO CONSEQUENTIAL DAMAGES第六节：无间接损失No Party is liable for any indirect, special or consequential loss or damage or any loss or damage due to loss of goodwill or loss of revenue or profit arising in connection with this Agreement.对于与本协议相关的任何间接、特殊或后果性损失或损害，或因商誉损失或收入或利润损失而造成的任何损失或损害，任何一方均不承担任何责任。
SECTION 7: GOVERNING LAW & ARBITRATION第七节：适用法律仲裁A. This Agreement shall be governed by the laws of XXXX. In the event that anydispute between the Parties arising in connection with this Agreement cannot be resolved within a period of third days on the basis of mutual consultation, then either of the Parties may refer such dispute to a XXXX arbitration institution for arbitration in English under XXXX arbitration rules.本协定受xxxx法律管辖。
如果双方就本协议产生的任何争议不能在第三天内通过相互协商解决，则任何一方均可根据xxxx仲裁规则将该争议提交xxxx仲裁机构进行英文仲裁。
B. The arbitral award is final and binding upon both parties.仲裁裁决是终局性的，对双方具有法律约束力。
C. In the course of arbitration, the agreement shall be continuously executed exceptthe part which is under arbitration.在仲裁过程中，除协议争议部分之外，双方应继续履行各自的义务。
