CONFIDENTIALITY / NON DISCLOSURE AGREEMENT保密协议Between:Party A: EBC PAYMENT CO. Hereafter “EBC”,甲方：营业执照注册号：，公司地址：Party B:乙方：营业执照注册号：，公司地址：，邮编以下简称The two parties are in cooperation on Cross-border Payment and eCommerce, where relatedbusiness information and technical data from each other are needed. Based on the principle ofmutual benefit and common development, both parties shall sign this NDA through friendlyconsultations.双方正在就跨境支付与电子商务进行合作，需要取得对方的相关业务和技术资料，为此，甲乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议。

1.In this agreement, “Confidential Information” means all confidential, non-public orproprietary information, regardless of how the information is stored or delivered,exchanged between the parties before, on or after the date of this Agreement relatingto the business, technology or other affairs of the discloser of this information or any ofits affiliates’, which in the case of SMARTRO means its affiliates and any subsidiary ofSMARTRO, and in the case of EBC means any affiliates and any subsidiary of EBC butdoes not include information:在本协议中，“保密信息”是指双方中任何一方披露给对方的与合作有关或因合作产生的任何商业、营销、技术、运营数据或其他性质的资料，无论以何种形式或载于何种载体，无论在披露时是否以口头、图像或以书面方式表明其具有保密性（简称：保密信息），双方及其任何附属公司在签订本协议之前，正在或之后发生的有关业务，技术或其他相关事务所传递的信息均属于保密信息，本协议下SMARTRO 指XXXXXXX及其任何附属公司，yyyyyy指yyyyy及其任何附属公司，保密信息不包括以下情况：(i)which is in or becomes part of the public domain other than through breach ofthis agreement or an obligation of confidence owed to the discloser;双方共同认可可公开的信息，除了披露者违反本协议与保密责任；(ii)which the recipient can prove by contemporaneous written documentation was already known to it at the time of disclosure by the discloser (unless suchknowledge arose from disclosure of information in breach of an obligation ofconfidentiality); or接收人可以通过同时期的书面文件证明，在披露者披露之前已被告知（除非这些源于违反了保密义务的信息披露）；(iii)which the recipient acquires from a source other than the discloser or any of its representatives where such source is entitled to disclose it.接收人的信息来自除披露者及其代表之外的有权披露信息的来源。

2.Each party:2.1will only use the othe r party’s Confidential Information for the purpose ofassessing potential business partnership opportunities (the “Agreed Purpose”);任一方只在用于评估潜在商业合作机会（“约定用途”）时可以用到对方的保密信息；2.2 will only disclose the other party’s Confidential Information to such of its, or itsaffiliates’, officers, employees, contractors, agents, legal and financial advisers:任一方只能在以下情况下将对方的保密信息透露给它的附属公司，员工，承包商，代理商，法律及财务顾问：a) to whom it is necessary to disclose the Confidential Information for theAgreed Purpose;因为“约定用途”有必要披露保密信息；b) who are informed of the confidential nature of the ConfidentialInformation; and为保密信息的一部分；c) who agree to be bound by the terms and conditions of this undertaking.同意遵守本协议的条款和条件的约束。

2.3 will, and will ensure that its, and its affili ates’, officers, employees, contractors,agents and legal and financial advisers keep the other party’s ConfidentialInformation confidential and secret and will not:任一方将确保其及其附属公司，员工，承包商，代理商，法律及财务顾问保守对方保密信息的保密性，并保证不会：a) whether directly or indirectly disclose, divulge, sell, communicate to,use or publish the Confidential Information for the benefit of anyperson, firm, partnership, corporation, trust or association other thanthe other party;不论是直接或间接地透露，泄露，出售，传递，使用或发布保密信息，为了任何个人，企业，合作，公司，信托或协会的利益;b) use, provide or disclose particulars of any conversations, discussions ornegotiations with the other party, or any of its affiliates, or any of theirofficers, employees, agents or advisers relating to the Agreed Purposefor any purpose other than the Agreed Purpose; or使用，提供或披露将“约定用途”相关的与对方及其任何附属公司，员工，代理商，顾问的任何谈话，讨论或谈判，用作“约定用途”以外的任何目的；c) copy or reproduce any of the Confidential Information reduced towriting or any part thereof without the prior written consent of theother party for a purpose other than the Agreed Purpose.拷贝或复制任何书面形式的保密信息，或任何未经对方事先书面同意的用作“约定用途”外的任何目的。

2.4 will ensure and procure that any of the other party’s Confidential Informationdisclosed to it by the other will at all times be kept in its possession, custody orcontrol with at least the same degree of care as it exercises to protect its ownConfidential Information; and任一方将确保并促使另一方透露给它的任何保密信息，始终在其严密的保管与控制下，保密程度不低于保护自己的保密信息;2.5 will, subsequent to having used the other party’s Confidential Information forthe Agreed Purpose and been requested by the other party, return the whole ofthe Confidential Information which it has been provided in its possession,custody or control or if requested, unless that party is required by law to retainthat information or that information cannot otherwise be removed from thatparty’s systems.任一方将依照对方的要求，将曾使用于约定用途的，由对方提供并自己保管与控制的所有保密信息，交还给对方，未经书面认可，任何一方不得复制或留存另一方任何信息。
