According to "People's Republic of China Contract Law" and the

provisions of relevant laws and regulations, Party A hereby appoints Party B to

develop overseas market. Both Parties have agreed to sign this agreement.

1. THE ENTRUSTED MATTERS

Party A（supplier ）hereby appoints Party B （intermediary ）to develop

overseas market，solicit orders for the commodity stipulate from customers in

China and promote its products.

2. COMMODITY AND TERRITORY

Party A hereby appoints party B to sell the skin care products as

commodity . Territory in __________only.

3. OBLIGATION

(1)Party A shall ensure the legality of the products and ensure product

quality.

2 (2)Party A shall deal with Chinese customers based on specific price

provided by party B , all the trade terms including payment term, delivery, etc

are negotiated by Party A and customers.

(3)Party B should assist Party A to receive the full payment as per the sales

contracts. Party B will provide the update market information to Party A.

(4)Party B should not disclose the customer information to a third party.

4.RATE OF COMMISSION,PAYMENT TERM

(1)Party A shall negotiate prices of commodity with Party B. Party A will

agree to pay price differences between the negotiated prices and specific

transaction price with customers provided by party B as commission of Party B.

(2)Payment term.

Party A will pay 100% commission based on price differences to

the specified account of Party B within 2 days upon receiving the full payment

from customer.

5. LIABILITY

If Party A does not follow (2) of Section 3, Party A have to pay the overdue

fine. The amount is 5 ‰ of the total commission per day.

6. AGREEMENT ARBITRATION

All disputes arising from the execution of this agreement shall be settled

through friendly consultations. In case no settlement can be reached, the case in

dispute shall then be submitted to the Foreign Trad Arbitration Commission of

the China Council for the Promotion of International Trade for Arbitration in 3 accordance with its Provisional Rules of Procedure. The decesion made by this

commission shall be regarded as final and binding upon both parties. Arbitration

fees shall be borne by the losing party, unless otherwise awarded.

7. VALIDITY OF AGREEMENT AND TERMINATION

This agreement, when duly signed by the both parties concerned, shall

remain effect for _____ months from ________（date） to ________（date）.

During the validity of this agreement, if either of the two parties is found to

have violated the stipulations herein, the other party has the right to terminate

this agreement.

8.OTHER TERMS

(1)Industrial Property Rights

Party B may use the trade-marks owned by Party A for the sale of the

skin care products covered herein within the validity of this agreement, and shall

acknowledge that all patents, trademarks, copy rights or any other industrial

property rights used or embodied in the Automobile paint shall remain to be the

sole properties of Party A. Should any infringement be found, Party B shall

promptly notify and assist Party A to take steps to protect the latter's rights.

(2)CHANGES.

Any changes of terms relating to this agreement must be done in a written form, and agreed upon by both parties.

This contract negotiations to resolve outstanding issues. This contract a

type IV. Two copies of both sides were armed with the same legal effect. The

two sides of this contract signed and sealed is effective.
