DEFINITIONS：定义 In this Agreement unless the context otherwise requires: 在此协议中除非有其它要求： 1. “ADB” means air dried basis. “ADB”是指空干基； 2. “ARB” means as received basis. “ARB”是指收到基； 3 “Cargo” means cargo of approximately 50,000MT +/-10% as per seller’s option. “Cargo”是指货物每船装运约50,000MT +/-10%卖方决定； 4. “Coal” means steaming coal produced for the Seller from South Kalimantan, Indonesia. “Coal”是指卖方产的 5. “Contract Quantity” means 50,000MT( +/-10% ) as per seller’s option. “Contract Quantity”是指50,000MT (+/-10%) 卖方决定； 6. “CFR” has meaning ascribed to such term in INCOTERMS 2010 (as amended from time to time. “CFR”含义等同于(随时修正的)INCOTERMS 2010确定的相同术语的含义； 7. “Loading Port” means the vessel berth / anchorage at, South Kalimantan, Indonesia, or such other port as the parties may agree to in writing. “装货港”是指船只停泊泊位/锚地，即印尼南加里曼丹或由双方书面同意的其他港口； Contract Number: Page 2 of 13 8． “Discharge Port” means in the People’s Republic of China, as may be designated by Buyer. “卸货港口”是指由买方指定的中国 码头； 9. “Kcal/Kg” means kilocalories of energy per kilogram of coal. “Kcal/Kg”是指每公斤煤炭的发热量； 10. When calculating any price or adjusted price, or component thereof, the results of such calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any tonnage, the results of such calculation shall be rounded to the nearest tonne and one half of a tonne shall be rounded up. 当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分。 当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且0.5吨应当四舍五入到1吨。 11. “US$” means (unless otherwise specified) the currency of the United States of America. “US$”是指美元(除非有其他规定)； 12. “Party” or “Parties” means Seller or Buyer or Both. “Party”或者“Parties”是指卖方或买方或双方； 13. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms. “公吨” 或 “MT” 或 “吨” 是指1000公斤； 14. “Base Price” means the base price for Coal fixed from time to time in accordance with Clause 3.1, 3.2 and 3.3. “基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价； 15. “CIQ” means Entry-Exit Inspection and Quarantine of the People’s Republic of China. “CIQ”是指中华人民共和国出入境检验检疫。 16. “SAIFU” means Shanghai Saifu Fuel Inspection and Test Co., Ltd. “SAIFU”是指在上海赛孚燃料检测有限公司。 “INSPECTORATE” means Inspectorate (Shanghai) Ltd. “INSPECTORATE” 是指上海英斯贝克商品检验有限公司。 17. “ISO” means International Organization for Standardization; “GB” means Chinese National Standards. “ISO”是指国际标准化组织；“GB”是指中国国家标准。 18. Delivery time at the Discharging Port means the first day when ship sail to discharge port or anchorage. 在卸货港交货时间意为船到达卸货港或者锚地的第一天。 19． Unless the context otherwise requires, the singular shall including the plural and vice versa. 除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。 20. Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance Contract Number: Page 3 of 13 with the terms and conditions set out below. The Seller and Buyer mutually agree as follows: 买卖双方均同意根据如下条款和条件购销煤炭：
1. QUANTITY 数量 Seller agrees to sell and Buyer agrees to purchase total Contract Quantity of approximately 50,000 MT +/-10% as per seller’s option. 卖方同意卖、买方同意买大约总合同数量为50,000MT的动力煤炭+/-10%卖方决定。
2. DELIVERY 出货 Delivery at the Discharging Port shall be made within 30 days upon signing the Contract. 在签署合同后的30天内运至卸货港。
3. PRICE 价格 3.1 The base price is USD per MT CFR , China. 基准价格为每吨 美金CFR ,China. 3.2 The Base Price shall be adjusted in accordance with Clause 4.2 and Clause 6.1. 基准价格按照本合同第4.2款和第6.1款予以调整。 3.3 The Base Price for Coal delivered shall be based on Net Calorific Value (ARB)of 5,500 kcal/kg. 所交付煤炭的基准价格的计价标准为热值收到基低位发热量5500大卡/公斤。
4.
