6.Delivery and payment terms to potential customers 与客户

签约后付货款的30%为首期款，70%于交付前付清。客户应于订单或发票被确认之日起五日内直接向品牌方账户支付。
Delivery term: FOB. Brand covers transportation cost outside China.
交付条件：FOB。品牌方中国境外的运输费用。
7.C ommission/ 佣金
7.1 The Brand shall pay the Agent commission at a rate of 15% of the purchase price originated from orders generated by the Agent. The commission thereof shall
be net amount of what the Agent eventually get. 品牌方按代理方所达成的订单金额的15%支付佣金，该佣金金额为代理方到手净值。
7.2 The Brand shall pay the Agent commission within
7 work days after the Brand receives payment from the
customer for the goods. If the price is paid at installment, the commission shall be paid at installment on a pro-rata basis. Any expense arising from remittance shall be borne by the Brand. 品牌方应自收到客户所付货款七个工作日内向代理方支付佣金。货款分期支付的，佣金也按比例分期支付。任何因付
款发生的费用均由品牌方承担。
7. The rights and responsibilities of Agent 代理方的权利和义

To secure potential customers;
To present actual situation of the Brand to customers;
To make best effort to accomplish the order;
Other obligations stipulated by Chinese contract

10.claims 索赔

10、争议解决/dispute settlement
Any dispute arising from or in connection with this Contract
shall be submitted to Shanghai International Arbitration Center
（SHIAC）for arbitration which
shall be conducted in accordance with the SHIAC 's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
凡因本合同引起的或与本合同有关的任何争议，均应提交上海国际仲裁中心，按照申请仲裁时该中心现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
11、语言/language
This contract is made both in Chinese and English. Where there is discrepancy, the English version shall prevail.

After content being confirmed by both parties, this contract shall be printed out by the buyer for execution and stamping, then it shall be faxed to the seller.
