Commissioned Personnel Service Contract
Party A:
Party B: Beijing Foreign Enterprise Human Resources Service Co., Ltd.
(FESCO)
Party A and Party B have, through friendly consultation and in accordance with the relevant laws of the People’s Republic of China, reached an agreement whereby Party A entrusts Party B to provide personnel services with the terms and conditions as stated below:
Chapter 1 General Provisions
Article 1 Term of the contract: The term of this contract is _____ years, from to . If both parties have no difference on maturity, the contract shall extend for one year automatically, and so on so forth.
Article 2 Definitions:
1.Staff member: It refers to the employees whom Party A directly engages
and entrusts Party B to provide personnel service to.
2.Personnel service: It refers to the personnel formalities to be completed
and social security and welfare and their service provided for the staff of Party A by Party B at the request of Party A in accordance with the relevant provisions of laws and regulations of the People’s Republic of China and those of this contract.

Chapter 2 Rights and Obligations of Party A
Article 3 Party A shall, in accordance with the Labor Law of the People’s Republic of China and other laws and regulations, exercise its rights independently in respect of engagement, management, dismissal of staff members, and shall independently bear the risks and liability in the process of employing staff members.
Article 4 Party A shall have the right to ask Party B to provide corresponding commissioned services and shall in return pay Party B the commissioned service fee on time as stipulated in the Annex 2: List of Services Items as entrusted by Party A and their Charges.
Article 5 In case Party B has any act in violation of the terms of this contract, Party A shall have the right to raise objection in writing, demanding Party B to fulfill its obligations hereunder, and Party B shall, within ten working days after receipt of letter of objection, give a reply in writing to Party A.
Article 6 When Party A changes the domicile of its registered office, it shall, fifteen days beforehand, notify Party B of its new domicile in writing; when Party A’s business license is altered, it shall, within fifteen days after its alteration, notify Party B in writing of the alteration.
Article 7 After Party A decides to engage a staff member, it shall issue a Notice of Commissioned Service (see Annex 1) and urge the staff member to go through the necessary formalities with Party B regarding commissioned service within 30 days upon being noticed. Party A is duty bound to ask the staff member to cooperate with Party B in completing the commissioned service formalities. If any commissioned service cannot be provided according to the contract term for reasons on the part of the staff member himself/herself, Party B shall bear no responsibility.
Article 8 After a staff member files an application for resignation with or is dismissed by Party A, Party A shall have the right to demand Party B to cooperate in completing the termination formalities for the commissioned service, subject to prior notice in writing, otherwise Party B shall take the date of receipt of the written notice as the closing day of service in calculating service fees.
Chapter 3 Rights and Obligations of Party B
Article 9 Party B shall, in accordance with the stipulations of this contract, provide Party A with commissioned services, and have the right to demand Party A to pay a service fee as prescribed by the contract. For details of service to be provided by Party B, see Annex 2 List of Services Items as entrusted by Party A and their Charges.
Article 10 Party B may, in consultation with Party A, formulate the relevant formalities for the provision of personnel service, and Party A and its staff members shall cooperate in the implementation of the formalities.
Article 11In case Party A has any act in violation of the terms of this contract, Party B shall have the right to raise objection in writing and demand Party A to fulfill its obligations hereunder. Party A shall, within ten working days after receipt of letter of objection, give a reply to Party A in writing.
Article 12 At the request of Party A, Party B shall assist Party A in conducting personnel management, providing corresponding services, listening to Party A’s suggestions and continuously improving its service work.
C hapter 4 Fees and Their Settlement
Article 13 Party A shall pay Party B commissioned service fees according to the specific standards as outlined in Annex 2. If the time of commission service is less than one month, the service fees shall be calculated on the basis of the actual number of days.
Article 14 Party A shall pay Party B commissioned service fees on the basis of a calendar month. The specific standards of payment shall take the form of a settlement bill that is to be sent to Party A by Party B. Party A shall, by the end of the current month after receipt of the settlement bill, pay Party B at the rates as determined on the settlement bill. If Party A finds any error in the settlement bill, it should contact Party B without delay.
Article 15 The commissioned service fees shall be paid in terms of Renminbi. Article 16 Regarding the premium standard of social security included in the commissioned service fees to be paid to Party B by Party A for each calendar year within the term of this contract, corresponding adjustment should be made to the standard with reference to the adjustment rate for social security premiums as published by the government. Party B shall, in the next month after the government issuing that of publication of the new standard in the current year, notify Party A in writing, whereby Party A shall adjust the amount of service fees.
Chapter 5 Breaching responsibilities
Article 17 In case Party A delays to pay Party B service fees without justified reasons acceptable to Party B, a 2‰penalty of the amount due shall be charged for each day delayed.
Article 18 Either party shall bear the responsibility of compensation to the other party if its failure to fulfill its obligations hereunder has led to any economic loss to the other party.
Chapter 6 Others
Article 19 Any matters and things not covered herein shall be settled by both parties through consultation or by a supplement to this contract.
Article 20 If, in the course of performance of this contract, any new laws and regulations promulgated by the Chinese government are contradictory to the terms of this contract, the new laws and regulations shall prevail.
Article 21 The staff members and the time of their commissioned services shall be defined expressly in the Notice of Commissioned Service (Annex 1) Article 22 In case of any dispute arising between Party A and Party B in the course of performing this contract, it shall be settled through friendly consultation. If the consultation fails, either party shall have the right to lodge a suit against the other at the court with jurisdiction.
Article 23 This contract is made in duplicate in Chinese and English languages, both versions being equally authentic. Party A and Party B hold one copy each of the two versions.
