In compliance with the Contract Law of the People's Republic of China, the Urban Real Estate Management Law of the People's Republic of China, and other related rules and regulations, the purchaser and seller came to the following agreement on the commercial property sale based on the principle of equality, voluntariness, and unanimous negotiation.

Article II Basis for Sales of Commercial Property
