Address: 35 west street high-tech zone San francisco in U.S.A

This Sales Contract is made by and between the Sellers and the Buyers whereby the Sellers agree to sell and the Buyers agree to buy the under—montioned goods according to the terms and conditions stipulated below:

Total value: SAY US DOLLARS EIGHT MILLION AND THITTY THOUSAND ONLY.

More or less 5% of the quantity and the amount are allowed.

PACKING: 1PCS IN A REOCCUPY CARTON

MARKS:To be designated by the Seller.

SHIPMENT

Time of shipment: Within 60 days upon receipt of the Letter of Credit whic

h according with relevant clauses of this contract.

Port of Shipment: Shanghai, China

Port of Destination: New York, America

Transshipment and Partial shipment are prohibited.

Insurance: to be effected by the seller for 110% of the invoice value covering against W.P.A and War Risk as per and subject to the Ocean Marine Cargo Clauses of the People's Insurance Company of China dated Jan.1,1981.If other coverage or an additional insurance is required, the Buyers must have the consent of the Sellers

before shipment, and the additional premium is to be borne by the Buyers.

Terms of PAYMENT:

The buyer shall open with an acceptable to the Seller an Irrevocable Letter of Credit at 60 days after sight,reaching the Seller not later than Oct.25,2012.

INSPECTION:

It is mutually agreed that he Certificate of Quality and Weight issued by China Entry-Exit Inspection and Quarantine Bureau.

Discrepancy and Claim

Any claim by the Buyers regarding the cargo shall be supported by survey r eport issued by a surveyor approved by the Seller and lodged within 45 days after the arrival of the cargo at the port of destinaton. The Seller will not con sider claims in respect of matters within responsibility of insurance company or shipping company.

Quality / Quantity Discrepancy and Claim:

In case the quality and/or quantity / weight are found the Buyers to be not i n conformity with the Contract after arrival of the goods at the port of destina tion, the Buyers may lodge claim with the Sellers supported by survey report i ssued by an inspection organizaiton agreed upon by both parties, with the exce ption, however, of those claims for which the insurance company and/or the sh ipping company are tobe held responsible. Claim for quality discrepancy should be filed by the Buyers within 30 days after arrival of the goods at the port of destination, while for quantity/weight discrepancy claim should be filed by t he Buyers within 15days after arrival of the goods at port of destination. The Sellers shall, within 30 days after receipt of the notification of the claim, end reply to the Buyers.

Validity of Claim

The Buyers have the rihgt to lodge claims for all losses sustained within 60 days after discharge of the goods at the port of destination.
