This Sale and Purchase Con tract (the “ Sale Con tract ” or this “ Contract ” ) is en tered into this day of May, 20 :

Each of Seller and Buyer is in dividually referred to here in as a “ Party ” and collectively refer
here in as the “ Parties ”
RECITALS
WHEREAS, Seller is the own er of the property of 14D, Buildi ng 3, Park View Tower; Seller desires to sell to Buyer, and Buyer desires to acquire from Seller, the entire ownership of the property and its associated gran ted land use right (the “ Property ” , as defi ned more specifically
Article 2 of this Sale Con tract);
NOW, THEREFORE, after friendly negotiations and in consideration of the Property and the
mutual cove nants contained herei n, the Parties hereby agree as follows:
Article I Represe ntati ons, Warra nties and Covenants
1.1 Seller hereby represe nts and warra nts that Seller is the duly registered owner of the Property and possesses the complete ben eficiary own ership rights to the Property. The Property is free from any encumbranee, including but not limited to mortgages and any other third party ‘ s interest an d/or other debt disputes.
1.2 Seller shall tran sfer the Property and its title deeds to Buyer in accorda nee with the terms of
this Con tract.
Article II The Property
1.1 The Property is located at __________________________________ , Beiji ng. The Property
Ownership Certificate No.: __________________ , the Gross Floor Area of the Property is
square meters. The Land Use Right Certificate No.: , the Land Use Right Area is square meters with an expirati on date of . Article III Purchase Price
Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller the Property at an aggregate price of RMB _________________________________ ( “ Purchase Price ”)
Article IV Payme nt Method and Title Tran sfer Procedure
1.1 Any payme nt of the Purchase Price un der this Con tract shall be made in RMB by Buyer in accorda nee with this Con tract. Any bank fees or charges in curred due to the payme nt should be borne by Buyer; any bank fees or charges in curred due to the receipt of the payme nt imposed by the Seller ‘ s Bank should be borne by Seller. 1.2 Both Seller and Buyer 即point and fully authorize XXXX Law Firm (the “ Lawyer ” ) to 即ply
for the tran sfer of the title deeds of the Property and pay releva nt taxes and fees and to take any
other action and sig n any docume nt n ecessary to complete the above tran sfers promptly.
1.3 Within three (3) worki ng days after the executi on of this Con tract, Buyer shall pay to Seller, as
an advanee payment, fifty percent (50%) of the Purchase Price, i.e. RMB ___________ (the
“ Advanee Payment ”)
1.4 Buyer shall pay, as the rema ining payme nt, the other fifty perce nt (50%) of the Purchase Price,
i.e. RMB _____________ (the “ Rema inin gPayme nt ” )by appl ying for the sec ond hand property
mortgage loa n from the Bank (the “ Bank "The Bank sould directly pay all mortgage loa n to Seller ‘ s bank account as described above.
1.4.1 With in ten (10) working days after the executi on of this Con tract, Buyer shall sig n the mortgage loa n agreeme nt and other releva nt docume nts with the Bank, and get approval from the bank with respect to the mortgage loa n applicatio n for the Rema ining Payme nt. Buyer shall hand over the photocopies of the above-me nti oned docume nts to the Lawyer.
1.4.2 Within ten (10) worki ng days after the executi on of this Con tract, both Parties and the Bank
shall sign a tri- party agreement (the -partTiAgreement ” ) in which the Bank agrees to release the loan (equivalent to the Remaining Payment) to Seller ‘ s account directly. Buyer shall hand over the photocopy of the Tri-party Agreeme nt to the Lawyer.
1.4.3 After Seller con firms the receipt of the Adva nee Payme nt, and upon receipt by the Lawyer of all of the docume nts and taxes and fees from both Parties as described in Article 6 and Article 7 of this Con tract, and within three (3) worki ng days after the docume nts men ti oned in Article 4.4 above are provided to the Lawyer, Lawyer shall submit the tran sfer applicati on (with all n ecessary support ing docume nts) of the Property Own ership Certificate to Beiji ng Con structi on Committee
Real Estate Exchange Center (the “ Center ” ) Within three (3) working days after the transfer of the Property Own ership Certificate is completed, Lawyer shall submit the tran sfer applicatio n (with all necessary supporting documents) of the Land Use Right Certificate to Beijing Land &Resource Bureau.
1.4.4 After the Property Own ership Certificate and the Land Use Right Certificate are tran sferred to Buyer, and after Lawyer receives all the origi nal certificates, Lawyer shall provide to the Bank with these certificates
