案例:

2003年8月,天津的A公司为了满足中秋节市场上对月饼的需求,打算购入一批月饼。A公司业务员通过网络搜寻,发现海南的B公司有货,且价格适中,于是通过电子邮件的形式与B公司销售人员多次进行信息往来。2003年8月24日,双方就月饼买卖的规格、价格、数量、付款等事项通过电子邮件达成协议,其中交货日期为2003年9月10日以前。

正当B公司销售人员准备组织货源时,B公司销售部经理却认为仅凭电子邮件形式,很难说合同已经有效成立,于是告知销售人员将电子邮件的内容打印出来,签字后用特快专递寄到天津让买方A公司签字。销售人员按照指令,在2003年8月27日发出特快专递,注明“本函为对以往电子邮件内容的确认,如欲订立合同,请于五日内,签字后同样以特快专递形式将本函寄回至我处,过期不候”。

A公司于8月29日收到专递后,立即在上面签字盖章,并在当日通过特快专递将确认函寄回海南。按照特快专递的正常速度,两日之内应当到达海南,但由于南方各航班因暴雨而延误,直到2003年9月4日才送至卖方B公司。B公司收到确认函后认为,有效日期已过,加上中秋时节客户很多,便不再理睬此事。2003年9月10日,A公司督促B公司履行交货义务,但B公司认为,合同并未成立。2003年9月12日中秋节后,A公司以B公司违约为由将其告上法庭,请求损害赔偿。

本案例纯属虚构,如有雷同,纯属巧合。

Case:

In October 2003, Company A, based in Tianjin, intended to purchase a batch of mooncakes to fulfill the demands for the coming Mid-autumn Day. A clerk from Company A searched the Internet and found Company B (In Hainan) has mooncakes in stock with reasonable price. He contacted Company B through email for some time. On 24th October 2003, the two companies set up a email agreement, stating the details such as prices, specifications, quantity and payment, etc.

The delivery date should be before 10th, September, 2003.

When people in Company B were preparing the goods, the sales manager noted that an email could not be a contract. So he asked a sales person to printed the email, signed it and sent to Company A by Express. The sales person, as ordered, sent out the printed email on 27th, October 2003, with a message “This is an acknowledgement of the agreement. Please sign and send back within 2 days in purpose of setting up the purchasing contract.”

Company A received the Express on 29th, October, signed and sealed at once and sent it back by express on the same day. Normally, the express should arrived by Hainan in 2 days. However, the flight was delayed by a storm and the express company didn’t send the acknowledgement to Company B until 4th, September, 2003. Since the late arrival of the acknowledgement and the increase of the number of customers, Company B left the acknowledgement aside, paying no attention. On 10, September 2003, Company A urged Company B to deliver the goods, while Company B didn’t think there was a contract ever. On, 12 September 2003, after the Mid-autumn Festival, Company A took Company B to the court for breach of contract, asking for remedy.
