What’s the Stock Option Program
• A stock option gives you the right to buy a share of Intel stock sometime in the future at a predetermined option price.

Eligibility &Option Grant
• All employees considered by Intel to be regular full-time employees are eligible to be recommended for stock option grants at: – Focal – At time of hire
• Stock Options when first granted are normally granted over a 5 year period and thereafter a grant is given in one yearly increments.
• Example: Employee Granted 25 Stock Options in April 1997
• First time participants
– A portion of the total shares vests in each of the first five years
• First Time Participants Grant, Vesting And Expire Date Explained.
• The goal of the stock option program is: to provide a competitive plan which allows us to attract and retain employees at all levels of the corporation
• Stock Options when for existing participants will have a five-year besting period
• Example: Employee first granted 25 Stock Options in April 1997

1998 focal granted another 25 options , 1999 focal granted 40 options
• Whatever the market price may be, at the time of sale, the option price of a particular grant -----remains fixed
Exercising Your Option
• You may sale your options at any time from the vested date to the expiration date (5 years)
Option Price and How It Determined
• Option price is the average of the high & low market price of Intel stock on the day the option grant is approved
• “Same - day sell” will be used by PRC employees
– Buy shares and sell them on the same day – Will not require money from your own pocket
