（13） Documents： The Sellers shall present to the negotiating bank， Clean On Board Bill of Lading， Invoice，Quality Certificate issued by the China Commodity Inspection Bureau or the Manufacturers， Survey Report on Quantity/Weight issued by the China Commodity Inspection Bureau， and Transferable Insurance policy or Insurance Certificate when this contract is made on CIF basis.
（14） For this contract signed on CIF basis， the premium should be 110% of invoice value. All risks insured should be included within this contract. If the Buyer asks to increase the insurance premium or scope of risks， he should get the permission of the Seller before time of loading， and all the charges thus incurred should be borne by the Buyer.
（15） Quality/Quantity Discrepancy； In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination； while for quantity discrepancy， claim should be filed by the Buyer
within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other transportation organizations and/or Post Office are liable.
（16） The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents.
（17） Arbitration：
All disputes in connection with this contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached， the case may then be submitted for arbitration to China International Economic And Trade Arbitration Commission in aordance with the provisional Rules of Procedures promulgated by the said Arbitration Commission. The arbitration shall take place in Bei __g and the decision of the Arbitration Commission shall be final and binding upon both parties； neither party shall seek
recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. Or arbitration may be settled in the third country mutually agreed upon by both parties.

11.装运通知：一俟装运完毕，卖方应即电告买方合同号、品名、已装载数量，发票总金额，毛重，运输工具名称及启运日期等。shipping advice ： the sellers shall immediately ， upon the pletion of the loading of the goods ， advise the buyers of the contract no ， names of modity ， loaded quantity ， invoice values ， gross weight ， names of vessel and shipment date by tlx/fax.
12.检验与索赔：
inspection and claims：
①卖方在发货前由检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。
the buyers shall have the qualities ， specifications ，quantities of the goods carefully inspected by the inspection authority ， which shall issue inspection certificate before shipment.
②货物到达目的的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的天内凭检验机构出具的检验证明书向卖方索赔。
the buyers have right to have the goods inspected by the local modity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in pliance with that specified in the contract， the buyers shall lodge claims against the sellers based on the inspection certificate issued by the modity inspection authority within days after the goods arrival at the destination.
③如买方提供索赔，凡属品质异议须于货到目的的口岸之日起天提出；凡属数量异议须于货到目的口岸之日起天提出。对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。 force majeure ： the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such ourrence.
14.争议之解决方式：
disputes settlement ：任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

15.法律适用

The Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers. (13)不可抗力：由于人力不可抗力的原由，发生在制造、装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任。在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽快发货。 Force Majeure: The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. (14）仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。 Arbitration: All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. In case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission. The Arbitration committee shall be final and binding upon both parties. And the Arbitration fee shall be borne by the losing parties.
