1.1. COMPANY appoints and authorizes BBB as its distributor for export sales to sell Products as defined in the Articles of Association of the Company (hereinafter the “Product” or “Products”) in the Territory. This appointment is exclusive. Accordingly, COMPANY agrees not to sell any Products in the Territory except through BBB under this Agreement.
第四条（地方税等）对于上述房地产所产生的收益归属及税收和公用事业费用等的承担以上述房地产的交房日为基准，地方税的缴纳义务及责任则根据地方税法的规定来执行。
第五条（解除协议）买方向卖方支付分期款（无分期款时，余额）前，卖方应偿还契约金的双倍，买方放弃契约金解除本协议。
第六条（不履行债务与损害赔偿）当卖方或买方不履行本协议内容时，一方可向不履行的另一方进行书面通告并解除协议。协议当事者可向对方要求解除协议的损害赔偿，针对损害赔偿如无明确规定，契约金可作为损害赔偿的基准。
Article VI (compensation for non-performing debts and damages) When the seller or the buyer does not fulfill the agreement, either party could give a written notice and cancel the agreement with the other party who fails to perform the agreement. The concerned party of the Agreement could request the other non-performing party compensation for damages of terminating the agreement. In case that there is no definite regulation, the contract amount could be regarded as the basis.
1.2. BBB accepts the appointment and agrees to use its commercially reasonable efforts to develop and increase trade in the Products in the Territory; provided that BBB is making no representation or warranty regarding the trade outside of the Territory and shall not have any liability of any kind to COMPANY as a result of the lack of any trade or the development or increase of any trade in the Products in the Territory for any reason or its failure to purchase or source Products from BBB for any reason. BBB retains the right in its sole discretion to purchase or source Products from any other affiliate or third person for sale in the Territory. Nothing in this Contract shall constitute any obligation of BBB to purchase or source Products from the COMPANY.
Article Ⅲ (abolition of Restrictive Real Right) Under circumstances related to the above real estate like mortgage rights, land use rights, leasehold rights and other circumstances that there are restrictions on the exercise of ownership or when the real estate is under taxes and other debts, the seller shall transfer the full ownership to the buyer after the elimination of any disputes and cost burden on the balance date. But the agreed rights and amount by loan are not in this case.
