根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称：《条例》)的规定，甲、乙双方在平等、自愿、公平和诚实信用的基础上，经协商一致，就乙方承租甲方可依法出租的房屋事宜，订立本合同。
Having reached unanimity through consultations, Party A and Party B, on the basis of voluntary, equality and mutual benefit, entered into this Lease Contract in respect of Party A letting the premises which it lawfully owns to Party B, and Party B leasing the premises from Party A in accordance with the relevant laws and regulations of
1.租赁物业GRANT OF TENANCY
1.1 甲方同意出租坐落在本市：_____________________的物业（以下称“该物
业”）。乙方也同意租用该物业，双方将遵守此房屋租赁合同(以下称“本合同”)所规定的条款及内容。
Party A agrees to let to Party B and Party B shall take lease from Party A the property located in this municipality at: ___________________________, China (hereinafter
referred to as ‘the Premises’), under the terms and conditions provided for in this Lease Contract (hereinafter referred to ‘this Contract’).

1.3 甲方作为该房屋的房地产权利人-业主与乙方建立租赁关系。签订本合同前甲
方已告知乙方该房屋未(已/未)设定抵押。该物业用途为住宅。
Party A, acting as Lessor (owner of the Property), has established a leasing relationship with Party B and informing Party B of no (no) mortgage related to the Property at the
signing of this Contract. The Premises is for residential purpose only.
2.租赁期限TERM
2.1甲乙双方一致同意租赁期限为年。从年月日至年月日
止。详见条款9.3。
Both Party A and Party B agree the lease term shall last for a period of year, from __ _-to _ __. Please refer to clause 9.3 for details.
2.2 乙方对该物业有优先续租权，但须于本合同自然终止日前一个月书面通知甲
方。续租期的月租金可根据届时市场价格进行合理调整。
Party B has the priority right to renew this Lease subject to serving a 1 months written notice to Party A prior to the natural expiry date. The monthly rent for the renewed lease term may be reasonably determined according to the prevailing market rate.
2.3甲方有责任保证乙方为唯一的房屋使用者。乙方在没有得到甲方书面许可的
情况下，无权以任何理由将物业转租给任何第三者。该物业的房屋性质为住宅用房，乙方不可用作其它用途。
Party A shall be responsible for ensuring Party B's privilege for using the Property
exclusively. Party B shall not be allowed to sub-let the Property to any third parties for any reason without obtaining written permission from Party A. The Property is for residential use only. Party B shall not use the Property for any other purposes.
3.保证金SECURITY DEPOSIT
3.1乙方应支付给甲方RMB￥元（）作为房租、家具家电和一切
设备的保证金以保证在整个租赁期限完全遵守条款中的义务。在整个租赁期限内，甲方将无息保留保证金。当乙方不履行本合同条款时，甲方有权根据第9.2条，没收保证金。该保证金不可视为预付的租金。
Party B shall pay Party A two months rent RMB￥as security deposit for rental, furniture and appliances, and all equipments inside for the full performance of its obligations during the whole lease term. The deposit shall be retained by Party A
throughout the term of this Lease without interest, with power to Party A to forfeit the
deposit according to clause 9.2 hereof, in the event of any non-performance or
non-observance of this Contract by Party B. It is expressly acknowledged that the deposit shall not be used as advance rental payment.
3.2在合同终止时，在乙方提出书面通知后及乙方将该物业以良好状态（合理磨
损、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外）交付给甲方后并在乙方结清所有费用后十个工作日内，甲方应将保证金无息归还乙方。若有任何由乙方造成的损坏（自然损坏、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外），甲方将从保证金中扣除合理赔偿后，其余部分将由甲方归还给乙方。如甲方逾期归还保证金，甲方须支付乙方每日0.3%保证金的滞纳金。
At the expiry of this Lease, after Party B’s written notice to Party A for lease termination, and upon the delivery of the Property to Party A in good condition (fair wear and tear,
damage caused by inherent or structural defects of the Property, damage resulted from Party A's failure to maintain and repair the Property excepted), Party A shall refund the deposit to Party B (without interest) within Ten (10) working days after Party B settled all payments under this Lease. If there is any loss or damage to the Property which is caused by default of Party B (fair wear and tear, damage caused by inherent or structure defects of the Property, damage resulted from Party A’s failure to maintain and repair the Property excepted), Party A may deduct a reasonable amount from the deposit as compensation and refund the balance thereof to Party B. In the event of any late refunding of the Deposit, Party A shall pay a liquidated damage at the rate of 0.3% of the Deposit per each day of delay to Party B.

5. 房屋使用要求和维修责任RESPONSIBILITIES TO REPAIR THE PREMISES
5.1 乙方发现该房屋及其附属设施有损坏或故障时，应及时通知甲方修复；甲方
应在接到乙方通知后的 5 日内进行维修。逾期不维修的，乙方可代为维修，费用由甲方承担。
In the event of any defect or malfunction of the Premises or its auxiliary facilities, Party B shall inform Party A in time for repairing. Party A shall render repair work within 5
days upon receipt of Party B’s notice. If Party A fails to repair after the above deadline, Party B can perform repairing work on its own and Party A shall be responsible for related charges and/or fees therefrom.
5.2乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当或不合理使用，
致使该房屋及其附属设施损坏或发生故障的，乙方应负责维修。乙方拒不维修，甲方可代为维修，费用由乙方承担。
Party B shall take good care of and reasonably use the leased premises and accessory facilities. Party B shall be responsible for prompt repairing or compensating any damage it caused to the premises or facilities resulting from improper use thereof. Failing such,
Party B shall bear all related charges of the repairing work conducted by Party A on behalf of Party B.
5.3甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房
屋进行检查、养护，应提前2日通知乙方。检查养护时，乙方应予以配合。
甲方应减少对乙方使用该房屋的影响。
Party A shall guarantee normal/usable condition and safety for the use of the let premises and accessory facilities during the term of the lease. Party A shall notify Party B 2 day before repair and maintenance work of the Premises. Party B shall offer cooperation
during repair and maintenance work. Party A shall minimize negative affect on the use of the Premises by Party B.
6.乙方的义务PARTY B'S OBLIGATIONS
乙方同意履行以下义务：
Party B agrees to observe the following obligations:
6.1对甲方所提供的家具家电（自然损坏或因潜在缺陷所造成的损坏除外。已列
于家具家电清单，详见附件二）必须爱护地使用，并且有责任使之处于正常保养状态。如因潜在缺陷而造成家具家电无法正常使用，甲方将负责维修和更换。
Take good care of and be responsible for the daily-use and maintenance of the furniture & electrical appliances supplied by Party A (fair wear and tear and damage caused by inherent defects excepted. Such furniture & electrical appliances are listed in Furniture & appliances List, please refer to Appendix II). If due to inherent defects any of the furniture & electrical appliances are not in proper function, Party A shall be liable to repair or
replace the relevant furniture & electrical appliances.
6.2未经甲方的书面同意，不得擅自变更固定设施及改变该物业的结构，甲方
不得拖延给予书面答复。
Not to erect, install or remove any fixtures, partitioning or to make any structural
additions or alterations to the Premise with out Party A’s prior written consent, Party A
shall not delay provide written response to such request.
6.3应严格遵守中华人民共和国的有关法律、条款、规定，对该物业的使用上
不允许以任何理由违背法律。乙方不得在该物业内存放武器弹药及其它任何违禁品。乙方应对任何违反中华人民共和国法律的行为承担法律责任。
To strictly comply with and adhere to all the laws, practices, regulations and decrees of the People's Republic of China which applicable to the use of the Property and
specifically not to permit the Property to be used for any purpose that is unlawful. The Party B shall not store arms, ammunition and any other restricted and unlawful goods in the Property. Party B shall be responsible for any violation of People’s Republic of
China’s laws
6.4有义务（合情理地）视情况保护该物业的非结构性的内部，使其免受自然如
风、雨等类似情况带来的损害。长时间离开该物业前，必须关好门、窗。合理赔偿甲方因乙方的过失或严重疏忽而对物业所引起的任何损失。
To take all reasonable precautions, to protect the nonstructural part of the interior of the Property against damages from wind, rain and other natural effects, while leave the
Property for a long period of time. Party B shall use its best efforts to make sure close and lock the door(s) and the windows of the Property. To reasonably compensate Party A for any loss or damage to the Property caused by the default or gross acts of negligence by Party B.
6.5遵守住宅小区的一切规章制度和规定. 在物业不得产生异常嘈音和声响以
至影响安静周围邻居的居住环境。
To comply with all the rules and regulations in the residential compound and not create
unreasonable loud noise in the Property so as to cause complaints from neighbors
6.6居住人需自行支付所有水、电、煤气、电话费和网络费。
Occupant shall be responsible to pay all the water, gas, electricity, telephone and Internet bills.
6.7购买私人财产保险。除非由甲方或甲方的雇员造成的过错，甲方不对乙方
的私有财产承担责任。
Purchase insurance to insure personal possessions. Unless otherwise caused by the default or negligence of Party A, its employees or its agents, Party A shall not be liable for any loss or damage of the personal property of Party B.
7.甲方的责任PARTY A'S OBLIGATIONS
7.1 保证该物业的结构、屋顶、外墙、进出该物业的排水、上水管道、下水道、
电路、热水炉和空调机组等处于良好的使用状态并对此负有及时维修责任。
如由于乙方的使用不当而造成的故障，其维修费用则由乙方自行承担。甲方将对由于未能及时修理该物业的上述设备而对乙方造成的直接损害负责。
To maintain the structure, roof, outside walls, drains, sewage, pipes, electric cables, hot water boiler and air conditioning units in good tenantable condition and repair promptly in case of any malfunction. In the event, malfunction is caused by Party B’s fault of misusing, cost for repairing shall be borne by Party B. Party A shall be responsible for direct damage suffered by Party B resulting from Party A’s failure to repair within reasonable time.
7.2如必须对物业的设备安装或维护，甲方需事先通知乙方，经乙方同意后，在
乙方方便的时间进行工作。
Notify Party B in advance of any necessary installation and maintenance of equipment or facility. With Party B’s consent, Party A may enter the leased Property to operate at
reasonable hours.
7.3 该房屋交付时存在缺陷的，甲方应自交付之日起的 5日内进行修复，逾期不
修复的，甲方同意减少租金并变更有关租金条款。
Repair any defected part of the Premises within 5 days after delivery in the event of any defects. Failing such, Party A shall agree to deduct rent and amend related terms for
rental payment.
7.4因甲方未告知乙方，该房屋出租前已抵押或产权转移已受到限制，造成乙方
损失的，甲方应负责赔偿。
Be responsible for any major damage suffered by Party B due to Party A’s failure to inform Party B of any mortgage or restricted ownership title transfer of the Premises before the leasing of the Premises.
7.5 不及时履行本合同约定的维修、养护责任，致使房屋损坏，造成乙方财产损
失或人身伤害的，甲方应承担赔偿责任。
R esponsible for physical and/or monetary damage suffered by Party B due to Party A’s failure to render repairing and maintenance work of the Premises in time to cause defect of the Premises.
8.甲方与物业管理的协调责任和所提供的设备和服务
PARTY A'S DUTY TO COORDINATE WITH PROPERTY MANAGEMENT TO PROVIDE FACILITIES AND SERVICES
8.1 提供空调机、1门电话线、煤气、水、电.
Provide Party B with air conditioning-heating units, 1 telephone line(s), gas, water and
electricity.
9.合同解除的规定及违约处理
TERMINATION OF THE LEASE CONTRACT AND BREACH OF THE CONTRACT
9.1 甲乙双方同意在租赁期内，有下列情况之一的，本合同终止，双方互不承担
责任：
During the lease term, this Contract shall be terminated when one of the following events occurs, Party A and Party B all do not take responsibility for the termination:
1) 该房屋占用范围内的土地使用权依法提前收回的；
The Premises’ land using right shall be retracted ahead of the schedule according to
the law;
2) 该房屋因社会公共利益被依法征用的；
The Premises shall be confiscated as society common wealth;
3) 该房屋因城市建设需要被依法列入房屋拆迁许可范围的；
The Premise is deemed to be damaged in law by government according to the city’s
construction plan;
4) 该房屋毁损，或者被鉴定为危险房屋的；
The Premises is damaged, or be appraised as dangerous property.
5) 甲方已告知乙方该房屋出租前已设定抵押，现被处分的。
Party A already noticed Party B that the Premises was mortgaged when signing the
contract, and for that reason the Premises is seized.
9.2 甲乙双方同意，有下列情况之一的，一方可书面通知另一方解除本合同。如
甲方违约，甲方应将保证金退还给乙方，并支付给乙方1个月租金作为违约金；若乙方违约，甲方可没收乙方的保证金作为违约金；给对方造成损失的，支付的违约金不足抵付一方损失的，还应赔偿造成的损失与违约金的差额部分：
Both Party A and Party B agree that one Party can notify the other Party to terminate the Contract, if either Party breaks the terms of following issues. If Party A breaches the
Contract, Party A shall return the security deposit to Party B and shall also pay two times of monthly rental as penalty to Party B. If Party B breaches the Contract, Party A shall have the right to forfeit Party B’s security deposit as penalty. If the penalty amount is not enough to cover the loss, the defaulting party shall also pay the difference to the other Party.
1) 甲方交付的房屋不符合本合同的约定，致使不能实现租赁目的的；或甲方
交付的房屋存在缺陷，危及乙方安全的；
The Premises which delivered by Party A is not in line with the specification in this
Contract, which causes the Premises can not be rented; or the Premises Party A
delivered is defective so as to endanger Party B’s safety.
2) 乙方未征得甲方书面同意改变该房屋用途，致使该房屋损坏的；
Without Party A’s written consent, Party B changes the use of the Premises as
stipulated in the Contract so as to damage the Premises.
3) 因乙方原因造成该房屋主体结构损坏的；
The Premises’ principal construction is damaged due to any other reasons caused by
Party B.
4) 乙方擅自转租该房屋，转让该房屋承租权或与他人交换各自承租的房屋
的；
Party B sub-lease, assign or exchange the Premises to other parties without Party A’s written consent.
5) 当因其本身的原因乙方不履行合同中的条款，包括租金的支付以及各种应
付费用到期未付（但不限于此），甲方以书面形式通知乙方，乙方接到甲
方的书面通知后，须在2天内履行有关条款，而2天后，乙方仍未纠正
违约行为的；
Only if Party B should default in its performance of any of the terms or conditions of
this Lease, including but not limited to the payment of the rent or any other amount
due and payable hereunder as and when such payment becomes due, and such
default has not been remedied by Party B within 14 calendar days after the receipt of
a written notice from Party A requiring Party B to rectify such default.
6) 如甲方违反本合同任何条款，并在收到乙方的书面通知要求其作出补救
后的2天内仍未对有关条约作出补救的。
In the event Party A breaches any provisions of this Contract and fails to remedy the
breach within 14 days after the receipt of a written notice from Party B.
9.3 在租赁合同的固定期限内，双方不得提前退租。
如果甲方在租赁合同的固定期限内提前终止本合同，甲方须提前1个月书面通知乙方，除退还乙方的保证金外，还将支付给乙方相当于1个月租金的违约金。
如果乙方在租赁合同的固定期限内提前终止本合同，乙方须提前1个月书面通知甲方，甲方有权没收乙方的保证金作为违约金。
During the period of the fixed lease term, neither party may terminate this Contract.
If Party A terminates the Contract during the fixed lease term, Party A shall give Party B two months prior written notice, and shall pay Party B two months rent as penalty and return the security deposit to Party B.
If Party B terminates the Contract during the fixed lease term, Party B shall give Party A two months prior written notice, and Party A shall have the right to forfeit the security
deposit as penalty.
9.4在本合同终止或按本合同提前结束时，乙方应按时将该物业交还给甲方，并
保持物业装修结构的良好状态，自然损坏除外。
Upon termination or expiry of this Lease Contract, Party B must revert on time possession of the Property in whole together with the fixture and fittings in proper order and condition, except normal wear and tear.
10.其它MISCELLANEOUS
甲乙双方一致同意如下：
Both Parties hereof further agree the following:
10.1乙方向甲方保证在合同上签字的代表人经乙方的全权授权，并且有权执行合
同和履行义务。
Party B undertakes to Party A, the person signing this Contract on behalf of Party B is duly authorized by Party B and has requisite power and authority to execute and deliver this Lease. Party B has full legal capacity to perform its obligations hereunder.
10.2甲方向乙方保证在合同上签字的代表人有甲方的全权授权，并且持有该物业
的合法拥有证明，有权执行合同和履行义务。
Party A undertakes to Party B, the person signing this Contract on behalf of Party A is
duly authorized by Party A and has requisite power and authority to execute and deliver this Lease. Party A has full legal capacity to perform its obligations hereunder.
10.3本租赁合同受中华人民共和国法律管辖和解释。
This Lease is governed by and construed in accordance with the laws of the People's Republic of China.
10.4本租赁合同由中英文组成，壹式贰份。双方（甲方，乙方）各执壹份。
This Lease is made in two original copies in both English and Chinese. Each Party
(Party A, Party B) holds one original copy.
10.5甲方向乙方声明和保证：
Party A hereby represents and warrants to Party B:
1) 该物业的建造和结构符合中华人民共和国关于建造房屋和防火法规，并已获
得所有必须的政府批准；
The Property has been constructed and maintained in accordance with all applicable
construction and fire safety regulations of the People's Republic of China and Party A has obtained all the necessary government approvals for the occupation of the Property;
2) 甲方拥有该物业的产权。甲方可抵押、出售该物业。但无论甲方把该物业抵
押或出售给第三方，乙方的租赁权益不受影响。如果该物业出售给第三方，甲方应先征求乙方的意见，在同等交易条件下，乙方具有优先购买权；
Party A possesses the ownership of the Property. Party A has the right to mortgage or sell the Property. In the event of mortgage or sell of the Property to a third party, Party A shall give a prior written notice to Party B and Party B’s obligations and rights under thi s Lease shall remain unaffected. When purchasing terms are equal, Party B shall have the first refusal right to purchase the Property
3) 物业设有上海市标准的供水、供电及供气，并已安装独立的水、电及煤气仪
表。甲方配合物业管理部门确保该物业所有排污管、下水道和供水管畅通无阻。
The Property is equipped with municipal standard supply of water, electricity and gas and separate meters for such utilities supply have been installed. Party A shall coordinate
with the property management maintaining in good, clean and usable conditions of
sewage, drainage and water pipes;
4) 甲方承诺赔偿乙方因甲方违反本合同所载之声明，保证或义务而产生的任何
损失，索赔或罚款，并承诺保障乙方免受因甲方违约而遭到任何损失，索赔款或罚款。
Party A undertakes to indemnify Party B in full and hold Party B harmless against any losses, claims or penalties which Party B may suffer as a result of any breach of Party A's representations, warranties and obligations stated in this Contract.
10.6乙方承诺赔偿甲方因乙方违反本合同所载之声明，保证或义务而产生的任
何损失，索赔或罚款，并承诺保障甲方免受因乙方违约而遭到任何损失，索赔款或罚款。
Party B undertakes to indemnify Party A in full and hold Party A harmless against any
losses, claims or penalties which Party A may suffer as a result of any breach of Party B's representations, warranties and obligations stated in this Contract.
10.7甲方如将该物业出售给第三者，本租赁合同对购得该物业的新业主仍然有
效。本租赁合同中所有适用于甲乙双方的条款，同样适用于新业主和乙方。
If Party A sells the Property to a third party, the terms and conditions herein contained in this Lease applicable to Party A and Party B shall still be applicable to the new landlord and Party B.
11.本合同的每一方需各自负责其就本合同所发生的法律费用
Each Party shall bear its own legal costs of and incidental to this Lease Contract.
12.本合同应在双方正式签署后生效。
This Lease shall come into effect upon signing by both Parties
13.本合同的附件是本合同的组成部分。
Appendix(es) of this Lease shall be considered as a part of this Lease.
尽管有上述之规定，本合同双方同意从签署本合同之日起遵守及履行本合同的所有条款。
Notwithstanding the above provisions, the Parties hereby agree to comply with and perform all of the provisions of this Lease from the date of signing.
