海外代理协议SAＬＥS AＧENCＹＡGRＥEMEＮＴ编号/No: 日期/Daｔｅ：此协议就是双方在平等互利基础上建立得,共同遵守下列条款:This Aｇreｅｍent ｉｓｍade among the ｐaｒties coｎcｅrned on ｔhｅ bａｓis of ｅｑuａlｉｔy and mutｕal beｎefits to deｖelｏp busiｎeｓs on teｒms aｎd conditions ｍuｔｕalｌy aｇreed upon ａs follｏws：1、协议相关各方当事人The paｒtieｓ cｏncerned生产商:鸿安企业(香港)子公司宜昌瑞英机电有限公司(以下简称“甲方”)Maｎufactureｒ: Ｓubsｉｄiaｒy of Hanover Ｅｎｔeｒprises Ltd、ＹichanｇＵnioｎＩnc、 (hｅreｉnafter refｅrrｅd ｔｏ as Parｔy A）代理商: (以下简称“乙方”）Ageｎt:(herｅｉnaｆteｒ referred ｔｏ aｓ Pａｒｔy B)2、独家代理权得授予Appoiｎtｍent oｆＥxclusive Ａｇeｎｔ甲方授权乙方为其单头电磁炉产品在日区域特约总经销商,全权负责甲方生产得产品在日本市场得推广,销售与售后服务事宜。
Pａｒty A herｅｂy appｏints Paｒｔy B as ｉｔs ｓole aｇeｎcy in tｈe Ｊapan marｋet to engage in the proｍotion, sａles and ａfter sａｌes serｖicｅｏf iｔs sｉngle-ｈob induｃtiｏn cooker、产品:由甲方生产得单头电磁炉。
moditｙ：Ｓingle－ｈob ｉnduｃtiｏｎｃookeｒs pｒoduｃeｄ bｙ Paｒty A、代理区域:仅限日本区域内。
Teｒrｉtｏｒｙ: Ｉn Ｊapan only、３、订单得确认 Conｆirmatiｏｎ on Ordｅrs关于协议所规定得上述商品得每笔交易,其数量、价格及装运条件等以甲乙双方另行签定得销售合同为准。
The qｕantitieｓ, ｐｒｉcｅs anｄ shiｐｍent of ｔｈｅ mｏdiｔies sｔated iｎ thｉｓ Agｒeemeｎt shａｌl be cｏnfirmed ｆor ｅach traｎsａｃtｉoｎ, the partiｃulars oｆ whｉch ar ｅ to be ｓpｅｃｉfied ｉn ｔhｅＳalｅs Ｃｏｎtｒacts sｉｇnｅｄ bｙｔhe ｔwo parties h ｅrｅｔo、4、付款Ｐayment Teｒmｓ订单确认后,乙方须通过T／T先向甲方支付30%定金,在出货前须将余款通过T/T得方式付清,或者按照有关销售合同所规定得时间开立以甲方为受益人得保兑得、不可撤消得即期信用证。
乙方开出信用证后,应立即通知甲方,以便甲方准备交货。

Remark: In casｅ the qｕanｔｉty of ordｅrs is less tｈan 5０0pcｓ, 1０0％ T/Ｔｂｅｆoｒe ｓｈiｐmeｎt、５、价格条款Ｐｒicｅ Teｒms价格：为了保证长期得合作,促进共同得发展,甲方提供产品价格表给乙方,各款报价详见其她附件。
Price: Ｐａrty A prｏvide quｏtaｔioｎ lｉsｔ of prｏｄucts ｔo Party B so aｓ to ｅｎsuｒe th ｅｌｏng term coｏｐeｒatiｏn ａnd jｏiｎt deｖelopment、Ｄetaｉled qｕｏtation is as ａddiｔioｎal attaｃhment、注1,如甲方推出新款产品，甲方将通过电邮通知乙方;注2,甲方保证报给乙方得价格为在日本区域内最低得价格。
注３，乙方不得擅自将价格表内容透漏给任何第三方,乙方必须严格执行与遵守甲方得价格体系。
Remａｒｋs：1, Ｏnce Party Ａｐrｏｍotｅ new ｐroduｃts, wiｌl inform Ｐartｙ B by ｅmaiｌ、２, Pａｒtｙ A maｋe sｕre ｏｆfereｄｔhｅ lowest pｒｉce foｒ Pａrｔｙ B ｗithin Ｊapａｎ areａ、3, Ｐaｒｔｙ B should noｔ leｔ out ｔhe quotaｔioｎｓ to any third parties bｕt musｔ execu ｔe stｒicｔly and aｄhｅｒe to the prｉcｅ sysｔem of Partｙ A、6、甲乙双方责任Liabilitｙ of Two Ｐaｒtｉes6、1产品质量Qualiｔｙｏf Product:甲方保证向乙方提供优质产品(甲方生产得电磁炉等一系列产品)，保证供货稳定; 当产品出现重大得质量问题,引起相关得投诉与法律纠纷时,甲方需要承担相应得责任。
Ｐaｒty Ａ gｕarantee all pｒoducｔs （series of inductiｏｎ cooｋeｒs) prｏviｄｅd wiｔh h ｉｇh qualｉｔy ａｎｄ stable supplｙ、 If there occuｒｓｂｉｇ probｌeｍｓｏn quaｌity and ｃａused plａiｎｔs or legａl dｉspｕｔes, ParｔｙＡｓhoｕld ａｆfoｒｄ the rｅｌaｔed responsibiliｔy、6、2产品配置Proｄｕct Ｃoｎfigｕraｔion如乙方没有特殊要求,则按照甲方公司提供得产品标准机型配置(如有特殊要求需要重新报价)。
Without sｐeｃｉal request from Parｔy Ｂ, aｌl producｔs are jｕst as Ｐarty A oｆｆeｒｅd, oｒｗilｌｂe ｎeeｄed tｏ renew thｅ quotatｉon、6、３产品包装及交货时间Ｐackaginｇａnd Deｌｉvery Timｅ甲方发货要保证货物得安全及包装适合长距离运输。
产品得颜色,商标,包装由乙方指定或中性包装。
一般货物得交货期为30个工作日,特殊机种双方另行约定交货时间。
Pａｒty A shall gｕarantee thｅ seｃuｒity and ｓｕitable ｐａcｋage foｒｌｏng－disｔanｃe ｏf shｉpｍｅnt、 Party Ｂｃoｕld ａppoinｔｔｈｅ cｏlｏr, brａnd anｄ package of pｒoduｃtｓｏr neutrａｌｐacｋi ｎg、Ｎormally tｈe deliverytiｍe is ３0 ｗoｒking days excｅｐt ｓoｍe ｓpecial products ｗhich need ｔo be agreeｄ sｅｐaｒaｔeｌｙ、6、4产品认证 Certifｉｃａtion of Products甲方现有产品及以后由甲方单独开发或者委托第三方生产得产品，由甲方提供出口日本所需得相关产品认证证书。
Paｒtｙ A should pｒovｉde ｔｈe necｅssary certiｆication for aｌl ｐroｄucｔs（noｗａva ｉlable and develoｐed lonelｙｉn tｈe future or pｒoduced by tｈe apｐointｅｄ thｉrd part ｙ ) exｐｏrtinｇｔo Japａｎ、６、5乙方需严格保密甲方得产品报价,技术资料，合作方式等商业机密。
经营活动不得损坏甲方得声誉。
Party B ｓhould keeｐ thｅｑuoｔatiｏn, technicaｌ daｔａ, business inｆoｒｍatioｎ of Par ｔｙ A sｔrｉcｔly cｏnｆiｄentiaｌ、 Opｅrａｔiｎg ａcｔivｉtieｓ cannot daｍaｇe the re ｐuｔaｔion of Parｔy Ａ、6、６乙方应尽力在日本区域市场推广销售产品,未经甲方许可,严禁跨区域销售甲方产品。
Pａrty B shoulｄ do beｓt pｒomｏｔing produｃts ｉn Ｊapａｎ, cannot sell pｒｏdｕｃｔs in othｅｒ arｅa without permissｉon of Pａｒｔｙ A、6、7乙方无论任何情况下,不得销售假冒伪劣或者未经授权许可产品,若因此引发第三方法律责任,则由乙方负责,一概与甲方无关,甲方将保留日后法律追究权利。
In any ｃaｓe, PａrtｙＢ cａnnｏt sell couｎterfeit and shｏｄｄy pｒｏduｃtｓ or otｈｅr unａｕthorizeｄ prodｕcts、 If it caｕsed ｌoss ｆor thiｒd paｒtｙ， Pａrty B sｈall tａke a ｌl reｓｐoｎsibilｉty、 No anｙ matter with Partｙ A but ｗilｌ reseｒve ｔhｅ rｉｇｈts to p ｕｒsue legａｌａction in futuｒe、7、业绩考核Performaｎce Evaluaｔion在本协议期限内,乙方应当销售甲方得产品到达金额。
如乙方在本协议期限内未完成前述销售金额，则甲方可另行选择第三方作为日本区域得总代理商。
Withｉn ｔhe ａgreeｄ perioｄ, Partｙ B shaｌｌａchｉeve ｔhe sales gｏal of Pａrty A’s pｒoduｃt:＿__＿＿___＿、 In ｃａsｅ Party Ｂcan’t aｃhｉｅve the goaｌ withiｎｔｈe aｇreed pｅｒiod, Parｔy A shalｌ choose tｈe ｔhird pａrｔｙto be tｈe geｎｅral ageｎt iｎ Jａpan、8、知识产权保护Inｔelｌeｃtual Property Proｔectioｎ乙方应当承担起协助保护该产品在其销售区域得专利保护责任,如协助在日本区域申请专利保护、申请注册商标及制止她人得侵权等,另外,甲方应申请注册商标。
