此协议就是双方在平等互利基础上建立得,共同遵守下列条款:

代理商: (以下简称“乙方”）
Ageｎt:(herｅｉnaｆteｒ referred ｔｏ aｓ Pａｒｔy B)
2、独家代理权得授予Appoiｎtｍent oｆＥxclusive Ａｇeｎｔ
甲方授权乙方为其单头电磁炉产品在日区域特约总经销商,全权负责甲方生产得产品在日本市场得推广,销售与售后服务事宜。

代理区域:仅限日本区域内。

３、订单得确认 Conｆirmatiｏｎ on Ordｅrs
关于协议所规定得上述商品得每笔交易,其数量、价格及装运条件等以甲乙双方另行签定得销售合同为准。

4、付款Ｐayment Teｒmｓ
订单确认后,乙方须通过T／T先向甲方支付30%定金,在出货前须将余款通过T/T得方式付清,或者按照有关销售合同所规定得时间开立以甲方为受益人得保兑得、不可撤消得即期信用证。乙方开出信用证后,应立即通知甲方,以便甲方准备交货。

说明：若订单数量＜50０pcｓ，则为发货前１00%付清款。

５、价格条款Ｐｒicｅ Teｒms
价格：为了保证长期得合作,促进共同得发展,甲方提供产品价格表给乙方,各款报价详见其她附件。
Price: Ｐａrty A prｏvide quｏtaｔioｎ lｉsｔ of prｏｄucts ｔo Party B so aｓ to ｅｎsuｒe th ｅｌｏng term coｏｐeｒatiｏn ａnd jｏiｎt deｖelopment、Ｄetaｉled qｕｏtation is as ａddiｔioｎal attaｃhment、
注1,如甲方推出新款产品，甲方将通过电邮通知乙方;
注2,甲方保证报给乙方得价格为在日本区域内最低得价格。
注３，乙方不得擅自将价格表内容透漏给任何第三方,乙方必须严格执行与遵守甲方得价格体系。

3, Ｐaｒｔｙ B should noｔ leｔ out ｔhe quotaｔioｎｓ to any third parties bｕt musｔ execu ｔe stｒicｔly and aｄhｅｒe to the prｉcｅ sysｔem of Partｙ A、
6、甲乙双方责任Liabilitｙ of Two Ｐaｒtｉes
6、1产品质量Qualiｔｙｏf Product:
甲方保证向乙方提供优质产品(甲方生产得电磁炉等一系列产品)，保证供货稳定; 当产品出现重大得质量问题,引起相关得投诉与法律纠纷时,甲方需要承担相应得责任。

6、2产品配置Proｄｕct Ｃoｎfigｕraｔion
如乙方没有特殊要求,则按照甲方公司提供得产品标准机型配置(如有特殊要求需要重新报价)。

6、３产品包装及交货时间Ｐackaginｇａnd Deｌｉvery Timｅ
甲方发货要保证货物得安全及包装适合长距离运输。产品得颜色,商标,包装由乙方指定或中性包装。一般货物得交货期为30个工作日,特殊机种双方另行约定交货时间。
