Accompanying with the fast growing of fracturing operation in petroleum industry in China, the usage of the staged fracturing tools will be expanded markedly.
By the invitation of Prof. Gu, University of Alberta (shall mean the Party B) will help Poly-Doctor Petroleum Tech no logy Co. Ltd. Beiji ng (shall mea n the Party A) to develop a packer rubber for staged fracturing tool. The site of the packer rubber manu facturi ng pla nt is selected in Alberta.

Articles of Rights and Obligatio ns of two Parties
The following articles have been discussed and agreed upon between Party A (stands for …)and Party B (stands for University of Alberta):
The scope of supply for this Con tract is Party B helps Party A to build a packer rubber for staged fracturing tool (required technical specification is attached in the technical in dex).Party A en trusts Party B to research and develop tech nique proposal of a packer rubber for staged fracturing tool. The following articles are reached and abided by the both parties.
Article 1: Defin iti ons
1.1 Tech nique proposal of a packer rubber for staged fracturi ng tool (here in after referred to as “ theSoluti on shall mean all the required tech niq ues to con struct the general idea which will commit the attached technical index requirements in attachment.
The Soluti on shall in clude all tech ni cal details of all desig ning schemes and experime ntal verificati on for key parameters.
1.2 "Technical documentations" shall mean all the necessary documents to design the Solution and all the verification documents that Party B will use in designing the Soluti on.
1.3 “ R&D shall mean research and development.
Article 2: Contents & Scopes of Con tract
2.1 The requireme nts of the Con tract Soluti on
2.1.1 Tech nical Conten t:
(a) Desig n tech ni cal proposal;
(b) Key features verificati on;
(c) Detailed technical requirements see technical index attachment.
2.2 The obligations of both parties
2.2.1 Party B shall submit the R&D pla n to Party A within two mon ths after this Con tract
comes into effect.
2.2.2 With the con firmati on of the both parties, within the validity of the Con tract,
Party A shall desig nate Mr. …as Party A'projectcon tact pers on . PartyB shall appo int Mr.…as Party B'project con tact pers on. If any c ha nges of thecon tact pers on occur, one party shallin form theother party basedon writte n materials in due time. If one party fails to promptlyinform the other party, it shall be held resp on sible for any in flue nce or damage caused by the un timely no tificati on duri ng
the performa nce of the Con tract.
2.3 Delivery
Party B shall deliver the Con tract Solution to Party A before November 1 st2012 , which shall be in accorda nce with the contents as specified in the tech ni cal in dex of In ter nal Order No: UAlberta-2012-11 of the attachme nt of the Con tract.
2.4 Assessme nt &Accepta nce
Con firmed by the both parties, Party A shall adopt the sig ned sta ndards and methods to exam ine and accept the Con tract Soluti on by Party B.
2.4.1 To en sure that the Con tract Soluti on supplied by Party B is correct, reliable
and advaneed , Party A and B shall jointly perform the assessment and acceptance of the technical Solution and core parameters in accordance with the provisions of items 2.1 -2.3 of the Con tract and tech nique attachme nt. If the tech ni cal Soluti on are qualified, both parties shall jointly sign a certificate of acceptance in two copies, one for each party.
2.4.2 If the Soluti on is n ot able to meet the requireme nts of the Con tract, both parties
shall hold frie ndly discussi ons to an alyze the reas ons and take measures to correct any defect and prepare for the sec ond assessme nt and accepta nce of the Con tract Solution, and the second assessment shall be delivered to Party A after 120 days of the date of Delivery .
