任何一项时超标拒收Any of the quality limits as per above parameters.
6.2 由第5条规定的煤炭质量不符而发生拒收产生的一切费用与责任均由卖方承担。
All cost and responsibility incurred to Buyers and Sellers as a result of the rejection of Coal quality pursuant to Article 6.1 shall be borne by Sellers.
7.数量与质量的认定Determination of Quantity and Quality
7.1装船前检验Pre-Shipment Inspection
7.1.1 买方指定的检验公司（SGS)或INTERTEK在装运港进行装船前检验，费用由卖方承担，SGS检验公司将出具一份装船前的重量、品质预检验报告给买方和卖方。该份检验报告将根据国际标准操作方式进行取样和化验，包含重量、水分和相关化学品质。买方指定的检验公司（SGS) 或INTERTEK出具的该份装船前报告将作为信用证项下付款单据之一。
The buyer specifies inspection Corporation (SGS) OR INTERTEK in the port of shipment for pre-shipment inspection, at the expense of the seller SGS) ORINTERTEK inspection of the company will produce a pre-shipment weight and quality inspection reports to the buyer and the seller. The inspection report will be based on international standards and practices for sampling and laboratory testing, including weight, moisture and related chemical quality. The buyer specifies inspection Corporation(SGS) ORINTERTEK issued by the pre-shipment report will be binding and final in the documentary letter of credit payment beneath.
7.2. 如果(SGS)OR INTERTEK的报告中显示的品质达到本合同规定的拒收标准，则该报告作为拒收的重要依据。If the Intertek report indicated the quality up to this rejection criteria stipulated in the contract, then the report will be the base for rejection.
7.3 最终检验Final Inspection(Not Applicable refer to article 7.2。

8.基本价格和价格调整Base price and price adjustment
8.1基本价格Base price
基准每公吨CIF价98美元，此价格包含货物在装运港的ORC、拖车费、驳船费以及货物装载到货船上的等费用。基本价格将用加减的方法进行调整，以致买方付给卖方的每吨价格将按第5条质量保证而确定的，如果装运质量的任何化学成份，除发热量外没有达到的条规定，基本价格将按下列内容加减如下：The base price of CIF USD98/MT shall be adjusted, so that the price per MT payable by buyer to seller for the shipment shall be in accord with the guaranteed quality of article 5. If the shipment does not meet any of the chemical specifications other than GCV, the base price shall be decreases as follows:
8.2 价格调整Price adjustment
8.2.1. 总水分（收到基）Total moisture (ARB)
如果所装煤炭由SGS或INTERTEK在卸货港做出的总水分百分比超过了17%，每增加1%的总水分相应扣減总重量1.2%, 18%以上买方可以拒收；
If total moisture percentage determined by SGSor INTERTEK China at the discharge port is above 17%, every 1% of the extra moisture will have the penalty as to deduct 1.2% of the total quantity. The Buyer has the right to reject the shipment if the moisture is over 18%.(Not applicable)
8.2.2. 热值（收到基）For net calorific value content
基本价格以6300大卡/千克（空干基）为基础，超过6300大卡/千克（空干基）部分，每增加100大卡/千克则价格相应增加1.3美元/吨，但超过6600（空干基）大卡部分不加价, 低于6300大卡/千克，每低100大卡减1.3美元/吨低于6100大卡/千克拒收。
Base price to 6300 kcal / kg (air dried basis), based on more than 6300 kcal / kg (air dried basis) of each additional 100 kcal / kg while the corresponding increase in price of 1.3 U.S. dollars / ton, but more than 6600 (air dried basis) is not part of the fare increase calories, less than 6300 kcal / kg, 100 kcal per low-cut 1.3 U.S. dollars / ton lower than 6100 kcal / kg rejection
8.2.3每月25日随国际油价调整航运费。本合同CIF价格中所包含的运费暂定为USDXXX/吨，如果因为航运费用的上涨，导致本合同的CIF价格超过USDXXX/吨，则双方另行议定。
With international oil prices, on the 25th each month to adjust shipping costs. This contract CIF price included shipping charges which is USDXXX/ton. If due to rising shipping costs, resulting in this contract CIF price will be more than USD XXX/MT, then the parties agree otherwis e.
8.2.4超灰份（收到基）For excess ASH (as received basis)
灰份超过10%，每超1.0%则每吨减去0.20美元，超过12%拒收。
At the rate of $0.2/mt for each 1%in excess of 12% above 18% to reject.
8.2.4超硫（收到基）For excess sulfur (as received basis):
硫超过1.0%，每超0.10%则每吨减去0.20美元，超过1.0%拒收。
At the rate of $ 0.2 per MT for each 0.1% in excess of 1.0% above 1.0% to reject.
9. 付款Payment
9.1 付款条款Payment terms
买方应由其银行按USD98/吨的100%开立不可撤销的,可循环不可转让的可抵押的,或90天跟单信用证。开证前，买方应向卖方提供的开证申请书供参考。。而卖方在收到买方开出之信用证后5个工作日内通过卖方银行向买方银行开出以买方为受益人的合同总价值2%的履约保函。
The bank by the buyer should be USD98 / ton 100% open irrevocable, divisible ,transferable and can be recycled can be mortgaged, or 90 days acceptance of credit. Before issuing the buyer the seller shall provide the issuing application for reference.

9.2付款Provisional payment
100%货款根据正本提单和装运港签发的数量和质量证明在装运后90天内承付。
The payment of 100% CIF shipment value will be paid by acceptance at 90 days after the date of shipment against the original B/L and the certificate issued by SGS at the loading port and the certificate should be made on basis of report both as per quantity and quality certificates issued by SGS k at loading port and original bill
of lading.
9.3 Not applicable (refer to article 7.2)
9.4 买方在合同签订后5个银行工作日内从世界一流银行开具一个以卖方为受益人的生效循环，不可以转让，金额为每批次货物金额的100%。信用证开具前的内容必须得到卖方的认可。卖方在收到买方开出的生效的后，三十天内到货.
The buyer signing the contract within 5 banking days from the issuance of a world-class bank in favor of the Seller from Hong Kong effective circulation, can be transferred, the amount of each batch of goods amount to 100%. The contents of the credit must be issued by the seller prior to approval. Buyer Seller has received after the entry into force out, within thirty days of arrival, because the contract for the CIF, the seller does not open such amount. Performance payments for FOB buyer get the goods, ninety days of payment the seller.

该信用证为完全可使用的，如果信用证修改是卖方要求并同意的，30天的装运期限则从收到修改后最终信用证之日起算。任何与迟开信用证或修改信用证而引起的成本、损失或责任均有责任方承担。
LC has to be fully operative, if amendment is required and accepted by seller’s consent, the 30days shipment period will be accounted from receipt of final LC amendments. Any cost/loss/responsibility due to any delay associated with LC issuance, and /or amen ding will be at duty part’s account.
9.6付款单据Document for the payment
9.6.1 信用证项下第一次付款
The payment against the LC：
a.以到货港SGS水尺证书减去额外水份和根据到货港SGS品质证书调整价格后的100%金额作为议付
依据的, 卖方正式签署的商业发票，三分正本，三份副本，发票按（收到基）大卡发热量缮制。
3/3 original and 3 copies of Seller’s duly signed commercial invoice based on ARB of calories indicating 100% shipment value to be negotiated basis on SGS certificate of draft survey weight, after deduction on excess moisture content and price adjustments (if applicable as per Article 8.2) based on the Certificate of sampling & Analysis issued by SGS.
投保项目为一切险和战争险、投保金额为货物发票金额110%，赔付地为中国的保险证明(保险单），一份正本，三份副本。
1 original and 3 copies of insurance policy/certificate for 110% of the invoice value showing claim payable
in China in currency of the credit covering all risks and war risk covered by buyer.
b.由任何印尼省级贸易机关发出之产地证明书一份原件三份副本
Certificate of Origin in 1 original and 3 copies issued by any provincial trade office in Indonesia.
c.由SGS签发之采样及分析凭证（证明）一份原件三份副本。Certificate of sampling & Analysis in 1
original and 3 copies issued by SGS
d.由SGS发出之重量证明一份原件三份副本Certificate of Weight in 1 original and 3 copies issued by SGS
e.3/3已装运清洁提单、空白背书，并标明“按照租船契约付款”并标明申请人。
3/3 set of “Clean on Board” shipped Bill of Lading made out order of LC issuing bank, blank endorsed market “Freight payable as per Charter party” notifying the applicant.
f.一份受益人证明，证明1/3套正本提单和其他一套不可议付单据（包括原始的形式发票）已由受益人
在提单日后48小时以快递方式寄给买方。
One Beneficiary certificate stating that 3/3 set of B/L and another set of Non-Negotiable documents (including the original Proforma Invoice)has already sent to the issuing bank notifying buyer by expressed airmail within 48 hours after bill of lading by the Beneficiary.
g.在提单日后2个工作日内提交给买方的受益人装船通知书，一份副本，此通知书注明合同号、信用
证号、货物名称、装货重量、质量、船名、提单号和日期、装货名称以及离港时间。
1copy of beneficiary’s shipment advice to buyer within 2 working days after date of bill of lading ,and recorded :contract number, LC No., name of commodity, loaded weight, and quality, name of carrying vessel B /L No. and date, name of loading port, and ETD from load port.
9.6.2第一次付款
The payment conditions against the LC：
9.6.3最终信用证议付款payment by acceptance under the LC：
a.
3 original and 3 copies of Seller’s duly signed final commercial invoice，the invoice value should be the
balance after the payment has been deducted and based on ARB of calories indicating 100% shipment value to be Accepted.
b. 由SGS或INTERTEK发出的到港质量检验报告正本一份副本三份。
Certificate of sampling & Analysis in 1 original and 3 copies issued bySGS.
c. 由SGSor INTERTEK发出的到港重量检验报告正本一份副本三份由SGS。
Certificate of Weight in 1 original and 3 copies issued by Intertek
9.7 其他信用证条款与条件
Other LC terms and conditions:
a.交货数量和信用证金额可以有10%的正负。Tolerance of plus or minus 10% on quantity and LC amount
will be acceptable.
b.本合同的价格调整为一次性调整Price adjusted as per this contract to be included in full.
c.可以接受租船提单Charter party B/L acceptable.
d.不可以接受第三方单据Third party documents are not acceptabl
e.
e.允许部分装运Partial shipment allowed.
禁止转船运输Transshipment prohibited.
10．卸货Discharging terms
10．1船舶到达目的港12小时后开始计算卸货时间。
12hours after the vessel arrival at the destination, start to calculate discharging time
10．2卸货时间为120小时以30000吨为例。（良好天气工作日，包括公休日和节假日）Discharging lasting 120hours for 30000MT (favorable working day, including general and festival holidays) 10.3 港口卸率：12000 吨/天（良好天气工作日，包括公休日和节假日）
10.4滞期费为每天USD12000/24小时，速卸费为滞期费的50%=USD6000/24小时，如产生滞期费/速卸费，双方必须于完成卸货后15工作日内结清滞期费/速卸费。
Demurrage rate:$12000 /24hours, dispatch rate : 50%of demurrage rate i.e. $6000/24hours
If have arisen demurrage charges/dispatch charges, such charges should be settled between both parties of the contract, within 15 working days after unloading conclusion.
10.5 卖方必须指示船方在船舶装运后24小时以及预计到达目的港前的72小时，48小时，24小时分别通知买方或卖方在港口的代理人。（通讯方法由卖方事先通知）
Sellers shall instruct the vessel to notify buyers or their port agents( communication style of which to be advised by sellers in advance) with 24 hours after the full cargo has been loaded, at least 72hours,48hours, 24hours prior to the estimated arrival time(ETA) of the vessel at destination port)
10.6 卖方须在货物装船后24小时内将1/3正本提单快件给买方，或者在货物运抵目的港之前的2个工作日，办妥电放货物手续，以便买方顺利报检和完成进口报关，如因卖方或船公司原因，不能及时卸船并将货物交给买方，则买方有权拒收货物，由此致产生额外的码头和船舶滞港费用，由卖方承担。
In order to make customs clearance by the Buyer , the Telex Release for B/L should be done by the Seller within 2 working days before the shipped cargo arrived at the discharge port or the seller send 1/3 original B/L to buyer via the express mail within 24 hours after the B/L date . In case the cargo would not be discharged and delivered to Buyer duly, the Buyer has the right to reject the goods. The Seller shall be charge with the additional fee due to the Seller's reason.
11．保证与索赔
Warranties and claims
11．1除了遵守合同中对煤炭描述和所有在合同中订明的公差外，卖方无其他担保，表白或暗示。
No warranties expressed or implied, are made by sellers other than that the coal conforms to the description in the contract and within ant tolerance started.
11．2如果任何一方没遵守或履行本合同的条款与条件，另一方拥有中止合同的权利。因中止合同，受到伤害的一方有权就所有的损失/额外的费用向另一方提出索赔。此索赔同样包括9.1内容。
In the event of either party’s failure to comply with ,and /or perform any of the terms and conditions of this contract, the other party shall be entitled to terminate this contract. Upon such termination, the injured party shall be entitled to claim all damages/extra costs& expenses which are incurred as a result therefore. Such claims will also include article9.1.
11.3 Not applicable(refer to 7.2)
11.4迟交货罚款Liquidated Damages
若卖方不能按本合同第3款规定时间内安排交货，买方应同意其在卖方支付迟交货罚款的条件下延期交货。迟交货罚款可由议付银行在议付货款时扣除。费率按每三（3）天收取0.5%但最高不超过合同总金额的5%计算。另一方面，一旦卖方超出本合同规定三十（30）天情况下仍不能交货，买方则有权取消本合同，卖方仍须按照上述规定向买方支付罚款。
Should the Seller fail to make delivery on time as stipulated as Article 3 of the Contract, with the exception of Force Majeure specified in clause 11, the Buyer shall agree to put off the delivery on condition that the Seller agrees to a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at 0.5% for every three (3) days but never exceed the 5 % of the total value of the Contract. On the other hand, in case the Seller fails to make delivery thirty (30) days after the stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller shall nevertheless pay the aforesaid penalty to the Buyer despite the cancellation of the Contract.
11.6若买方不能按本合同第9.1款规定时间内如期开出信用证，则买方同意向卖方支付罚金, 罚金金额为合同金额的2%.
If the Buyer fails to issue the operative LC within the period that shown in clause 9.1 in this contract, the Buyer agrees to pay a penalty to the Seller for the amount of 2% of the contract value.
12．不可抗力Force majeure
12．1 买方和/或卖方对发生的不可抗力事件不承担责任，包括但不限于起义行为或者民间骚动行为，或者动乱、战争或者军事行为、国内的或者国际的突发事件，政府行为或者政府的失职行为，或者自然灾害，如洪水、火山爆发、闪电、火灾、爆炸或者恶劣气候条件、个人的失职行为或者人为无法控制的事件。
Sellers and /or buyers shall not be held responsible for events caused by force majeure ,including but not limited to acts of insurrection or civil disorder, or disturbances ,war, or military operations, national or international emergencies, acts or omissions by governments, or monaural disasters, such as flood, volcanic eruption, lightning, fire, explosions, or inclement weather conditions, acts of omissions of persons or bodies or any causes beyond seller s’ or the buyers’ control.
12．2 在本合同下由于不可抗力事件，除了支付货款，任何一方既不承担损害责任也不承担履约责任，如果此类失误是符合本合同规定的不可抗力标准和条款的不可抗力事件所产生的结果将使用国际商会最新出版物。
Neither party shall be held responsible for damages or otherwise, for any failure of performance due to force majeure under this contract, other than the payment. If such failure resulted from force majeure events under this contract the standard force majeure article and provision are applicable per the latest publication of ICC.
12．3 此类事件一旦发生，从事发之日起20天内卖方应及时通知买方，以减少买方损失，并提交当地商会或权威机构出具的证明。
In such a case where force majeure may have arisen, sellers shall inform buyers on time, by which must be within 20days from the date of occurrence, in order to reduce the possible damages to buyers, and present the evidence issued by local authorities or chamber of commerce.
13．货权与风险转移Transfer of title and risks
13．1 当有关货物的价值经买方信用证完全支付后货权转移给买方。
The transfer of ownership to the buyer when the letter of credit fully paid by buyer.
13．2 在目的港卸货，当货物超过船舷时起，货物的风险由卖方转移给买方。
Risk with respect to the shipment shall pass from sellers to buyers when the cargo has crossed over the rails of carrying vessel while unloading by sellers in destination.
13．3 如果所装煤炭按第5条内容而发生拒收，则货权与风险损失凭买方通知仍移交给卖方。
In the event that a shipment of coal is rejected in accordance with article 5,the title of coal and the risk of loss or damage thereto shall back to sellers upon buyers’ notice.
14. 法律及仲裁Law and Arbitration:
14.1 This contract shall be governed by and construed in accordance with the Laws of the Hong Kong. Any dispute arising during execution of this contract shall be settled amicably by mutual agreement between the contracting parties. Should no agreement be reached, then the dispute shall be submitted for settlement to the Hong Kong International Arbitration Center under the International laws. The decision arrived at on arbitration shall be final and binding upon both parties.
本合约受香港法律管辖，在本约执行期间所生之任何争执应和善地由双方同意下解决，若无法达成协议，那么争议将依据中国法律提交至香港国际仲裁中心解决。在仲裁所做之判决应是最终，对双方有约束力。
14.2由此而产生的所有仲裁费用将有败诉方承担。
All cost relevant to and incurred from the arbitration shall be fully borne by the losing party.
15．通知Notice
对此合同的有关通知、请求和要求以及通讯均须以书面形式用私人和航空挂号办理，这样才被视作及时通知了对方。否则应在当日以电传、传真、电报或无线通讯快速通知对方。
All notices, requests, demands, and other communication hereunder shall be in writing and shall be deemed to have been duly given upon delivery to the party to be notified if delivered by personnel or registered airmail, or at the date of dispatch for notices by telex, facsimile, cable or radio unless otherwise expressly provided for on this contract.
16．合同生效日Effective date
本合同自买卖双方授权代表签署之日起开始生效并执行。
This contract shall be effective and executed as from the date the authorized representative of both sellers and buyers have signed.
本合同项下任何要求或允许的修改应用书面形式进行且相互正式认可。
Any amendments required or permitted under this agreement shall be sufficient made in writing by either party and duly acknowledged by each other.
17．整体合同Entire agreement
本合同包含了整个协议和买卖双方作为合同主体对合同的理解，取代先前的协议、描述、书面内容及双方之间的商量，任何一方均不承担先前的作为合同主题要素而作的契约、条件、保证或描述之责任。This contract contains the entire agreement and understanding between the parties, as to the subject matters of the contract, and merges and supersedes all prior agreement, representations, writing, and discussions between them. Neither of the parties will be bound by another obligations, conditions, warranties, or representations with respect to the subject matter of this contract.
本合同由中英文出具，如有冲突，以中文为准。兹经买卖双方的代表正式签署盖章，证明接受所有合同条款与条件，因而本合同合法而有效，对双方均有约束力。
The contract is published in Chinese and English. If dispute exist, the Chinese edition will be final. In witness whereof, the parties hereto have effected this contract to be executed by their duly authorized representative(s)
