第五条合营公司的组织形式为有限责任公司。
甲、乙方以各自认缴的出资额对合营公司承担责任，对合营企业超过认缴部分的债务，无论系分别债务或连带债务，均不承担责任。
各方按其出资额在注册资本中的比例分享利润和分担风险及亏损。
5．JOINT VENTURE shall be a limited liab ility company．Party A and Party B bear the res ponsibility of JOINT VENTURE respectively acco rding to the quota subscribed by each of them ，
none of the parties shall be responsible for the obligations and liabilities exceeding his/her sub scription quota，
whether they are joint or several．Each party sh all share the benefits and risks as well of the JOI NT VENTURE according to his/her contributing share to the registered capital．
