摘要 私募股权投资作为我国投资市场的新兴产物，经过10多年的发展，已成为资本市场中企业融资的重要渠道之一。近些年国家积极推动多层次资本市场的建立，大力发展场外市场。2013年1月全国中小企业股份转让系统成立，标志着全国性场外市场进入高速发展阶段。与此同时，作为重要补充的股权市场在全国范围内涌现，暴露出重复建设、同质化、经营效率低下等发展问题。股权市场为中小微企业服务提供金融支持，对经济转型升级具有重要作用。文章通过比较分析、实证分析等方法研究广东股权市场。 首先，大致阐述了私募股权的定义和特点。再者，分析通过广东省经济特点及中小微企业融资难问题，阐述私募股权市场对中小微企业发展的重要促进作用，并重点研究广东省三个股权市场的融资措施、效果、及发展方向。在多个方面的深入研究以及国内外横向比较分析的基础上，系统地提出广东股权市场的未来发展建议：需采用市场化运作方式，建立多层次的股权市场且股权市场内部的多层次化；完善顶层设计和制度建设，搭建完善的监管体制。

Abstract Private equity investment as a new product of China's investment market, after more than 10 years of development, has become one of the important channels of corporate finance in the capital market. In recent years, the state has actively promoted the establishment of a multi-level capital market, vigorously develop the OTC market. Key Words: Over-The-Counter market (OTC market); Guangdong equity market; Financing for medium, small and micro-sized enterprises; Financial suppor 1 1绪论 1.1私募股权投资的定义 根据前人有关理论和自身对私募股权的研究体会，本文作者将私募股权投资定义为通过私募形式对意欲融资的企业进行私下权益性投资，帮助企业进行业务整合、财务重整、税务结构优化、提升公司产品结构、完善公司营销系统，并在投资同时考虑将来退出机制，以便出售持股获利，如上市、并购或管理层回购。借用贾睿、黄清（2008）在其浅谈私募股权投资风险策略一文中提到的广义和狭义概念对私募股权投资进行理解，其广义上是指涵盖企业首次公开发行前各阶段的权益投资，即对所有既不能自由在公开交易所进行交易又不能公开对外出售的证券的股权投资；狭义上是指仅对已经具有一定规模并且产生稳定现金流的成熟企业的私募股权投资，我国私募股权投资机构多为此类公司。

1.2私募股权投资的特点

（1）非公开。通常以非公开方式面向少数机构投资者或个人募集资金，其销售和赎回都为私下操作，一般无需披露交易细节。（2）权益型。多采用普通股或可转让优先股的投资方式，对被投资企业的决策管理享有一定表决权。（3）回报要求高。偏向投资于已形成一定规模、产生稳定现金流的成熟非上市企业，投资期限一般达3～5年或更长，属于中长期投资，投资者通常要求高于公开市场的回报。

1.3 研究背景及意义

中国资本市场是伴随着经济体制改革，逐步建立和发展起来的。经过 30 多年的发展，中国资本市场取得了巨大的成就。此前市场主要由沪深主板、中小板和创业板组成，主板市场主要服务大型企业、国有企业；中小板、创业板服务中小企业，但实际门槛较高，只能覆盖优质中小企业的极小部分。门槛相对较低的场外市场在中国发展极其缓慢，规模极小。中国资本市场的结构简单，并呈现“倒金字塔”形。 中小企业通过资本市场直接融资渠道不畅，被迫转向间接融资，而银行出于风险防范，对于中小企业的信贷支持有限。不少中小企业只能转向成本极高的地下融资市场、小额贷市场，甚至无法获得发展所需资金，生存环境恶劣。 作为改革开放的先行地，广东省地区民营经济活跃，中小企业众多而近年来由于内外经济增速放缓、经济面临转型升级压力，中小企业发展受到较大冲击，2

融资难，发展慢。而私募股权市场正是服务中小企业、提供金融支持的重要平台，因此研究如何建设广东省私募股权市场、完善制度设计、丰富金融支持措施，从而缓解中小微企业融资难问题，引导民间资本进行合理有效配置，进而促进广东省经济保持持续、健康、快速发展具有极大的现实意义。
