双方协商同意按下列条款由卖方出售，买方购进下列货物：
The Buyer agrees to buy and the Seller agrees to sell the under mentioned goods on the terms and conditions stated below:
1.产品名称：Pope 2英寸实验室分子蒸馏仪零部件。清单如附件一。
Name of Goods: Spare parts for Pope 2” WFS, with details in Attachment 1.
2.总价：USD13,238.00. Total value of the contract: CIP BEIJING thirteen thousand two hundred
and thirty eight US Dollars only.
3.原产国：美国。Country of origin: The United States.
4.装运港：美国境内空运港。Port of shipment:Main Airport in United States.
5.交货期：合同签订后10周。Time of delivery: 10 weeks.
6.目的地：中国北京。Destination: Beijing Airport, China
7.保险：与CIP Beijing Airport贸易术语一致。To be consistent with terms CIP Beijing Airport.
8.付款条件: Terms of Payment
签订合同后即电汇支付100％货款。The 100% contract value will be paid by T/T with the order.
9.包装：所有包装物应能适合空运、防湿、防潮、防锈、防震、防倒置。由于包装不良以及采用不
充分或不妥善防护措施而造成任何损失和损坏所产生的费用由卖方负担。
Packing: Suitable for air transportation and well protected against dampness, moisture, rust，shake, and inversion . The Seller shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the Seller, and in such case or cases any losses or expenses incurred in
consequence thereof shall be borne by the Seller.
10.装运条件：货物发运后，卖方应在48小时之内将发货日期、合同号、货名、数量、发票、装箱
单以传真形式通知买方。不允许分批装运、不允许溢短装。
Term of shipment: After loading is completed, the Seller should notify the Buyer by fax the contract number, name of commodity, quantity, and the date of shipment, invoice, packing list within 48 hours. Partial shipment is not allowed, more or less than the quantity of contract is not allowed.
11.单据：卖方应提供发票3份、品质证明2份、装箱单3份、非木质包装证明2份、原产地证明2
份。以上单据应表明合同号、货物的名称、规格、数量、包装、合同总价等。
Documents: The Seller shall present the following documents to the invoice in 3 originals, certificate of quality and quantity in 2 originals, packing list in 3 originals, Certificate of non wood packing material in 2 originals, Country of Origin Certificate in 2 originals and indicating contract number, name of commodity, specifications, quantity, packing, total price.
12.质量要求和技术标准：卖方必须出据由买方确认的原厂家出据的技术标准和质量检验合格证，货
到后由买方进行检验。
Quality requirement and specification: The Seller shall present to the Buyer the original manufactures specification and the quality certificate, which is confirmed by the Buyer. The inspection shall be done by the Buyer after arrival of the goods.
13.异议与索赔：双方约定买方在货到目的地之日起45天内，如发现货物的质量、数量规格与本合
同规定不符或发现货物无论由于任何原因引起的缺陷或使用不良的原料，买方可申请商检局检验，并有权根据商检局出具的检验证书向卖方提出退换或索赔，由此产生的一切费用均由卖方承担。
Quality/quantity discrepancy and claim: In case the quality and/or quantity and specification are found by the Buyer to be not in conformity with the contract or should the goods prove defective for any reasons, including latent defect or the use of unsuitable materials within 45 days after arrival of the goods at the port of destination, the Buyer shall arrange for an inspection to be carried out by the Bureau and have the right to claim against the Seller on the strength of the inspection certificate issued by the Bureau. Any claim or exchange a purchase occurred, all the charges should on sellers account.
14.不可抗力：卖方对在设备制造及运输期间由不可抗力而引起的延迟交货或不能交货不负任何责
任，卖方应立即通知买方所发生的不可抗力，并在其后14天内，通过航空邮件，将由事发当地政府机关颁发的事故证书寄给买方，供其核查，在这种情况下，卖方仍有义务采取必要措施加快交货的速度。如事故长达10周以上，买方有权撤销合同。
Force Majeure: If force majeure is occurred the seller does not shoulder any responsibility for any failure or delay in delivery. The seller should notify the buyer of the occurrence of force majeure and send the buyer the occurrence proof issued by the local authority for further
