1 定义

1.1本合同下列术语应解释为:

1)合同”系指买卖双方签署的合同中载明的买卖双方达成的协议,包括所有的附件、附录和上述文件所提到的构成合同的所有文件,但各方在协议中明确指明不作为各方实质性权利义务约定,而仅作为履行相关程序而订立的格式文件除外。

2)合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。

3)货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和/或其它材料。

4)“伴随文件”指依照中华人民共和国法律要求的本合同设备出厂时应当一并提供的文件和

资料,包括安全技术规范要求的设计文件、产品质量合格证明、安装及使用维修说明、办理监督检验证明文件

所需的其他文件。

5)伴随服务”系指根据本合同规定卖方承担与供货有关的辅助服务,如运输、保险以及其它

的伴随服务,例如设计、安装技术指导、调试、提供技术支持、培训和合同中规定卖方应承担的其它义务。

6)合同条款”系指本合同条款。

7)买方”系指在合同条款中指明的购买货物和服务的单位,指。

8)卖方”系指在合同条款中指明的提供本合同项下货物和服务的公司或实体,POMAGALSKI 公司(以下简称“波马法国”)、波马嘉仕其(北京)索道有限责任公司(以下简称“波马北京”)。

9)“买方进口代理”系指为买卖双方此次设备进口提供买方进口代理服务的公司,指

10)项目现场”系指本合同项下货物安装、运行的现场,指。

11)“交货现场”指中。

12 )天”指日历夭数。

13)“验收证书”指由中国国家客运架空索道安全监督检验中心签署的证明,以表示按照合同条款及附件所规定的合同设备安装完成且性能测试顺利完成,合同设备批准投入使用的相关证明文件。

1 DEFINITIONS

1.1 In this contract, the following terms shall be interpreted as indicated:

1) "The Contract " means the agreement entered into between The Buyer and Seller, as recorded in the Contract signed by the parties, including all attachments and appendices thereto and all documents incorporated by

reference therein, with the exception of those format documents as specified in the agreement not for

substantial rights and obligation binding of the parties whereas for implementing relevant procedures only.

2) "The Contract Price " means the price payable to The Sellerby The Buyer under the Contract for the full and proper performance of its contractual obligations.

3) "The Goods" means all of the equipment, machinery, and/or other materials, which The Seller is required to supply to The Buyer under the Contract.

4) The Incidental Documents " means those documents and materials that shall be provided when the contractual equipment leaves the factory in accordance with the laws of People 's Republic of China, including the design document as required by the safety technical code, product quality qualification certificate, installation usage and maintenance instruction, and other document needed for supervision inspection documentary evidence.

5) "The Incidental Services " means those services ancillary to the supply of the Goods, such as transportation and insurance, and any other incidental services, such as

design, installation supervision, commissioning, provision of technical assistance, training, and other such

obligation of The Seller covered under the Contract.

6) "TCC" means the Terms and Conditions of this Contract.

7) "The Buyer" means the organisation purchasing the Goods and Services under this Contract, Sichuan Panxi

Lingshan Tourism Investment And Development Co., Ltd.

8) "The Seller" means the firm or entity supplying the Goods and Services under this Contract, POMAGALSKI,

(hereinafter referred to as POMA France) and Poma (Beijing) Ropeway Co., Ltd. (hereinafter referred to as

POMA Beijing).

9) 'The Import Agency of the Buyer " means the company providing import agency service for the buyer for the

imported equipment, that is

10) "The Project Site" means the location where the Goods are to be installed and operated, that is the ropeway

project site in Lingshan Scenic Area, Mianning County, Sichuan Province, P.R.C.

11) The Delivery Site " means the bottom station of the ropeway in Lingshan Scenic Area, Mianning County,

Sichuan Province, P.R.C.

12) "Day" means calendar day.

13) a ACCEPTANCE CERTIFICAT E means a certificate signed by the The State Safety Supervision and

Inspection Center For Passenger Aerial Ropeways Of China stating that the performance test of CONTRACT

EQUIPMENT has been completed successfully as specified in the corresponding Appendix and in the

Corresponding Articles of the CONTRACT. and the Contract Equipment is permitted into application.

2合同范围

2.1买方同意从卖方购买,卖方同意向买方提供合同设备:单线循环脱挂抱索器八人吊厢式索道一

套(含配件和伴随文件),以及使合同设备在现场能按照本合同及其附件的规定顺利运行(设

备安装中安装方责任导致的问题除外)的包括不限于该合同设备的设计、技术服务及技术培训、售后服务、质量保证等附属服务,本合同中统一称为合同设备。

2.2在初步设计的线路图(见附件)所约定的上下站点不变的情况下,最终线路图在不增加吊

箱数量和改变索道中心线的情况下,卖方将对合同设备及备件清单的完整性及准确性负责,不因附件2、附件3、附件4、附件5 (以下称为“建议清单”)缺项、漏项而免除责任,或要求增加合同包干价款。在买方根据卖方提供的说明和手册(包括日志)恰当地安装、操作和维护了合同设备、配件的情况下,如发现某些部件缺失(买方原因导致的丢失除外),卖方将无偿地、及时地向买方提供缺失部件。若最终交货范围低于或少于建议清单的应当相应降低合同价款。

若最终线路图需要增加吊箱数量和索道中心线改变的,按照“建议清单”中分项报价确定。

2.3合同设备保质期内,因质量问题不能正常使用的设备和配件卖方有义务免费并及时的向买方提供,并按照要求提供售

后服务。

2.4根据买方要求,卖方有义务向买方提供合同设备保质期届满后的设备、备件和售后服务,双方

届时将另签协议,但卖方保证给予中华人民共和国国内客户最优惠条件。

2.5备件和设计内吊箱增补的卖方承诺:

2.5.1增补的备件和吊箱,卖方应当按照合同质保要求为其承担质保义务;

2.5.2在备件和吊箱停止生产的情况下,卖方应事先将要停止生产的计划通知买方,使买方

有足够的时间采购所需的备件和吊箱;

2.5.3在备件和吊箱停止生产后,如果买方要求,卖方应免费向买方提供备件的蓝图、图纸、规格和材质;

2.6卖方应当对买方指定的安装公司进行详细的技术交底,并指派技术人员在项目现场对设备安装进行技术指导。

2. SCOPE OF CONTRACT

2.1 The Buyer agrees to buy from The Seller and The Seller agrees to supply to The Buyer the contractual equipment:

One Monocable Circulating Detachable Grips for 8 Seats

Suspension Cable Ropeway (including accessories and Incidental Documents), and the Incidental Service to make the contractual equipment run successfully (with exception of the problems caused by the installation party during the equipment installation) at site in accordance with this Contract and its Appendix, including but not limited to design, technical service and technical training, after-sales services, quality warranty etc. All are referred to as contractual equipment in the Contract.

2.2. Under conditions that the top and bottom stations specified in the Profile (see Appendix) in

the preliminary design remain unchanged and that the number of gondolas remain un-added and the centreline of the ropeway unchanged in the final Profile, The Seller shall be responsible for the completeness and correctness of the contractual equipment and spare parts list. The Seller shall not be exempted from any liabilities due to the lack of items/missing of the Appendix 2, Appendix 3, Appendix 4 and Appendix 5 (hereinafter referred to as suggestion

list ", or shall The Seller require to increase the turn-key contract price. The Seller shall provide If it is found that certain parts listed in the corresponding Appendix are missing (with the exception of the loss caused by the Buyer

's reason), the Seller shall supply the aforesaid parts to the Buyer free of charge in time, provided that the Buyer has installed, operated and maintained the contract equipment and the relevant parts properly and in accordance with the Seller ’ s instructions and manuals (including logs) for operation and maintenance. The contract price shall be decreased correspondingly if the final delivery scope is lower or less than the suggestion list.

If the final profile needs to add gondolas or change the ropeway centreline, it will be determined in accordance with the itemized price in the suggestion list.

2.3. The Seller shall, within the warranty period of the contract equipment, provide for free and in

time to The Buyer the components and accessories which cannot be used normally due to quality defects, and provide after-sales service in accordance with requirements.

2.4 In accordance with the requirements of The Buyer, The Seller shall be under obligations to

provide equipment, spare parts and after-sales service after the expiry of the warranty period of the contractual equipment. Both parties will sign another agreement then. The Seller shall promise to offer most favourable conditions for the clients in the People's Republic of China.

2.5 The Seller 's commitment on the increase of spare parts and gondolas in the design:

2.5.1 The Seller shall undertake warranty obligations for the increased spare parts and gondolas in accordance with the

warranty requirements in the Contract.

2.5.2 The seller shall give advance notification to the Buyer of the pending termination, sufficient time shall be given to

permit the Buyer to procure needed spare parts and gondolas,in the event of termination of production of the spare parts and gondolas;

2.5.3 The Seller shall furnish at no cost to the Buyer, the blueprints, drawings, specifications,

type of materials of the spare parts, if requested, following the termination of the spare parts and gondolas.

2.6 The Seller shall conduct detailed technical disclosure with the installation company

designated by the Buyer and dispatch technical personnel at site to do the technical supervision of the equipment installation.

3原产地

3.1本合同项下所提供的货物及服务均应来自于中华人民共和国或与中华人民共和国有正常贸易

往来的国家和地区(以下简称合格来源国”)。

3.2本条款所述的原产地”是指货物生产或提供有关服务的来源地。所述的货物”是指制造、加工或实质上装配

了主要部件而形成的货物。商业上公认的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品。

3.3货物和服务的原产地有别于卖方的国籍。

3 COUNTRY OF ORIGIN

3.1 All Goods and Services supplied under the Contract shall have their origin in the People

Republic of China (hereinafter referred to as "the PRC" ) or in the countries/areas, which have regular trade relations with the PRC (hereinafter called a eligible source

countries/areas ").

3.2 For purposes of this Clause, " origin" means the place where the Goods were produced,

or from which the Services are supplied. Goods are produced when, through manufacturing, processing, or substantial and major assembly of components. A commercially recognised product results that is

substantially different in basic characteristics or in purpose or utility from its components.

3.3The origin of Goods and Services is distinct from the nationality of The Seller.

4标准

4.1本合同下交付的货物应符合中华人民共和国有关客运索道相关要求和标准。如果中华人民共和国

内没有适用标准的,则应符合货物来源国适用的官方标准。这些标准必须是有关机构发布的最

新版本的标准。

4.2除非合同中另有规定,计量单位均采用中华人民共和国法定计量单位。

4 STANDARDS

4.1 The Goods supplied under this Contract shall conform to the requirements and standards

relating to passenger ropeway of the P.R.C. , and, when no applicable standard is mentioned in P.R.C. , to the authoritative standards appropriate to the Goods' country of origin. Such standards shall be the latest issued by the concerned institution.

4.2 All measurements shall be the measuring unit officially published by PRC, unless otherwise specified in the

Technical Specifications.

5 使用合同文件和资料

5.1没有其他方事先书面同意,合同任何一方不得将由另一方提供的有关合同或任何合同条文、规格、计划、图纸、模

型、样品或资料提供给与履行本合同无关的任何其他人。即使向与履行本合同有关的人员提供,也应注意保密并限于履行合同必须的范围。

5.2没有其他方事先书面同意,除了履行本合同之外,合同任何一方不应使用合同条款第 5.1条所

列举的任何文件和资料。

5.3合同各方应保护对方对所有违反本合同第五条规定使用技术文件和资料的索赔并在向其提交此类索赔后三十天内赔偿

相当于不当使用文件和/或资料当时市值五倍的金额。

5 USE OF CONTRACT DOCUMENTS AND INFORMATION

5.1 Any party shall not, without prior written consent of the other parties, disclose the Contract, or any provision thereof,

or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the party in connection therewith, to any person other than a

person employed by them in the performance of the Contract. Disclosure to any such employed person shall be made in confidence and shall extend only so far as may be necessary for purposes of such performance.

5.2 Any party shall not, without prior written consent of the other parties, make use of any document or information

enumerated in Contract Clause 5.1 except for purposes of performing the Contract.

5.3 All parties shall indemnify the other parties against all claims of infringement arising from the use of documents or

information in violation to Clause 5 of the Contract and shall pay a

compensation within thirty (30) days after such claims handed over to the other parties in

the amount of equal to five (5) times the market value of the goods related to the documents and/or information misused.

6知识产权

卖方应保证,买方在中华人民共和国境内使用该货物或货物的任何一部分时,免受第三方提出的侵犯其专利权、商标权、知识产权及非专利技术等的起诉。

6 INTELLECTUAL PROPERTY

The Seller shall indemnify the Buyer against all third claims of infringement of patent, trademark, intelligence property or non-patent rights etc. arising from use of the Goods or any part thereof in the PRC.

7 设计及设计联络

7.1买方应当按照中华人民共和国有关客运索道设计要求提供附件2第三条第1款约定的设计实

现。

7.2进度要求:

7.2.1买方向卖方交付索道线路测量资料之日起30日内,卖方应当向买方交付进一步设计的线路

图,经双方会审并签字确认后,作为双方认定的最终线路图。

7.2.2最终线路图确认且买方向其提供地勘资料后60日内,卖方应当向买方提交合格的支架基础

设计图纸、站内基础设计图纸、站房设备配置图纸,以及该等图纸相应的施工图纸。

7.2.3在最终线路图确认且买方向其提供地勘资料之日起30日内,卖方应当向国家客运架空索道

安全监督检验中心提供本项目设计审查所需要的所有资料,完成并通过设计审查并承担相应

费用。

7.3卖方明确并承诺因其对本项目支架、站内基础设计图纸(含施工图纸)的设计不具备中华人

民共和国法律要求的相应资质,为此卖方负责将相应设计内容分包给具有相应资质的设计单

位完成并承担相应费用,但卖方应当对分包单位的设计提供指导并对其设计责任承担连带责任。

7.4设计成果的确认和移交:

7.4.1卖方完成本项目的设计后,应交由买方进行书面确认且接到买方的生产通知后方可用于本项

目的设备生产。

7.4.2设计成果包括:

7.4.3卖方应将设计成果一式套,以书面和电子文档的方式向买方移交。

7.5最终图纸确认以后的设计变更

7.5.1买方有权提出进行设计修改和增补的意见,而卖方应认真对待,并尽量同意意见。

7.5.2因地质情况不符合地勘资料而导致设计图纸必须变更以及非因卖方原因导致的吊箱数量增加和索道中心线变更除

外,本项目任何设计变更导致的费用增加责任均应当由卖方承担。

7 DESIGN AND DESIGN LIAISON

7.1 The Buyer shall provide, in accordance with the relevant design requirements of passenger

ropeway of P.R.C., design realization stipulated in Article 3.1 of Appendix 2.

7.2 Progress Requirements

7.2.1 The Seller shall provide the Buyer with the profile further designed, within 30 days after

the Buyer provide the Seller with the ropeway profile measuring document. This further-designed profile shall be accepted by both parties as the final profile after joint review and signature by both parties.

7.2.2. The Seller shall provide the Buyer with the qualified tower foundation design drawing, in-station foundation design drawing, station equipment layout drawing and the construction drawing of the aforesaid drawings, within 60 days after the final profile is confirmed and the Buyer provides the geological survey document.

7.2.3 The Seller shall provide to The State Safety Supervision and Inspection Center For Passenger Aerial Ropeways Of

China all the documents necessary for design review of this

project, within 30 days after the final profile is confirmed and the Buyer provides the geological survey document, finish and pass the design review and bear relevant expenses,

7.3 The Seller shall state clearly and promise that the Seller shall be responsible for

subcontracting the design of tower, in-station foundation design drawing (including construction drawing) to the design company owning the relevant qualification and bear relevant expenses if the Seller does not have the

relevant qualification required by the laws

of P.R.C. for the design of tower, in-station foundation design drawing (including construction drawing). The Seller shall provide design supervision to the subcontracting company and bear joint liabilities for the design.

7.4 The confirmation and handover of the design result

7.4.1. After the Seller finishes the design of this project, the Seller shall submit the design to the Buyer for written approval.

Only after the production notice by the Buyer is received, can the design be used for the equipment production of this project.

7.4.2. The design includes:

7.4.3. The Seller shall handover to the Buyer in written and e-version the design, ()sets each.

7.5 Design alteration after the final drawing has been confirmed

7.5.1 The Buyer has the right to raise comments on design alteration and supplementation, whereas the Seller has to

treat seriously and try to agree with the comments.

7.5.2 The Seller shall bear all the increased expenses caused by the design alteration of this project, with the exception of

the necessary design alteration due to geological conditions inconformity with the geological survey documents and of increased number of gondolas and change of ropeway centreline caused by non-seller reasons.

The turnkey price for the imported part of the contractual equipment is 4225000 EURO (CIF Tianjin Port), composed of the following parts:

8.1.2进口设备范围和标准不应当低于附件的约定。

The scope and standards of the imported equipment shall not be lower than those stipulated in the Appendix.

8.2:波马北京部分:

Portion of POMA BJ:

8.2.1合同价国内部分包干总价为:大写:,小写:13000000元人民币(货到项目现场),

由以下部分组成:(详见附件 3.2)

The turnkey price for the domestic part of the contractual equipment is RMB (delivery to the project site ) , composed of the following parts (refer to Appendix 3,2):

8.2.2国内设备范围和标准不应当低于附件的约定。

The scope and standards of the domestic equipment shall not be lower than those stipulated in the Appendix.

8.3本条确认的包干价格包含了第二条合同范围及其他条款约定的卖方义务的所有费用。

The total price confirmed in this clause includes all the expenses under the Seller s ' obligation stipulated in Article 2 Scope of Contract and other clauses.

8.4即便8.1.1约定为CIF重庆港,但双方确认进口和国内所有设备交货地点均由卖方负责运送至项目现场(索道下站或距

离下站最近的集装箱货车所能到达的货场。不包括卸货及二次转运费用。)。

Although it 's stipulated in the Contract that the imported part of the contractual equipment is CIF, both parties confirm that the delivery place of all imported and domestic equipment shall be delivered to the project site by the Seller (bottom station of the ropeway or goods yard accessible to the truck with containers nearest to the bottom station, not including unloading and second transportation expenses)

8.5波马北京承诺:如果波马法国未将合同设备保险或运输办理至项目现场,则波马北京负责以其

名义办理波马法国合同设备到港之时至到达项目现场的保险和运输,并确保期间不存在任何可能导致风险的空隙,费用包括在进口部分和国内部分包干价格中。

POMA Beijing shall promise that POMA Beijing shall handle in the name of POMA Beijing the insurance and transportation of POMA France s equipment from seaport to project site and make sure there is no possible gap when risks may occur during this period, if POMA France cannot handle the insurance and transportation of the contractual equipment to the project site due to the CIF described in the Contract.

9 生产国别和制造厂商:法国或其他欧盟国家,POMAGALSKI公司

9 COUNTRY OF ORIGIN AND MANUFACTURERS : France or the other European Union Countries, POMAGALSKI.

10保险及在途风险:

10.1本合同下提供的货物应对其在制造、购置、运输、存放及交货过程中的丢失或损坏按本条款规定的方式,用合同货币

进行全面保险。

10.2卖方应用合同货币办理以发票金额百分之一百一^k (110% )投保的一切险和战争险至交货现

场,并以买方为受益人,保险费用已包含在本合同价款中。

10.3货物至交货现场后由买方承担交付后的风险,如部分或全部货物在运输途中发生灭失或损毁,

无论保险理赔与否,卖方应根据买方的要求先行按照原样和原合同约定价款增补相应货物,以尽量减少对项目工期的影响,买方应当在获得保险公司理赔之日起五个工作日内将该货物对应价款支付给卖方。

10 INSURANCE AND RISKS ON THE WAY OF TRANSPORTATION

10.1 The Goods supplied under the Contract by Seller shall be fully insured in Contract currency against loss or damage

incidental to manufacture, acquisition, transportation, storage and delivery in the manner specified in Contract.

10.2 Insurance is to be effected by the Seller in Contract currency for one hundred and ten

percent (110%) invoiced value on an "all risks " and "war risk deliVesyssWe. The

beneficiary shall be the Buyer.

10.3 The Buyer shall bear the risks after the goods delivered to the delivery site. In case of loss

or damage of part or all the goods on the way of transportation, no matter the insurance settles the claim or not, the Buyer shall resend relevant goods as per the original sample and price stipulated in the original contract on the requirements of the Buyer so as to reduce the influence to the project schedule. The Buyer shall pay to the Seller the corresponding price of the goods within 5 working days after the Buyer receives the settlement of the claim by the insurance company.

11包装:

11.1卖方应提供货物运至合同规定的项目现场所需要的包装,以防止货物在转运中损坏或变质。

这类包装应采取防潮、防雨、防锈防腐蚀、防震动及防止其它损坏的必要保护措施,从而保护货物能够经受必需的搬运、装卸及远洋和内陆的长途运输。卖方应承担由于其包装或其防护措施不妥而引起货物锈蚀、损坏和丢失的任何损失的责任。

11.2货物严禁采用松木类包装,如包装材料为其他木质品,则该木质包装必须经过制造商所在国

的IPPC (国际植物保护组织)机构的熏蒸处理,并在包装箱外部显著位置盖有IPPC标志。

11.3为考虑运输方便,上站和线路设备(钢丝绳除外)的单件重量不得超过4吨。

11 PACKING

11.1The Seller shall provide proper packing for the goods delivered to the project site as stipulated in the Contract. The

packing shall prevent the goods from damage or

deterioration during the transfer and shall take necessary protection measures to protect the Contract Goods from moisture, rain, rust, corrosion and shock, and other damage so as to make the goods endurable with necessary handling, loading and unloading as well as long-distance sea and inland transportations. The Seller shall be liable for any rust, damage and loss caused by inadequate or improper packing provided by the Seller.

11.2 The goods are prohibited from being packed with pinewood. If the packages are made in

wooden material except pine like wood, they need to be fumigating treated by IPPC (International Plant Protection Convention) located in the manufacturer ' country and marked at notable position of outside of the box with the words

I.P.P.C.

11.3 For the easier transport, the weight of a single piece of equipment for the line and top station should not exceed 4

tons, with the exception of steel wire rope.

11.4 The steel wire rope shall be packed with steel drum and delivered in two pieces in one

shipment.

12装运标记

12.2如果单件包装箱的重量在2吨或2吨以上,卖方应在包装箱两侧用英语和国际贸易通用的运

输标记标注重心"和起吊点"以便装卸和搬运。根据货物的特点和运输的不同要求,卖方应在

包装箱上清楚地标注小心轻放”、此端朝上,请勿倒置”、保持干燥”等字样和其他国际贸易

中使用的适当标记。

12 MARKING FOR SHIPMENT

12.1 The Seller shall mark the following on the four adjacent sides of each package with indelible paint in conspicuous

English printed words:

12.2 If any package weighs two (2) tons or more, the Seller shall mark on two sides of each package in English and with

appropriate transportation marks common in international trade, the "center of gravity" and "points of slinging" in order to facilitate loading, discharging and handling. According to the characteristics of the Goods and the different requirements in transportation, packages shall be marked legibly by the Seller with words "Handle with Care", "Right side Up", "Keep Dry", etc. and with other terms appropriate in international trade.

13装运条件:

13.1卖方应负责安排订舱位、运输和支付运费,以确保按照合同规定的交货期交货。

13.2进口设备货物应用集装箱运输。钢丝绳用托盘运输,卖方应采取有效的防护措施。

13.3承运的船只应来自合格来源国。

13.4卖方装运的货物不应超过合同规定的数量或重量。否则,买方对由此产生的一切费用和后果不承担责任。

13 TERMS OF DELIVERY

13.1 The Seller shall be responsible for booking shipping space and arranging the shipment and shall pay for the freight,

so as to ensure that the Goods will be delivered according to

the time schedule stipulated in the Contract.

13.2 The imported goods shall be packed in containers for transportation, except the steel wire

rope which shall be on the flat container, the Seller shall take effective protection measures.

13.3 The shipment shall be carried by vessel belonging to eligible source countries.

13.6 The Seller shall not ship more than the Contracted quantity or weight. If so, the Buyer shall not be responsible for any

cost or other consequence rose from shipment of excessive quantities or weight.

14装运通知:

14.1卖方应在接到买方的生产通知后30日内,将具体交货计划通过传真或邮件提交给买方,具

体交货计划若未能取得买方认可的,双方应当按照附件约定的交货期间完成交货。

14.2卖方应在发运前十五(15)天内以传真形式将合同号、货物名称、数量、箱数、总毛重、总体积(用m3表示)和在

装运口岸备妥待运日期通知买方,同时,卖方应用航空快件把详细的货物清单一式五(5)份,包括合同号、货物

名称、规格、数量、总体积(用m3表示)、

每箱尺寸(长胰X高)、单价、总金额、启运口岸、备妥待运日期和货物在运输、储存中的特殊要求和注意事项等寄给买方。

14.3卖方应在货物装完后并收到文件后立即以传真形式将合同号、货物名称、数量、总毛重、体积(用m3表示)、发

票金额、运输工具名称及启运日期通知买方。如果每个包装箱的体积达到或超过长12米(m),宽2.7米(m)和高3米(m),卖方应将每个包装箱的重量和体积通知买方,易燃品或危险品的细节还应另行注明。

14 SHIPPING ADVICE:

14.1 The Seller shall, within 30 days after receiving the production notice from the Buyer, provide the Buyer by fax or

email detailed shipment schedule.

14.2The Seller shall, within fifteen (15) days ahead of sea shipment, notify the Buyer by fax of Contract No., name of

Goods, quantity, number of packages, total gross weight, total volume (m 3) in cubic meters and the date of readiness for shipment at the port of loading.

At the same time, the Seller shall send to the Buyer by courier five copies of detailed list of

the Goods, including Contract No., name of Goods, specification, quantity, total volume (m 3)

and dimension of each package (length x width x height), unit and total price, port of shipment and date of readiness for shipment, and any special requirements or attention needed for the Goods during transportation and storage. 14.3 The Seller shall after completing of loading of the Goods and receiving documents, without delay notify the Buyer by

fax of Contract No., name of Goods, quantity, gross weight, volume (m 3) in cubic meters, invoiced value, name of carrying vessel/aircraft and date of its sailing/flight. If a package dimensions reach or exceed twelve (12) meters in length, two point seven (2.7) meters in width and three (3) meters in height, the Seller shall advise the Buyer of the weight and measurement of each package. The details of flammable and dangerous Goods, if any, shall also be indicated.

15伴随服务

15.1合同所述的伴随服务含在合同总价中。

15.2卖方应按合同条款和技术附件中规定提供包括不限于下列服务:

15.2.1对合同设备的现场组装、安装进行技术指导;

15.2.2对合同设备调试和试运行提供技术指导;

15.2.3提供设备安装和调试中所需的工具,详见附件5。

15.2.4为所供货物的每台主要设备提供详细的操作和维护手册(含中文版);

15.2.4对所供货物实施技术指导,维护或修理,且该服务并不能免除卖方在合同保证期内所承担的义务;

15.2.6在卖方厂家和/或在项目现场就所供货物的组装、试运行、运行、维护和/或修理对买方

人员进行培训。

15.2.7 一次主钢丝绳编接。

15.2.8根据买方通知,免费提供一次钢绳二次截短服务,工期不超过3天。

15.2.9机械和电气安装技术指导。

15.2.10负荷试车技术指导

15.2.11质保期内,接到买方通知后一周内,免费调整张紧系统一次。

15 INCIDENTAL SERVICES

15.1The incidental services as described in the Contract are included in the total contract price.

15.2 The Seller shall provide services in accordance with the clauses in the Contract and stipulations in the technical

appendix. The services include but not limited to the following:

15.2.1Technical supervision on the site assembling and installation of the contractual equipment.

15.2.2Technical supervision on the commissioning and trail run of the contractual equipment.

15.2.3Provide necessary tools for equipment installation and commissioning. Refer to Appendix 5.

15.2.4Provide detailed operation and maintenance manual (including Chinese version) of the main equipment of the Goods supplied.

15.2.5Provide technical supervision, maintenance or repair for the goods supplied, That service shall not exempt the Seller from the obligations under the Contract within the warranty period.

15.2.6Train the Buyer 's staff on the assembling, test run, operation, maintenance and/or repair of the goods supplied in the Seller s factory and/or on the project site.

15.2.7One time steel wire rope splicing.

15.2.8Provide free of charge first splicing and second shortening service upon the notice from the Buyer, the construction period shall be les than three days.

15.2.9Mechanical and electrical installation supervision

15.2.10Technical supervision on loaded car test.

15.2.11 During the warranty period, adjust free of charge the tensioning system for one time within one week after receiving the notice from the Buyer.

16备件和设计内吊箱

16.1卖方按照合同附件中的规定提供所需的备件。

16.2备件和设计最终最高运量内吊箱采购按照合同第2条约定。

16 SPARE PARTS AND GONDOLAS IN DESIGN

16.1 The Seller shall provide the necessary spare parts in accordance with the stipulations of the Appendix under the Contract.

16.2 The procurement of the spare parts and gondolas for the designed final maximum capacity shall be stipulated in accordance with Clause 2 under this Contract.

17检验和测试

17.1在交货前,卖方应对货物的质量、规格、性能、数量和重量等进行详细而全面的检验,并出具一份证明货物符合合同

规定的检验证书,检验证书是付款时提交给议付行的文件的一个组成部分,但不能作为有关质量、规格、性能、数量或重量的最终检验。卖方检验的结果和细节应附在质量检验证书后面。

17.2买方有权在接收货物时检验和/或测试货物,以确认货物是否符合合同规格的要求。

17.3检验和测试可以在卖方或供货商的驻地、交货地点和/或货物的最终目的地进行。

17.4如果任何被检验或测试的货物不能满足规格的要求,买方可以拒绝接受该货物,卖方应更换被拒绝的货物以满足合同

的要求。

17.5买方在货物到达现场后对货物进行检验、测试及因货物不满足合同要求时拒绝接受货物的权力将不会因为货物在从来

源国启运前通过了买方或其代表的检验、测试和认可而受到限制或放弃。

17.6合同条款第18条的规定不能免除卖方在合同项下的保证义务或其他义务。

17 INSPECTIONS AND TEST

17.1 The Seller shall conduct a detailed and overall inspection to the quality, specification, performance, quantity and weight etc. of the Goods before delivery and issue a certificate of inspection proving that the Goods conform to the stipulations of the Contract. The certificate of inspection is one of the documents that shall be submitted to the negotiating bank when making

the payment. The certificate of inspection is not the final inspection of the relevant quality, specification, performance, quantity or weight. The Seller shall attach the results and details of the inspection to the certificate of inspection.

17.2 The Buyer shall have the right to inspect and/or to test the Goods if it confirms to the

Contract specifications.

17.3 The inspections and tests may be conducted on the premises of the Seller or sub supplier (s), at point of delivery,

and/or at the Goods' final destination.

17.4 Should any inspected or tested Goods fail to conform to the Specifications, the Buyer may reject the Goods, and the

Seller shall replace the rejected Goods to meet the requirements of the Contract.

17.5 The Buyer's right to inspect, test and, where necessary, reject the Goods after the

Goods' arrival at the site shall in no way be limited or waived by reason of the Goods

having previously been inspected, tested, and passed by the Buyer or its representative

prior to the Goods' shipment from the country of origin.

17.6 Nothing in TCC Clause 22 shall in any way release the Seller from any warranty or other obligations under this

Contract

18 质量保证及履约保证

18.1卖方应保证合同项下所供货物是全新的、未使用过的,是卖方目前能提供最先进的技术和设备。卖方进一步保证,合

同项下提供的全部货物没有设计、材料或工艺上的缺陷,并且没有因卖方的行为或疏忽而产生的缺陷,这些缺陷是所供货物在最终目的地国家现行条件下正常使用可能产生的。如果卖方对上述情况负有责任,并且买方在合同条款规定的检验、安装、调试、验收期间和质量保证期内提出了索赔,卖方应按照买方同意的下列一种或几种方式结合起来解决索赔事宜:

18.1.1卖方同意退货并用合同规定的货币将货款退还给买方或买方,并承担由此发生的一切

损失和费用,包括利息、银行手续费、运费、保险费、检验费、仓储费、装卸费以及为看管和保护退回货物所需的其它必要费用。

18.1.2根据货物的偏差情况、损坏程度以及买方所遭受损失的金额,经买卖双方商定降低货

物的价格。

18.1.3用符合合同规定的规格,质量和性能要求的新零件、部件和/或设备来更换有缺陷的

部分和/或修补缺陷部分,卖方应承担一切费用和风险并负担买方蒙受的全部直接损失费用。

同时卖方应根据合同条款规定,相应延长所更换货物的质量保证期。

18.2质量保证期为买卖双方人员验收协议签署之日起的12个月,更换和维修的设备质保期为更换

和维修该设备后的12个月。

18.3质保期内所发现的缺陷买方应尽快以书面形式通知卖方。

18.4质保期内,设备发生故障时,卖方在24小时内响应,72小时内技术人员到达现场检查,卖

方应承担由此产生的所有费用。

18.5如果卖方收到通知后72小时内没有采取有效措施,买方可采取必要的补救措施,但其风险和

费用将由卖方承担,买方根据合同规定对卖方行使的其他权利不受影响。

18.6若在合同设备建设期间,由于卖方原因而造成卖方技术文件错误或内容缺失,卖方应在最短的合理期限内予以更正或

补充。买方有权向卖方提出索赔。

18.7如果在安装,调试和性能测试和保质期中,因卖方原因造成合同设备及材料出现了细小缺陷,

卖方可以书面形式委托买方予以解决。由此产生的费用由卖方向买方支付。如果损坏是由于

买方技术人员没有按照卖方提供的正确的技术文件和/或技术指导和或操作手册而造成,买方

应承担一切维修或更换费用,卖方有义务协助买方。

18.8在质保期内,如果合同设备由于卖方发货的失误而导致有任何的缺陷,买方应立即通知卖方,

如为卖方的责任,一旦收到买方索赔通知,卖方应在买方帮助下尽快免费更换或维修,并承担更换部件的运费和风险送达项目现场。

18.9在质保期内,合同设备损坏需维修或更换而停工5日及以上,设备质保期按实际停工时间相

应延长。

18.10对卖方交付的系统所进行的任何修改和/或修理应由经过培训合格的人员执行。

18.11按照各方的职责划分,各自对提供的测量资料、地质报告、设计文件、图纸等技术文件/资

料负责;各方没有责任检查其他方提供的文件/资料的正确性,但是各方均有责任提醒其他方

文件/资料中的错误。

18.12保证责任不适用于由于用户不遵守有效的操作、服务和维护手册以及不适当的使用。'

18.13波马嘉仕其(北京)索道有限责任公司和POMAGALSKI公司应对本合同项下的所有卖方

义务承担连带保证责任。

18 WARRANTY AND PERFORMANCE GUARANTEE

18.1 The Seller warrants that the Goods supplied under the Contract are new, unused, the most advanced

technology and equipment available by the Seller. The Seller further warrants that all Goods supplied under this Contract shall have no defect, arising from design, materials, or workmanship or from any act or omission of the Seller that may develop under normal use of the supplied Goods in the conditions prevailing in the country of final destination. In case the Seller is liable for the above mentioned situation and a claim is lodged by the Buyer within the time limit of inspection, erection, commissioning, acceptance test and the warranty period as stipulated in the Contract, the Seller shall settle the claim with the agreement of the Buyer in one or a combination of the following ways:

18.1.1 Agree to the rejection of the Contract Equipment and refund to the Buyer the value of the Contract Equipment so

rejected in the same currency as specified in the Contract and to bear the losses and expenses incurred including interest, accrued banking charges, freight and insurance premiums, inspection charges, storage, stevedore charges and other necessary expenses required for the custody and protection of the rejected Contract Equipment.

18.1.2 Devalue the Contract Equipment according to the degree of inferiority, extent of damage and amount of losses

suffered by the Buyer, as agreed between the Buyer and the Seller.

18.1.3 Replace the defective Contract Equipment with new parts, components and/or equipment which conform to the

specifications, quality and performance as specified in the

Contract, and/or repair the defective Contract Equipment at the Seller ' s expenses and

risks and bear all directly related expenses sustained by the Buyer. The Seller shall at the same time guarantee the quality of the replaced Contract Equipment for a further corresponding period according to the contract.

18.2 This warranty shall be 12 months from date of Acceptance agreement singed by both parties. The warranty period

for the replaced and repaired equipment shall be 12 months

after the equipment replacement and repair.

18.3 The Buyer shall promptly notify the Seller in writing of any defects within the warranty

period.

18.4 During warranty period, the Seller shall respond to the claims of the User within 24 hours when there is an equipment

fault, technical personnel to be on site for examination within 72 hours, all the charges shall be borne by the Seller.

18.5 If the Seller fails to take remedial action within 72 hours after receiving the notification, the Buyer may proceed to take

such remedial action, at the Seller's risk and expense and without prejudice to any other rights, which the Buyer may have against the Seller under the Contract.

18.6 During the construction period of the Contract Equipment, the Seller shall correct or supplement within the shortest

reasonable period the mistakes or content omissions in the Seller s technical document caused by the Seller reason.

The Buyer has the right to raise compensation to the Seller.

18.7 Should any minor defects to the CONTRACT EQUIPMENT and materials be found in the

course of the Erection, Commissioning, Performance-Test and warranty period due to the SELLER s responsibility, the SELLER may entrust such elimination of the minor defects at the SITE to the BUYER in written form. The expenses thus incurred shall be borne by the SELLER .I n case the damages to the CONTRACT EQUIPMENT are due to the fact that the BUY ER s technical personnel have not followed the SELLER ' s Documentation and/or

the correct technical instructions and/or manuals given by SELLER ’ s technical personnel,

then the BUYER shall be liable for necessary repairs and/or replacement and the SELLER shall be obliged to assist the BUYER in this regard.

18.8 During the warranty period, should any defect be found in the "CONTRACT EQUIPMENT

delivered by SELLER due to the SELLER ' s failure, the BUYER shall notify the SELLER immediately. In case of the SELLER s' responsibility, the SELLER shall make with the assistance of the BUYER for the replacement or repair free of charge as soon as

reasonably possible upon receiving the BUYER ' s certification for claim and shall be responsible for the risk and freight arisin g from the replacement up to the " CONTRACT

SITE” .

18.9 During the warranty period, if the operation of the "CONTRACT EQUIPMENThas to be

stopped for 5 days or more due to any defective CONTRACT EQUIPMENT which needs

to be replaced or repaired, the warranty period shall be prolonged by the time length of the operation stoppage occurred.

18.10 Any changes and/or repairs on the delivered system shall be taken by the eligible persons trained by the Seller.. 18.11 Each party shall be responsible for their own work such as surveying reports, geologic reports, design documents

and drawings or other information provided by themselves respectively. Neither party shall be obliged to check instructions and documents provided by the other party, for their correctness. However, each party has the obligation to warn the other party regarding obviously incorrect instructions/documents.

18.12 The warranty obligation does not apply to defects that are due to non-compliance with applicable operating-, service-,

maintenance- manuals and inappropriate use by the Client.

18.13 Poma (Beijing) Ropeway Co., Ltd. and POMAGALSKI shall take joint-liabilities for all the obligations of the Seller

under this Contract. The Seller shall take joint-liabilities for the obligations of the import agency.

19付款条件及付款单据

本合同所列明的合同价格(价格有效期至2014年1月1日,超过此日期后价格每年增加1%。),

买方将以如下方式及比例向卖方支付:

19.1本合同签订之日起日内,买方应当向卖方(波马北京)支付预付款100万元,该款项

支付之日起卖方应当进行本项目的设计工作,并按照合同约定提交设计成果和完成设计事项。

19.2买方向卖方签发开始生产设备的书面通知后,卖方方能实施除设计工作而外的其他本合同约定工作以及进行必要准备和投入。

19.3进口设备部分的付款

19.3.1买方发出生产通知之日起,卖方应当在15日内向买方提供且买方在收到卖方以下与合

同相一致的单据后的5天内支付给波马法国进口设备部分总金额的15%预付款。

a)一份出口许可证复印件,该许可证由卖方国家机关出具,或者由卖方出具的无需许可证的证明。

b)合同总金额形式发票四份,并注明预付款金额。

c)卖方提供一流银行开具且买方指定的国内一流银行认可的以买方为受益人的金额为合同总

价15%的预付款保函一份,保函有效期至最后一批交货的提单日后一个月。

d)卖方提供一流银行开具且买方指定的国内一流银行认可的以买方为受益人的金额为合同

总价%的合同履约保函一份,保函有效期至卖方合同义务届满后一个月。

19.3.2买方银行开立以卖方波马法国为受益人的金额为进口设备部分总金额85%的不可撤销的可

接受的即期付款信用证。本合同签订后双方根据最终安装施工计划对附件4进行合理调整作为卖

方发货依据,卖方确保在信用证开立之日起三个月内按照发货进度表的约定发出第一批货,并确保所有设备在9个月内分批到达交货现场。

买方将按批次通过下列单据议付进口设备当批货款,所有进口设备到达后议付至进口设备总价的70%货款:

a)填写通知买方的空白抬头、空白背书的已装运清洁提单正本三份、副本三份,注明运费已付”;

b)金额相当于当批次所发运的进口设备总金额的正本商业发票一式五份;

c) 详细装箱单一式五份;

d) 当批次货物保险单一份正本两份副本按发票金额的110%投保一切险和战争险至交货现

场;

e) 由货物制造厂签发的质量和数量证明书两份;

f) 由卖方出具的关于木箱包装材料已经熏蒸处理的证明书并证明未用松木类的包装材料;

g) 生产厂家所在地权威机构出具的原产地证明一份正本、二份副本;

注:卖方保证除将上述单据通过银行提交买方外,买方需于船到重庆港前至少1周收到

壹套上述正本单据。

19.3.3信用证项下剩余的15%的金额在合同设备安装完成并通过国家客运架空索道安全监督检验中心的验收合格后,凭下

列正确无误的单据议付:

a) 金额相当于进口设备总金额15%的正本商业发票一式五份;

b) 由国家客运架空索道安全监督检验中心签发的本合同设备验收合格的报告副本一份,且加盖买方原件公章。

c) 卖方一流银行开具的以买方为受益人的金额为进口设备总金额5%的不可撤销质保期保

函一份,保函有效期至验收合格后一年。

19 TERMS OF PAYMENT AND DOCUMENTS:

The Buyer shall pay the Contract price (price valid till Jan. 1,2014) to the Seller in the following method and percentage: 19.1 days after the Contract signature, the Buyer shall pay to the Seller (POMA Beijing)()

(ten thousand yuan) as the down payment. The Seller shall, from the date of payment, conduct the design work for this project and submit the design and complete the design issues in accordance with the stipulations of the Contract.

19.2 Only after the Buyer issues to the Seller the written notice of starting the equipment production, can the Seller perform other works stipulated in the Contract besides design and conduct necessary preparation and investment.

19.3 Payment for imported equipment portion

19.3.1 The Buyer shall pay to POMA France the down payment equivalent to 15% of the total amount of imported

equipment within 5 days after the Seller provides the following documents conforming to the Contract within 15 days after the Buyer issues the Production Notice and the Buyer receives such documents.:

a) Photostat copy of effective export license issued by the relevant authorities of the Seller's country or one of the

Seller's statements certifying that no export license is required.

b) Proforma invoice covering the total Contract price in four (4) copies, indicating the relative down payment amount.

c) One Guarantee for down payment covering fifteen percent (15%) of the total Contract price issued by the Seller ' s

bank in favor of the Buyernd confirmed by a first class bank in China designated by the Buyer, the guarantee shall be expired till one month after the date of last B/L.

d) One Performance Guarantee covering % of the total Contract price issued by the Seller ' s

bank in favor of the Buyer and confirmed by a first class bank in China designated by the

Buyer, the guarantee shall be expired till one month after the obligations of the Seller under this contract expire.

19.3.2 The Buyer shal l open an irrevocable documentary Letter of Credit with the Buyer ' s bank

acceptable and in favor of the Seller POMA France for eighty five Percent (85%) of the

total amount of imported equipment. Both parties shall, in accordance with the final installation construction schedule after the contract signature, adjust reasonably Appendix

4 as the delivery basis of the Seller. The Seller shall promise to deliver the first batch of

goods in accordance with the delivery schedule within 3 months after the opening date of the L/C and make sure that all equipment arrive at site in batches within 9 months.

The Buyer shall negotiate in batches the payment of that batch of the imported equipment against the presentation of the following documents. Seventy Percent (70%) of total amount of the imported equipment shall be negotiated after the arrival of all imported equipment.:

a) Three origina ls and three copies clean on board Ocean bill of lading marked a freight

prepaid " and made out to order, blank endorsed and notifying the Buyer;

b) Five originals of commercial invoice covering the relevant amount for each shipment of the total value of Contract;

c) Five originals of detailed packing lists;

d) Insurance policy or certificate in one original and two copies for 110% of the invoice value covering all risks and war

risk to delivery site;

e) Two originals of quality and quantity certificate issued by the manufacturer of the Goods;

f) One original copy of quarantine certificate issued by the Seller to certify the fumigation treatment to the wooden

packing materials and no pine-like wood are used for packing;

g) One original and two copies of country of origin issue d by authority of the manufacturer ' s

Note: The Seller shall guarantee to provide the Buyer the aforesaid documents through bank and that the Buyer receive one original set of aforesaid relevant documents at least one week before shipment arrival at Tianjin port.

19.3.3 The remaining Fifteen Percent (15%) under L/C shall be negotiated against the installation completion of contractual

equipment and acceptance by the China National Passenger Aerial Ropeway Safety Supervise and Inspection Center upon presentation of the following true and correct documents:

a) The original commercial invoice covering fifteen percent (15%) of the total amount of imported equipment in five (5)

copies.

b) One copy of Acceptance Report issued by China National Passenger Aerial Ropeway Safety Supervise and Inspection

Center, stamped by the Buyer in original.

c) One irrevocable Letter of Guarantee for Warranty Period covering five percent (5%) of the total amount of imported equipment through a first class bank in favor of the Buyer, the guarantee shall be expired within 1 year after the date of the acceptance.

21 安装、调试、性能测试及验收

21.1安装是指合同设备安装工作,包括在合同现场根据设计图纸合同设备的就位、组装和连接在内。

调试指合同设备完成安装后,进行的以性能测试为目的的运行。

性能测试是指以检验合同设备符合本合同相关附件规定的各种保证值为目的进行的合同设备的测试。

验收是指合同设备取得了由中国国家客运架空索道安全监督检验中心签署的证明,以表示按照合同条款及附件所规定的合同项目的性能测试的顺利完成,合同设备批准投入使用。

21.2合同设备的安装须由买方指定安装商并按照卖方提供的伴随文件、技术文件、在其技术指导下执行。

21.3合同设备的调试、性能测试由卖方完成,买方及安装商应当配合。

21.4在合同设备的安装、调试、性能测试期间,买方须提供合格的安装员、操作员和维修员(包括买方的受训技术人员),

且卖方须负责技术指导及操作演示,以便尽早了解设备的性能和操作、维修方法。

21.5卖方和买方在开始安装前一个月各指定一名代表(此后称之为现场代表)处理从安装到合同设备验收期间合同相关的

所有技术性事宜的沟通和确认。

21.6在各项合同设备安装完成之后,买卖双方现场代表应共同签署安装完成的确认文件,次日起在45日内完成调试。

在调试阶段,双方应根据技术文件共同进行测试和评估。当双方现场代表在合同基础上一致认为调试成功,该试验即告完成。双方现场代表应在五日内签署索检中心要求的相关报告。

21.7若被测试设备达到当前合同相应附件中规定的保证值,双方代表应在三天之内签署确认各检测设备性能测试记录。若

在性能测试中,各合同项目中的合同设备性能达到技术规格要求及当前合同规定的保证值,买方邀请中国国家客运架空索道安全监督检验中心进行最终检测,该中心签署验收报告,表明合同设备已经成功按照合同相关条款及附件要求完成性能测试,合同设备批准投入使用。

如果合同设备的性能和/或在相应附件的技术参数在按合同和相关附件的性能测试中不能达

至L双方应分析原因,明确责任并按如下方式解决:

21.7.1由于卖方原因导致的,可延长4周用以解决,此延长期间的所有费用(包括但不限于卖方

技术人员和设备相关费用)由卖方支付。如合同设备的性能或技术参数在延长期限内仍因卖方因达不到合同及其附件中的规定,则买方可从第5周起向卖方要求违约赔偿。(违约赔偿

详见26条)

21.7.2由于买方(包括安装方等)原因导致的,在延长期间的开支由买方支付,包括卖方技术人员的相关费用,但应当给

予优惠。若合同设备或任何保证值在延期过程中仍然无法满足合同或其附件的规定(对运行安全有明显影响的情况除外),双方现场代表签署一份书面文件确认该设备并报索检中心验收,并且卖方仍应协助买方分析原因并采取措施,以使各项保证值尽快达到相应的附件规定。

21.7.3若卖方或买方均有责任,则双方现场代表应在性能测试期内根据实际情况协商解决相应问题。

21.8在最终验收合格前,如果由于卖方原因而造成设备无法使用,买方可以使用已出售给买方的备件,卖方应自担一切费

用与风险,尽早补足,并不可影响项目进程。

21.9在最终验收合格前,如果由于买方的技术人员没有遵守卖方技术文件的规定或没有听从卖方技术人员的指示而引起设

备损坏,卖方有责任帮助买方修复损坏零件并补充缺失,期间所产生

的费用和支出由买方负责。

21.10合同设备最终验收合格的不能免除卖方在保修期内对合同设备的保证责任。
