1.0 PRODUCT 产品
Both Buyer and Seller do confirm with full corporate authority, that they are ready, willing and able to execute the said Transaction. The seller herewith sell and the Buyer herewith purchase Electrolytic Copper Cathodes in accordance with the specifications and quality described in this contract (hereinafter called "Goods").
买卖双方都要详细地确认法人权威，双方准备，愿意并能够执行所谈的交易。根据合同，卖方出售，买方购买电解铜，其所述的产品规格和质量应与合同中规定的一致。
2.0 DELIVERY BASIS AND TERMS 交货条款
2.1:Seller shall take up a marine insurance for all risks or otherwise specific in accordance with the Institute Cargo Clause (A) including revised insolvency exclusion clauses S.R.C.C. War Risk Clauses, for the amount of 110% of the full shipped-value of the Goods.
卖方承担一切保险或规定货物条款(A)标明的其他海洋保险包括修正的无能力偿付债务除外条款，S.R,C.C 战争险条款，由最终卖方为电解铜装货所有价值的110%金额投保

Trial order: 2000tons (+/-5%)
The first contract is only a test operation between the parties, after the latter two parties will engage in a long-term collaboration. The Contract : 4000MT up per month for 12 months. R&E Five years）
试单2000吨，年单合同每月4000吨以上，合同延至第五年。
4.0 QUALITY OF GOODS 商品质量
The Seller guarantee to the Buyer that the Goods delivered under the present Contract will correspond to the characteristics shown below:
卖方保证向买方发送现有合同规定下的货物，其特性如下：
4.1:The Electrolytic Copper Cathodes shall conform to ISRI codes and Specifications as follows 电解阴极铜应符合ISRI条款以及以下规格：
SPECIFICATIONS (规格:Cu99.99-99.97%) :
Quality –99.99% Purity (Electrolytic Copper Cathodes, Grade A) 99.97 %, Minimum, 99.99% Maximum, conforming to the LONDON METAL EXCHANGE (LME) specification and BS en 1978: 1998 analyst and standard.
质量- 纯度为99.99% ( 电解阴极铜,A极) 最低99.97%，最高99.99%，伦敦金属交易所( LME )规格
If the element exceed the specification above-mentioned in this contract（except Cu）(Sulfur can not be higher than international standards),the price shall be decreased by US100 per Metric Ton for each element. Such penalty shall be deducted from the final payment.
如果元素超过本合同上述规订(除Cu外)(硫不能高于国际标准)，每个元素的价格应降低US100 /公吨，这种罚款应从最后付款中扣除

5.0 PACKING 包装

6.0 INSPECTION 检验
6.1. The cost of Quality Inspection Certificate at the Port of Loading shall be paid by the
seller at port of loading.
在装货港的质量检验费用，应由卖方支付。
6.2．Measurement and Samples. 测量和样品
The measurement of quantities and the taking of samples for the purposes of determining the quality of the product subject matter of this SPAC, shall be carried out both at the port of loading and at the port of discharge in accordance with the general practices as accepted in the Copper Cathode Industry, which SGS and Qualified International Quality Inspectors mutually agreed by both of the Parties hereto, binding for both parties.
本合同产品数量的测定以及为测量产品质量而进行的产品采样应当在装货港和卸货港进行，检验按照电解铜行业的一般做法进行，由合同双方彼此认可的SGS合法有资质的国际检测公司来操作，对双方都有约束力。
7.0 . PRICE AND TOTAL AMOUNT OF CONTRACT 价格及合同总额
The Buyer shall pay the Seller in United States Dollars (USD).The price for Electrolytic Copper Cathodes is LME deduct - %CIF Delivery to Kaohsiung Port that goods arrive discharge port intraday anterior 5 days of LME Copper Grade A “Cash buyer “average price”
买方应以美元支付卖方货款，电解阴级铜的价格是货物到达天津港或黄骅港口当天的前5天的LME现金买入价的
平均价格折扣%计价。
7.1 The price of goods includes all costs incurred by Seller up to and including delivery basis CIF at the destination port except where the contract specifically provides for a cost to be borne by the Buyer, port demurrage charges, tariffs, and import fees.
商品价格应包括卖方所有费用以及基于CIF价到达目的港的费用，除去合同具体规定的由买方承担的费用：滞期费﹑关税以及进口费用。
