2.0 DELIVERY BASIS AND TERMS 交货条款

4.0 QUALITY OF GOODS 商品质量
The Seller guarantee to the Buyer that the Goods delivered under the present Contract will correspond to the characteristics shown below:

4.1:The Electrolytic Copper Cathodes shall conform to ISRI codes and Specifications as follows 电解阴极铜应符合ISRI条款以及以下规格：

Quality –99.99% Purity (Electrolytic Copper Cathodes, Grade A) 99.97 %, Minimum, 99.99% Maximum, conforming to the LONDON METAL EXCHANGE (LME) specification and BS en 1978: 1998 analyst and standard.

If the element exceed the specification above-mentioned in this contract（except Cu）(Sulfur can not be higher than international standards),the price shall be decreased by US100 per Metric Ton for each element. Such penalty shall be deducted from the final payment.
如果元素超过本合同上述规订(除Cu外)(硫不能高于国际标准)，每个元素的价格应降低US100 /公吨，这种罚款应从最后付款中扣除

5.0 PACKING 包装

6.0 INSPECTION 检验
6.1. The cost of Quality Inspection Certificate at the Port of Loading shall be paid by the
seller at port of loading.
在装货港的质量检验费用，应由卖方支付。
6.2．Measurement and Samples. 测量和样品
The measurement of quantities and the taking of samples for the purposes of determining the quality of the product subject matter of this SPAC, shall be carried out both at the port of loading and at the port of discharge in accordance with the general practices as accepted in the Copper Cathode Industry, which SGS and Qualified International Quality Inspectors mutually agreed by both of the Parties hereto, binding for both parties.
本合同产品数量的测定以及为测量产品质量而进行的产品采样应当在装货港和卸货港进行，检验按照电解铜行业的一般做法进行，由合同双方彼此认可的SGS合法有资质的国际检测公司来操作，对双方都有约束力。
7.0 . PRICE AND TOTAL AMOUNT OF CONTRACT 价格及合同总额
The Buyer shall pay the Seller in United States Dollars (USD).The price for Electrolytic Copper Cathodes is LME deduct - %CIF Delivery to Kaohsiung Port that goods arrive discharge port intraday anterior 5 days of LME Copper Grade A “Cash buyer “average price”
买方应以美元支付卖方货款，电解阴级铜的价格是货物到达天津港或黄骅港口当天的前5天的LME现金买入价的
平均价格折扣%计价。
7.1 The price of goods includes all costs incurred by Seller up to and including delivery basis CIF at the destination port except where the contract specifically provides for a cost to be borne by the Buyer, port demurrage charges, tariffs, and import fees.
商品价格应包括卖方所有费用以及基于CIF价到达目的港的费用，除去合同具体规定的由买方承担的费用：滞期费﹑关税以及进口费用。
The Seller shall deliver the total quantity of goods at the discharge port within 45(+/-5) days after Buyer’s Financial Instrument is accepted by Seller’s Bank. The Seller shall send the documents in Originals, which will include three originals of Bill of Lading, Invoice, Packing List, Full set of Certificate of Origin, Inspection Certificate and Insurance Proof to the Buyer by DHL. The buyer to provide mailing address. The seller at the same time scan all the documents and sent to the buyer's company, do not use the camera.
在卖方银行接到买方的信用证后45天（+/-5天视为标准）内，卖方在卸货港交付所有货物，卖方将包括提单、商业发票、装箱单、原产地证、检验证书、保单在内的单据原件中的正本用DHL寄给买方，买方提供邮寄地址，卖方同时把所有的单据扫描后发给买方公司，不要用拍照方式。
The quality and quantity of goods stated in the SGS Certificate shall be conclusive evidence of the quality and quantity of goods “delivered”(Settlement)。
SGS证明中所列明的产品的质量与数量将是所交付产品的质量与数量的交货(结算) 依据。
9.0 PAYMENT TERMS AND CONDITIONS支付条款与条件
After sign contract by two parties, within 7 working days the buyer shall issue letter of credit (LC) as payment guarantee and this LC is Irrevocable. The seller’s bank issues it’s 2% PB to the buyer’s issue bank within 3 banking days when the Seller received L/C Application issued by the Buyer.
合同签订后七个工作日内，买方需开具不可撤销信用状，卖家收到买方开证申请书三天内开具2%供货保函。
After the goods arrive at the port of discharge within Five days after the completion of SGS inspection, the buyer must pay, the buyer agreed to the seller to provide the original shipping bill of lading, commercial invoices, packing documents and related export documents to the seller beneficiary bank procedures.
货品抵达卸货港五天内SGS检验完成，买方必须付款，买方同意卖方向银行提供海运正本提单﹑商业发票﹑装箱单据和相关出口证明文件向卖方受益人银行办理领款手续。
The sell er hereto hereby agrees to notify the buyer hereto with all the necessary vessel’s information that will enable the buyer to program for the discharging of the consignment in timely manner by keeping in contact with the vessel and knowing the exact ETA.
卖方同意通知买方所需的全部船只信息，以便于买方安排好时间卸货，并通过和船只联系及时了解船只的预计到达时间。
All Local Charges, Local Government, Port, Customs, Warehouse Charges, Clearing & Forwarding, and all other charges applicable until the goods are safely on board the vessel, shall be at the cost of the SELLER.
所有装货港当地费用，包括当地政府﹑港口﹑海关﹑仓储费用﹑清关及运货以及适用于其他情况的所有费用均由卖方承担，直至货物安全装船。
10.0 PAYMENT 100% AT DISCHARGE PORT DOCUMENTS REQUIRED FOR PAYMENT:

10.1:The Seller shall provide 1 copy of Clean on Board Ocean Bill of Lading signed by an
vessel's stamp and showing "CLEAN ON BOARD"。
卖方应出具一份装船的清洁海运提单的影印本，提单应由权威的班轮船线代理签章，由船东签字并显示船的印章以及注明"清洁提单"。
10.2:Commercial invoice issued by seller: 3 originals and 3 copies showing Contract Number, description of goods, pieces of bundles of goods, unit price（same as confirmation of the unit price of goods ）, total amount, gross/net weights of the goods.
卖方出具的商业发票：3份原件及3份复印件，注明合同号﹑产品描述﹑商品的捆数及件数﹑单价(与货物单价确认书相同)﹑总额﹑商品的毛重/净重。
10.3: Certificate of origin issued ofCongoindicate origin: Congo for 3 copies.
刚果的原产地证：3份复印件。
10.4: Export Permit 3 copies.
出口许可证3份复印件
10.5: 1 copy of 100% insurance receipt. (100% 的保险单据的复印件。)
10.6: Packing list in 3 original (装箱单3份。)
10.7: One original of confirmation of the unit price of goods issued by seller. This confirmation of the unit price of goods should be signed by the buyer.
卖方出具的单价确认书正本一份，此单价确认书正本需经过买方盖章背书。
10.8:The unit price and goods weight on the commercial invoice should be issued base on confirmation of the unit price and certificate of quantity/weight issued by SGS and Certificate of Quality issues by SGS。
商业发票上的货物单价，重量必须基于单价确认书和卸货港SGS出具的重量、质量检测报告来制作。11.0 PROCEDURE AND TERMS（程序和条款）
CIF TRANSACTION PROCEDURE: CIF交易流程
11.1:Seller send the Contract Draft and NCNDA+IMFPA signed, and Partial POP (including past export record, inspection report, ect..)
賣家送草約和佣金協議及部份供貨文件含檢驗報告，出貨記錄等。
11.2:Buyer send the Contract Draft with signature on there and seller send his Counter signature/correct 買家簽署合同，賣家簽回。
11.3: Within 7 banking days after signed contract, the buyer issues Irrevocable LC (via MT700) and within 3 banking days the seller issue 2% PB when the Seller received L/C Application issued by the Buyer。
合约签后7个工作日内买家开出不可撤销信用证，卖家收到买家开证申请书3天内开2%PB供货保函。
12.0 CONTRACT COMES INTO EFFECT 合约生效
After signing the agreement between the parties, then conditions of contract comes into effect on the day when the Seller received L/C Application issued by the Buyer.
在双方签约后，当卖方收到买家开证的当天，本合约生效。
13.0 FORCE MAJEURE 不可抗力
event. Force Majeure is understood as per provisions under ICC500 and means any event such as fire, explosions, hurricanes, floods, earthquakes and similar natural calamities, wars, epidemics, military operations, terrorism, riots, revolts, strikes, industrial unrest, government embargoes, or other unforeseeable actions occurring after the conclusion of this contract and outside the sides' reasonable control and which cannot be avoided by the reasonable diligence that could delay or prevent the performance of either side's obligations in this contract.
一旦发生不可抗力事件，合同双方将免除相应的责任，不可抗力按照ICC500 规定，意指以下是件：火灾﹑爆炸﹑飓风﹑洪水﹑地震及类似的自然灾害﹑战争﹑流行病﹑军事行动﹑恐怖行动﹑暴乱﹑反叛﹑罢工﹑工业动荡﹑政府禁运以及签定合同后发生的不可预见的行为，超出双方的能力控制范围，并非人的努力可以避免的，但阻止或延误合同双方责任的履行。
14.0. LAW AND ARBITRATION 仲裁及法律法规
14.1 THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE UNITED NATIONS CONVENTION ON THE CONTRACT FOR INTERNATIONAL SALES OF GOODS (CISG) AND INTERNATIONAL COMMERCIAL COMMITTEE（ICC）.
SELLER AND BUYER SHALL IRREVOCABLY CONSENT TO THE NON-EXCLUSIVE JURISDICTION OF THE COURT IN HONG KONG, CHINA.
本合同按联合国公约法关于国际商品销售合同法以及国际商会的有关规定执行。
14.2 IN CASE OF DISPUTE AND IF THE CONTRACTING PARTIES CAN NOT REACH AN AMICABLE SETTLEMENT OF ANY CLAIM CONCERNING THIS CONTRACT WITHIN 60 DAYS FROM ITS OCCURRENCE, THE CASE WILL BE TRANSFERRED TO HONG KONG INTERNATIONAL ARBITRATION CENTER. THE DECISION TAKEN BY THIS ARBITRATION WILL BE FINAL SETTLEMENT AND ALL FEES AND EXPENSES INCURRED IN THIS ARBITRATION SHALL BE BORNE BY THE LOSING PARTY.
一旦发生争议，合约双方在合同争议发生之日起60天内不能达成友好协商解决争议的意见，该案将移交香港国际仲裁中心。此仲裁中心的决议是最终决议，仲裁费用由败诉方承担。
14.3 Any breach of these provisions will entail payment of damages to the other party.
任何违背此条款的行为，违约方应支付另一方损害赔偿金。
14.4 The ICC 1993 revision, publication 500 shall apply to this contract as well as INCOTERMS-2000 as published by the International Chamber of Commerce.
国际商会颁布的跟单信用证统一贯例1993年修订本(简称UCP500)及国际商会贸易条件2000(INCOTERMS-2000)适于本合同。
14.5 ALL BANK CHARGES RELATED TO THE ISSUANCE OF THE STAND BY LETTER OF CREDIT ARE FOR THE BUYER'S ACCOUNT AND ALL THOSE RELATED TO THE ISSUANCE OF THE PERFORMANCE BOND ARE ON THE SELLER'S ACCOUNT.
开具信用证的所有费用由买方支付，开具保函的所有相关费用由卖方支付。
