In accordance with the Contract Law of the People's Republic of China and other relevant laws and regulations, the two parties, based on the principle of equality, voluntariness, fairness, and good faith, and through friendly negotiation, have reached the following agreements:
第一条合同目的
第一部分：合同的基本条款
Article 1 Objectives
Part One: Basic terms of the contract
甲方向乙方出售以下商品：（详细商品名称、规格、数量、单价）。

第二条交货
Article 2 Delivery
1.甲方应于协议生效之日起（具体日期）内交货至乙方指
定地点。

2.交货前必须由乙方进行质检，如发现质量问题，应及时
通知甲方进行整改。
2. Party B must conduct quality inspection before delivery. If quality problems are found, Party B shall promptly notify Party A to make improvements.
3.乙方应配合甲方进行仓储和装卸等工作。
3. Party B shall cooperate with Party A to perform warehousing and loading and unloading operations.
第三条付款
Article 3 Payment
1.乙方应于货物交付之日起（具体日期）内支付全部货款。

第四条知识产权
Article 4 Intellectual Property Rights
1.甲方享有本合同所涉及的产品的所有知识产权。

2. Party B shall not infringe on Party A's intellectual property rights.
第五条保密协议
Article 5 Confidentiality Agreement
1.双方同意对本合同及相关商业信息保密。
1. The two parties agree to keep this contract and related business information confidential.
2.未经甲方书面同意，乙方不得向第三方泄露商业机密。
2. Without the written consent of Party A, Party B shall not disclose commercial secrets to third parties.
第六条违约责任
Article 6 Breach of Contract Liability
1.如任何一方违反本合同约定，应支付相应违约金，赔偿对方因此造成的经济损失。
1. If either party violates the agreement of this contract, it shall pay corresponding liquidated damages and compensate the other party for the economic losses caused thereby.
2.如因自然灾害、战争、政策改变等不可抗力因素致使一方不能履行本合同时，应及时通知对方，不承担违约责任。
2. If either party is unable to perform this contract due to force majeure factors such as natural disasters, wars, and policy changes, it shall promptly notify the other party and shall not bear any breach of contract liability.
第七条法律适用及争议解决
Article 7 Applicable Law and Dispute Resolution
1.本合同适用中华人民共和国的法律法规。
1. This contract shall be governed by the laws and regulations of the People's Republic of China.
2.双方因本合同引发的争议，应首先通过友好协商解决。
协商不成的，任何一方均可向有管辖权的人民法院提起诉讼。
2. Any dispute arising from this contract shall be resolved through friendly consultation between the two parties. If the consultation fails, either party may file a lawsuit with a court having jurisdiction.
第八条合同生效
Article 8 Effectiveness of the Contract
1.本合同经双方签字或盖章生效。
1. This contract shall become effective upon signature or seal by both parties.
2.本合同一式两份，各方持一份。
2. This contract is in duplicate, with each party holding one copy.
