鉴于甲方拥有特定产品或服务的销售权，并希望委托乙方作为其销售代理，乙方愿意接受甲方的委托，双方本着平等互利的原则，达成如下协议：
第一条代理范围
甲方授予乙方在约定的地区内代理其特定产品或服务的销售权。
乙方应尽最大努力推广和销售甲方的产品或服务，并维护甲方的商誉。
第二条价格和付款条件
1. 产品或服务的价格由甲方提供，乙方在销售过程中应按照甲方的规定进行定价。
2. 乙方应按照约定时间向甲方结算销售款项，并按照甲方规定的方式支付代理费用。
第三条销售报告
乙方应定期向甲方提交有关销售情况的报告，包括销售额、客户反馈等信息。
第四条知识产权
甲方保留其产品或服务的知识产权，乙方不得擅自复制、修改或转让甲方的知识产权。
第五条保密条款
双方应对在履行本协议过程中获悉的对方商业机密和保密信息负有保密义务，未经对方书面许可不得向第三方披露。
第六条协议期限

协议期满前一个月，双方如无异议，可协商续签。
第七条违约责任

Sales Agency Agreement
This Sales Agency Agreement (hereinafter referred to as "this Agreement") is entered into by and between the following parties on the date:

Whereas Party A has the sales rights to specific products or services and wishes to appoint Party B as its sales agent, and Party B is willing to accept the appointment by Party A, the parties, based on the principles of equality and mutual benefit, have reached the following agreement:
Article 1 Scope of Agency
Party A grants Party B the sales rights to its specific products or services within the agreed-upon area. Party B shall make every effort to promote and sell Party A's products or services and uphold Party A's reputation.
Article 2 Price and Payment Terms
1. The price of the products or services shall be provided by Party A, and Party B shall price them according to Party A's regulations during the sales process.
2. Party B shall settle the sales proceeds with Party A according to the agreed-upon
time and pay the agency fees in the manner specified by Party A.
Article 3 Sales Reports
Party B shall regularly submit reports on sales conditions to Party A, including sales volume, customer feedback, and other relevant information.
Article 4 Intellectual Property Rights
Party A retains the intellectual property rights to its products or services, and Party B shall not reproduce, modify, or transfer Party A's intellectual property without authorization.
Article 5 Confidentiality
Both parties shall be obligated to keep each other's trade secrets and confidential information obtained during the performance of this Agreement confidential and shall not disclose it to any third party without the other party's written permission.
Article 6 Term of Agreement
This Agreement shall come into effect upon the date of signing and shall be valid for ____ years. One month before the expiration of the agreement, the parties may negotiate for renewal if there is no objection.
Article 7 Liability for Breach of Contract
Any party that violates the provisions of this Agreement shall be liable for breach of contract and shall compensate the other party for any losses incurred as a result.
