Sales Contract 购销合同
Agreement between the Seller and the Buyer concerning the purchase and sale of goods according to the terms and conditions set out below.
卖方和买方在以下规定的条款和条件下达成关于商品购销的协议。
1. Subject Matter of the Contract 合同标的
The Seller agrees to sell and the Buyer agrees to purchase the goods described in Annex 1 (hereinafter referred to as “the Goods”) in accordance with the terms and conditions of this contract.
卖方同意出售而买方同意购买附录1中所述的商品（以下简称“商品”），并按照本合同的条款和条件进行交易。
2. Quantity and Quality 数量和质量
a) Quantity: The quantity of the Goods to be supplied shall be subject to the quantity specified in Annex 1.
数量：货物的供应数量应符合附录1中规定的数量。
b) Quality: The quality of the Goods shall be in accordance with the standards set out in Annex 2.
质量：商品的质量应符合附录2中规定的标准。
3. Price 价格
a) The price of the Goods shall be as set out in Annex 1.
价格：商品的价格应按照附录1中规定的价格支付。
b) The price is subject to adjustment if during the period of this contract there is any variation in the cost of raw materials, labor, or any other factor affecting the cost of production.
如果本合同期间原材料、劳动力或生产成本的任何其他因素发生变化，价格将可能调整。
c) Any taxes and duties applicable to the Goods shall be borne by the Buyer.
商品适用的任何税费和关税应由买方承担。
4. Payment 付款
a) The payment shall be made by the Buyer to the Seller in the manner set out in Annex 1.
付款：买方应按照附录1中规定的方式向卖方支付货款。
b) The payment shall be made within 30 days from the date of delivery of the Goods.
付款期限是自货物交付之日起的30天内。
c) The payment shall be made in the currency set out in Annex 1.
付款应按照附录1中规定的货币进行。
5. Delivery 交付
a) The Goods shall be delivered by the Seller to the Buyer at the place of delivery specified in Annex 1.
交付：卖方应将货物交付给附录1中指定的交货地点的买方。
b) Delivery shall be made on the date specified in Annex 1.
交付日期应按照附录1中规定的日期进行。
c) If the Buyer fails to take delivery of the Goods on the specified date, the Seller shall be entitled to dispose of the Goods as it sees fit, and the Buyer shall be liable for any loss or damage incurred as a result of its failure to take delivery.
如果买方未能按规定日期接收商品，卖方有权自主处理商品，并由于买方无法收货而遭受的任何损失或损害由买方承担。
6. Risk and Title 风险和所有权
a) Risk in the Goods shall pass to the Buyer upon delivery.
风险：货物的风险从交货时开始转移给买方。
b) Title to the Goods shall pass to the Buyer upon payment in full.
所有权：如未付足全额货款，商品的所有权归卖方所有。
7. Force Majeure 不可抗力
Neither party shall be liable for any failure or delay
in performing its obligations under this contract if such failure or delay is caused by a force majeure event, which includes but is not limited to acts of God, fires, floods, war, acts of terrorism, strikes, and lockouts.
如果因不可抗力事件造成不能履行其在本合同项下的付款或货
物送交的义务，卖方或买方将不承担任何责任或后果。
8. Applicable Law and Dispute Resolution 适用法律和争议
解决
This contract shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising out of or in connection with this contract shall be resolved through negotiation. If the negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its current arbitration rules. The arbitration award shall be final and binding on both parties.
本合同适用中华人民共和国法律，并最终由中国国际经济贸易仲裁委员会仲裁解决。
仲裁裁决是最终且双方都具有约束力的。
