1.1.The Buyer agrees to buy from the Seller and the Seller agrees to sell to the Buyer the Steam Dryer (hereinafter referred to as Equipment) and Spare Parts. The scope of the Seller's supply of Equipment is defined in Annex No. 1 and lists of spare parts are defined in Annex No. 5 attached to this Contract. 买方同意从卖方处购买蒸汽干燥机和备件，卖方同意向买方出售蒸汽干燥机(以下简称“设备”)和备件。卖方的设备供应范围在本合同的附录 1 中载明，备件清单在本合同的附录 5 中载明。

1.2.The Seller is obligated to supply the Buyer with the engineering and engineering documents necessary for the construction, assembly, erection, test runs, production, production management and maintenance, drawings and documents for construction and erection, manuals for erection, operation, maintenance and inspection of equipment and other relevant technical documentation (hereinafter called Technical Documentation). 1.3.The Seller is obligated to send to the Buyer's Plant site skilled, competent, healthy and experienced technical personnel to give technical instruction in construction, assembly, erection, commissioning and performance test of the Equipment. The treatment and conditions of the Seller's technical personnel in China and other relevant provisions are specified in Annex. No. 7 attached hereto.

卖方有义务派遣技能熟练的、有能力的、健康的和有经验的技术人员到买

方的工厂现场工作，就设备的建造、装配、安装、试车和性能测试提供技

术指导。卖方技术人员在中国工作的条件和待遇，以及其他相关规定，在

本合同的附录 7 中载明。

1.4.The Equipment and Spare Parts to be supplied by the Seller to the Buyer under this Contract shall be of the Seller's latest, most advanced and most mature design, technology and equipment at the time of entering into this Contract.

卖方根据本合同向买方供应的设备和备件，须是在签订本合同时卖方最

新、最先进、最成熟的设计、技术和设备。

Article 2 第二条

Price 价格

2.2. The above mentioned price in 2.1 is fixed price for delivery of Equipment and Spare Parts (hereinafter called goods) on basis of CIF Shantou (Incoterms 2000).

以上第 2.1 条所述之价格，为卖方基于 CIF 汕头到岸价( CIF 价格条件根据《 2000年国际贸易术语解释通则》解释)交付设备和备件的固定价格。

2.3 The fees for technical services shall be paid according to the Annex No.7. The unit prices are fixed and firm for the year 2010. 买方应依据本合同附录 7 的规定，向卖方支付技术服务费。 2010 年技术服务费的单价为固定价格和实价。

2.4.The above mentioned total Contract price includes all packing
