WHEREAS, the Manufacturer produces and sells various products, including but not limited to [Product Name];
WHEREAS, the Customer desires to purchase the said products from the Manufacturer, and the Manufacturer agrees to supply the said products to the Customer;
NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the Parties agree as follows:
1. Product Quality Warranty
1.1 The Manufacturer hereby warrants that all the products supplied to the Customer under this Agreement shall be of merchantable quality and free from any defects in material and workmanship.
1.3 The Manufacturer shall provide the necessary documents and certifications to prove the quality and conformity of the products, upon the Customer's request.
2. Product Inspection
2.2 If the Customer discovers any defects or non-conformities with the agreed specifications during the inspection, the Customer shall promptly notify the Manufacturer in writing, specifying the details of the defects or non-conformities.
3.3 The Manufacturer agrees to replace the defective or non-conforming products, or if replacement is not possible, refund the purchase price to the Customer.
4. Limitation of Liability
4.2 The Manufacturer shall not be liable for any indirect, consequential, or incidental damages arising from any defects or non-conformities in the products.
5. Governing Law and Jurisdiction
5.1 This Agreement shall be governed by and construed in accordance with the laws of [Country].
5.2 Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of [Country].
6. Entire Agreement
6.1 This Agreement constitutes the entire understanding and agreement of the Parties with respect to the subject matter herein and supersedes all prior understandings, whether written or oral.
