In accordance with the Labor Law of the People’s Republic of China and other applicable laws and regulations, on the basis of the principle of equality and willingness and after friendly consultation, this Employment Agreement ("Agreement") is made by and between the following two parties in Beijing, the People's Republic of China ("China"):

根据《中华人民共和国劳动法》及其他有关法律、法规的规定,在平等自愿的基础上并经过友好协商,以下双方在中国(“中国”)北京达成本劳动合同(“合同”):

1.TERM OF THE AGREEMENT

1.1The initial term of this Agreement shall be months commencing from .

1.2This Agreement shall be automatically renewed for another term of ___ months

after any term of Agreement expires, unless either Party serves the other Party

with written notice to terminate this Agreement thirty (30) days prior to the

expiration of that term of Agreement.

除非一方在任一合同期限届满前三十(30)天以书面通知另一方终止本合同,否则在该合同期限届满后,本合同将自动续延,续延的合同期限为____个月。

1.3The probationary period will be the first months of the initial term as stipulated

in Section 1.1 above.

试用期为上文第1.1条规定的初始期限中的头个月。

2.JOB DESCRIPTION

2.1Subject to the business needs of the Company, the Employee shall work at the

2.2Detail Job description

2.3The Company may change the Employee’s position based on its business needs

and the Employee’s professional abilities, skills, and work performance.

公司可根据其业务需要以及员工的专业技能和工作表现等调整员工的工作岗位。

3.WORKING HOURS,HOLIDAYS, AND LEAVE

工作时间、节日、和假期

3.1Based on the nature of the Employee’s position, the Employee’s working hours

are stipulated according to item __ below:

基于员工工作岗位的性质,员工的工作时间如下文第项所述:

(i) Standard working hours: The Employee shall work 8 hours a day and 40

hours per week; or

标准工作时间:员工应每日工作八小时,每周工作四十小时;或(ii) Flexible working hours: The Employee shall perform his/her duties at the Company flexibly and in a timely manner, pursuant to the business needs

of the Company and based on the requirements of the Employee’s

position. As the Employee has flexible working hours, the Employee

hereby explicitly acknowledges that he/she shall not be entitled to

overtime payment as other employees who have standard working hours

may be for their work after normal working hours at the Company or

during holidays.

不定时工作时间:根据公司的业务需要和员工工作岗位的要求,员

工应灵活和及时地履行其在公司的职责。因为员工的不定时工作时

间,员工特此确认:与其他实行标准工作时间的员工不同,该员工

不因为在标准工作时间之外的时间和节假日工作而享受加班费的待

遇。

3.2The Employee shall be entitled to ____ working days of annual paid leave

during the first calendar year of service. For each subsequent calendar year, the days of the annual paid leave of the Employee shall increase by one (1) day, provided that, the maximum days of annual paid leave is fifteen (15) working days. For any calendar year that the Employee does not work for the Company for a full year, the days of annual paid leave for the Employee shall be calculated pro-rata on the basis of the actual months that the Employee has worked for the Company in that year.

员工在第一个日历年的服务期间享受个工作日的带薪年假。在随后的日历年度里,员工的带薪年假天数将每年增加一(1)天,但最多不超过十五(15)个工作日。在任何日历年度中,如果员工在公司没有工作满一整年,则员工的带薪年假天数将按员工该年度在公司实际工作的月数按比例计算。

The Employee shall take annual paid leave based on the business needs of the Company and shall follow relevant corporate approval procedures for taking annual paid leave so as to ensure that the business of the Company will not be adversely affected owing to the absence of the Employee.

员工应根据公司的业务需要并应依照公司的有关批准程序安排带薪年假,以保证公司的业务不会因员工休假而受到不利影响。

3.3The Employee shall enjoy the Chinese public holidays, statutory leave

applicable to the concerned Employee, and all other holidays that are granted in accordance with the rules and regulations of the Company.

员工应享受中国的公共节假日、适用于该员工的法定假期、以及按照公司的规章制度确定的其他全部假期。

劳动保护和劳动条件

The Company shall provide the Employee with the necessary working conditions and facilities/equipment. The Company shall also establish and maintain a labor security and sanitary systemthat comply with applicable laws and regulations on workplace health and safety.

公司应为员工提供必要的劳动条件和设施/设备。公司亦应建立和保持一个符合工作场所健康和安全法规规定的劳动安全和卫生体系。

5.REMUNERATION

劳动报酬

5.1The Company shall provide the following remuneration to the Employee:

公司应向员工提供下列待遇:

(i) A base salary of RMB _______________ Yuan per month;

Notwithstanding the forgoing, during the probationary period as set

forth in Section 1.3 above, the base salary shall be at the amount of

RMB Yuan per month; The monthly salary shall be paid on 10 in each

month.

月基本工资为人民币元(尽管有上述规定,在上文第1.3条规定的

试用期内,月基本工资为人民币_____________元);月薪应于每

月10日支付。

(ii) A year end bonus, based on the Employee's performance, at the Company's discretion (notwithstanding the forgoing, for the first

calendar year at the Company, the year end bonus of the Employee will

be paid pro-rata on the basis of actual months that the Employee has

worked for the Company in that calendar year);

年终奖应由公司根据员工的表现自行决定(尽管有上述规定,对于

员工在公司工作的第一个日历年度,员工的年终奖将按员工该年度

在公司实际工作的月数按比例支付);

(iii)Standard employee benefits of the Company, including particularly annual paid holidays and medical insurance, as specified in this

Agreementandthe Company's employee handbook.

公司的标准员工福利,特别包括在本合同中和公司员工手册中规定

的带薪年假和医疗保险。

The Employee hereby agrees that the Company may at its sole discretion and from time to time adjust the remuneration of the Employee after discussion and consultation with the Employee according to the Company’s relevant compensation and benefits policy.

员工特此同意:经与员工讨论和协商,公司可自行酌处,根据其相关薪酬福利政策不时地调整员工的待遇。

5.2The Company shall make a mandatory social insurance contribution (including

the portion that the Employee is obligated to contribute) to the relevant social insurance agencies for the Employee at the Company's own cost.

公司应向相关的社保机构自费为员工缴纳法定的社会保险(包括员工个人应承担的部分)。

5.3The Company shall deduct and withhold from the Employee's monthly salary

the corresponding amount of individual income tax that the Employee is obligated to pay according to law.

公司应从员工的月工资中依法代为扣缴员工应缴纳的相应个人所得税。

5.4If the Employee follows the system of "standard working hours" as stipulated in

item (i) of Section 3.1 above, the Company shall make overtime payments to the Employee for his/her overtime work for the Company in accordance with Chinese law. Notwithstanding the foregoing, any overtime work must be

approved in advance by the relevant management of the Company according to

the relevant rules and regulations of the Company.

如果员工按照上文第3.1条第(ⅰ)项规定的“标准工作时间”工作,公司应根

据中国法律的规定就员工的加班工作向员工支付加班费。尽管有上述规定,任何加班需经公司相关管理层按照公司的有关规章制度事先批准。

劳动纪律和公司的规章制度

6.1The Company shall be entitled, in its sole discretion, to formulate and revise its

labor discipline and its corporate rules and regulations from time to time,

provided the Company notifies the Employee of any new or revised labor

discipline, or corporate rules or regulations before they take effect.

公司有权自行酌处,不时地制订和修订其劳动纪律和公司规章制度;但是,在任何新制订或修订的劳动纪律或公司规章制度生效前,公司应通知员工。

6.2The Employee shall carefully read and fully understand all labor discipline,

rules, and regulations of the Company; and, the Employee shall strictly comply

with and abide by the same.

员工应仔细阅读、充分理解、并严格执行公司的全部劳动纪律和规章制度。

Any violation of the labor discipline, rules, or regulations of the Company shall

be deemed a serious violation of the Agreement.

任何对公司的劳动纪律或规章制度的违反均应被视为本合同项下的重大

违约。

6.3As a condition of employment, Employee shall sign and agree to abide by the

Confidentiality, Non-Competition and Intellectual Property Rights Agreement,

which is attached as Exhibit A hereto.

作为本合同的条件,员工应签署并同意遵守《保密,竞业禁止及知识产权

保护协议》(见本合同附件A)。

7.AMENDMENT, NULLIFICATION, AND TERMINATION OF THIS

AGREEMENT

合同的变更、解除和终止

7.1Except as otherwise specified herein, any amendment to this Agreement shall

be made jointly by the Parties in writing.

除本合同另有约定之外,本合同的任何修订均应由双方共同书面做出。

7.2This Agreement may be nullified and then deemed null and voidif mutually

agreed to in writing by both Parties.

经双方书面协商一致,可解除本合同。

7.3Termination of the Agreement

合同终止

7.3.1This Agreement shall be terminated in any of the following circumstances:

有下列情形之一的,本合同终止:

(i)the Agreement expires and is not renewed according to Section 1.2

above;

合同期满并且未依照上文第1.2条续延;

(ii)the Employee has lost the relevant professional qualification required for performance of his/her working duties as agreed herein (e.g., driver's

license, accountant's qualification);

员工不再具有为履行其在本合同项下的工作职责所要求的相关专

业资质,例如,驾驶执照,会计师资格;

(iii)the Employee retires in accordance with applicable Chinese law, dies, or is declared dead or disappeared by a court;

员工根据中国法律退休,死亡,或被法院宣告死亡或失踪;

(iv)the Company goes into bankruptcy, dissolution, or revocation;

公司破产、解散、或者被撤销;

(v)the Employee has been confirmed by aqualified examination agency as having partially lost the capacity to work owing to an occupational

disease or an on-duty injury; and, the Company has paid relevant

disability subsidy according to law;

员工患职业病或因工负伤,已被合格的鉴定机构确认为部分丧失劳

动能力,并且公司已依法支付伤残就业补助金;

(vi)the Employee has been confirmed by a qualified examination agency as having completely or materially lost the capacity to work owing to an

occupational disease or an on-duty injury; the Company has paid

relevant disability subsidy according to law; and, the Company and the

Employee have consulted and reached agreement to terminate this

Agreement; or

员工患职业病或因工负伤,已被合格的鉴定机构确认为完全或大部

分丧失劳动能力,公司已依法支付伤残就业补助金;并且,公司和

员工协商一致终止本合同;或

(vii)any other circumstances as provided for in law or any other termination events that the Company and the Employee have agreed herein.

法律规定的任何其他情形、或公司和员工在本合同中约定的任何其

他终止情形。

7.3.2Notwithstanding anything to the contrary in Section 7.3.1 hereof, in the case of

any of the following circumstances, this Agreement shall not be terminated in accordance with Section 7.3.1 above until the following circumstance disappears:

不论上文第7.3.1条有何不同规定,有下列情形之一的,本合同应顺延至下列情形消失时方可根据上文第7.3.1条被终止:

(i)the Employee is undergoing a prescribed period of medical treatment for

an illness or for an off-duty injury;

员工患病或者非因工负伤,在规定的医疗期内;

(ii)the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or

员工(若是女员工)在孕期、产期、哺乳期内;或

(iii)other circumstances under which the applicable law prohibits the termination of this Agreement.

适用法律禁止本合同终止的其他情形。

7.4The Company may unilaterally and immediately nullify this Agreement in any

of the following circumstances where:

有下列情形之一的,公司可以单方面随时解除本合同:

(i)the Employee has failed to satisfy the specified recruitment

requirements of the Company during the probationary period as set forth

in Section 1.3 above;

员工在上文第1.3条规定的试用期内被证明不符合公司的有关录用

条件;

(ii)the Employee has seriously violated the labor discipline or the rules or regulations of the Company;

员工严重违反劳动纪律或者公司的规章制度;

(iii)the Employee has breached material agreements entered between the Company and the Employee, including but not limited to,the

Confidentiality, Non-Competition and Intellectual Property Rights

Agreement(See Exhibit A);

员工违反和公司另行签订的重大协议,包括但不限于,保密,竞业

禁止及知识产权保护协议(见附件A);

(iv)the Employee has committed an action of serious dereliction of duty or corruption, and thereby caused substantial harm to the interests of the

Company, for example, causing serious injury or death of another

person;

员工严重失职或营私舞弊,并因此造成对公司利益的重大损害,例

如,致使他人重大伤亡;

(v)the Employee provided false information in his/her application for the position (e.g., information pertaining to his/her identity, education

background, and employment history);

员工在应聘时提供虚假信息,例如,身份、教育背景、和工作经历;

(vi)the Employee is subject to criminal penalty; or

员工被依法追究刑事责任的;或

(vii)Other circumstances as provided by applicable law.

适用法律规定的其他情形。

7.5Unilateral Nullification by the Company

公司单方解除合同

7.5.1The Company may unilaterally nullify this Agreement with thirty (30) days

advance written notice in any of the following circumstances where:

有下列情形之一的,公司可以单方解除本合同,但是应当提前三十(30)日书面形式通知员工:

(i)the Employee has fallen ill or has sustained off-duty injury and cannot

engage in the original work or any other work assigned by the Company

to him/her upon the conclusion of his/her medical treatment;

员工患病或者非因工负伤,医疗期满后不能从事原工作,亦不能从

事公司安排的其他工作;

(ii)the Employee has been incapable of doing his/her job and remains incapable of doing so after receiving training or being transferred to

another post; or

员工不胜任工作,经过培训或者调整工作岗位仍不能胜任工作;或(iii)there has occurred a major change to the objective circumstances under which this Agreement was consummated, which has rendered this

Agreement incapable of being performed, and the Parties have failed to

reach an agreement on the amendment to this Agreement after

consultation.

本合同订立时所依据的客观情况发生重大变化,致使本合同无法履

行,经双方协商仍不能就变更合同达成一致。

7.5.2However, the Company shall not nullify this Agreement in accordance with

Section 7.5.1 above in any of the following situations:

但是有下列情形之一的,公司不得依据上文第7.5.1条的规定解除本合同:

(i)the Employee has suffered from an occupational disease or has

sustained an on-duty injury, and it has been confirmed that the

Employee has completely or partially lost the capacity to work;

员工患职业病或因工负伤,并被确认完全或者部分丧失劳动能力;

(ii)the Employee is undergoing a prescribed period of medical treatment for an illness or for an off-duty injury;

员工患病或者非因工负伤,在规定的医疗期内;

(iii)the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or

员工(若是女员工)在孕期、产期、哺乳期内;或

(iv)other circumstances under which the applicable law prohibits the Company from nullifying this Agreement.

适用法律禁止公司解除本合同的其他情形。

7.6Unilateral Nullification by the Employee

员工单方解除合同

7.6.1Generally, the Employee may unilaterally nullify this Agreement by serving

ninety (90) days advance written notice to the Company.

通常情况下,员工经提前九十(90)天书面通知公司,方可单方解除本合同。

7.6.2Notwithstanding the provision of Section 7.6.1 above, the Employee shall be

entitled to unilaterally and immediately nullify this Agreement under any of the following circumstances:

尽管有上文第7.6.1条的规定,有下列情形之一的,员工可随时通知公司并单方解除本合同:

(i)during the probationary period as set forth in Section 1.3 above;

在上文第1.3条规定的试用期内;

(ii)the Company is unable to pay the salary in accordance with this Agreement; or

公司未能按照本合同支付劳动报酬;或

(iii)the Company forces the Employee to work by means of violence, threat, and illegal restriction of the Employee’s personal freedoms.

公司以暴力、威胁、或者非法限制人身自由的手段强迫劳动。7.7The Company may nullify this Agreement by means of laying off the Employee

in accordance with the relevant statutory procedures if the Company experiences serious hardship in its business operation and it is necessary to lay off its employees.

若公司遭遇严重的经营困难必须裁员时,公司可以依据相关的法定程序通过裁员的方式解除本合同。

7.8If applicable, in the event that either Party nullifies this Agreement without

serving advance written notice as stipulated in Sections 7.5.1 or 7.6.1 above, the Party shall indemnify the losses of the other Party.

在适用的情况下,若一方未按照上文第7.5.1条或第7.6.1条的规定以事先书面通知的形式解除本合同,该一方应赔偿另一方的损失。

7.9In case this Agreement is nullified or terminated pursuant to the terms and

conditions of this Agreement and as stipulated above, the Company shall issue a written certificate to the Employee to evidence that the employment relationship between the Company and the Employee has ended.

若本合同根据本合同的条款和上述规定被解除或终止,公司应向员工出具书面证明,以证明公司和员工的劳动关系结束。

8.ECONOMIC COMPENSATION AND INDEMNITY

经济补偿和赔偿

8.1If applicable, the Company shall make severance payment to the Employee in

accordance with applicable Chinese law where this Agreement is nullified or terminated.

如适用,在本合同被解除或终止时,公司应依照中国有关法律的规定给予员工经济补偿。

8.2Where the Company recruits the Employee by means of headhunting, provides

the Employee with training at the Company's expense, or provides any special preferential treatment to the Employee, if the Employee nullifies this Agreement in violation of the relevant agreement(s) between the Company and the Employee, then the Employee shall reimburse the Company the expenses in accordance with the specific agreement(s).

在公司通过猎头聘用员工、出资培训员工、或给予员工特殊待遇的情况下,若员工违反公司和员工间的有关协议解除本合同,则员工应依据相应协议补偿公司的相应费用。

8.3If this Agreement is nullified due to the Employee’s breach of this Agreement

or the Non-Competition and Intellectual Property Rights Agreementbetween the Company and the Employee, and the Employee has caused losses to the Company, the Employee shall compensate the losses of the Company.

若因员工违反本合同或公司和员工间的保密,竞业禁止及知识产权保护协议导致本合同被解除,并且员工给公司造成损失的,则员工应该补偿公司的损失。

劳动争议

9.1The formation of this Agreement, its validity, interpretation, execution and

settlement of disputes shall be governed by the relevant laws and regulations of China.

本合同的成立、效力、解释、签订和争议的解决应受相关中国法律法规的管辖。

9.2Where any dispute arises from, out of, or in connection with this

Agreement,eitherPartymay file a lawsuit with the relevant People's Court of China within sixty (60) days after the occurrence of the dispute.

若因本合同引起或产生与本合同有关的任何争议,任何一方均可在争议发生后的六十(60)天内,向有关的人民法院提起诉讼。

10.MISCELLANEOUS

附则

10.1This Agreement shall take effect as of the signature date hereof.

本合同自签署之日起生效。

10.2This Agreementshall be written in both Chinese and English, in two (2) original

copies. The two language versions shall be equally authentic and are consistent in all substantial respects.

本合同以中英文同时书写,一式两(2)份。本合同的中英文文本应具有同等效力,并在所有实质方面保持一致。

10.3If any of the provisions of this Agreement are in conflict with any provisions

ofapplicablelaw, said provision of this Agreement shall be superseded by the relevant provisions of the applicable law.

若本合同的任何条款与适用法律的任何规定相冲突,则本合同的该规定应被相关法律的有关规定所取代。

CONFIDENTIALITY, NON-COMPETITION AND INTELLECTUAL

PROPERTY RIGHTHS AGREEMENT

保密,竞业禁止及知识产权保护协议

This Confidentiality, Non-Competition and Intellectual Property Rights Agreement ("Agreement") is made by and between the following two parties in Beijing, the People's Republic of China ("China"):

本保密,竞业禁止及知识产权保护协议(“协议”)由下述双方于中国(“中国”)北京订立:

WHEREAS, the Employee has entered into an employment agreement dated [____________] with the Company; and

WHEREAS, the Company possesses and/or accesses the Confidential Information (as defined in Section 1.2 below), to which the Employee will or may be exposed for the purpose of performance of his/her duties at the Company;

NOW THEREFORE, in accordance with the relevant laws and regulations of China, after friendly consultation and on the basis of the principle of equality and willingness, the Parties have agreed to the following terms and conditions:

兹此,根据中国的相关法律法规,在平等自愿的基础上并经过友好协商,双方就下述条款和条件达成一致:

1.DEFINITIONS

定义

Unless otherwise required by the context of this Agreement, the following terms used in this Agreement shall have the meanings as set forth below:

除非本协议上下文另有规定,本协议中使用的以下术语应具有下文规定的含义:1.1"Affiliate" means any partnership, joint venture, corporation or other form of

enterprise and/or entity, domestic or foreign, including but not limited to subsidiaries, which directly or indirectly controls, is controlled by, or is under common control with, the Company.

“关联公司”系指与公司具有下列关系之一的任何国内或国外的合伙、合资企业、公司或其他形式的企业和/或实体,包括但不限于子公司:直接或间接控制公司,直接或间接受公司控制,或与公司直接或间接地共同受控于第三方。

1.2"Confidential Information" shall mean any information belonging to, or

accessed by the Company or any Affiliate, that is deemed or treated confidential by the Company, or which the Employee knows or ought reasonably to have known to be confidential.

“保密信息”系指公司或任何关联公司拥有或接触到的任何下述信息:公司视为保密或予以保密的信息,或员工知晓或理应知晓属于保密的信息。

Confidential Information shall be deemed to include the following, without limitation:

保密信息应被视为包括但不限于下述信息:

(i)Any information regarding the business and affairs of the Company or

any Affiliate, including, but not limited to, business strategies and

methods, marketing or promotional policies or activities, business

development plans, client information, financial information, research

data of all kinds, and management methods;

任何与公司或任何关联公司的业务和事务有关的信息,包括但不限

于,商业策略和方法、营销或促销的方针或活动、业务拓展计划、

客户信息、财务信息、各种类别的研究数据和管理方法;

(ii)Any information which the customers and/or business partners of the Company or any Affiliate consider confidential and in respect of which

the Company or any Affiliate may be subject to confidentiality or

non-disclosure obligations, whether expressed or implied; and

公司或任何关联公司的客户和/或商业伙伴认为属于保密的,并且

公司或任何关联公司对此承担保密或不披露义务(不论是明示的还

是默示的)的任何信息;以及

(iii)All other information of any nature whatsoever which may be disclosed or made known to the Employee at any time during the course of the

employment with the Company, whether or not he or she is performing

duties for or is undergoing training by the Company or any Affiliate.

员工在受雇于公司期间的任何时候(不论员工是为公司或任何关联

公司工作还是接受其培训)被告知或得知的任何性质的任何其他信

息。

The Confidential Information does not include any information that: (i) becomes generally available to the public other than as a result of a disclosure by the Employee in violation of this Agreement; (ii) was available to the Employee prior to its disclosure to the Employee by the Company or its representatives; or (iii) is otherwise made available to the Employee without a wrongful act on the part of the party providing the information.

2.2The Employee shall keep strict confidentiality of the Confidential Information

and shall not disclose any Confidential Information or allow such information to be disclosed to any third party (for the purpose of clarification, such third parties shall include any other employees of the Company, unless such disclosure is necessary for the purpose of the employment) and that the Employee shall use any and all Confidential Information solely for the purpose of the employment and shall not disclose, duplicate, or otherwise use the Confidential Information for any other purpose.
