2、乙方对所承租的房产手续已作了充分了解并以其自身名义签署并履行本合同。

根据《中华人民共和国合同法》、《城市房屋租赁管理办法》等有关法律、法规的规定,为明确甲、乙双方的权利、义务关系,经甲、乙双方友好协商一致,特订立本合同,以资共同信守。

1、租赁房屋1.1甲方同意按照本合同的约定向乙方出租而乙方同意按照本合同的约定从甲方承租位于北京市丰台区西三环________-—北京________有限公司办公楼二层房间及库房㎡(以下简称“租赁房屋”)。

1.2甲方向乙方提供方便。

2、租赁期限2.1 租赁房屋的租赁期限为年,自年月日起至年月日止(包括首尾两日)。

2.2 租赁期届满,甲方有权收回租赁房屋,乙方应如期归还。

乙方希望在租赁期满后续租,须在租赁期届满前三个月书面通知甲方。

经双方达成协议,重新签订租赁合同,乙方依法享有优先承租权。

如甲、乙双方未能在租赁期届满前三个月就续租租金与租赁期限达成一致协议,甲方可以不受乙方的任何制约而自行处置租赁房屋。

3、租金及相关费用的支付3.1租赁费用:年租金为人民币元整。

租赁房屋的租金起租日开始以工作日交纳。

每期交纳租金的截止日期分别为:甲方的帐户信息如下:收款人:开户银行:帐号:3.2其它费用(1)、乙方若需使用电话、传真、宽带、有线电视及其他甲方已预留接口之设施,有关接通或安装使用等费用由乙方自行承担。

(2)、租赁期内乙方若需租用停车泊位,则由乙方按照甲方管理有关规定办理。

(3)、租金中未含冬季取暖费,冬季取暖费由乙方按照供热机构之规定,缴纳给甲方。

(4)、租赁期内,乙方同意向甲方交付一切与租赁房屋有关其他费,包括水费、电费、卫生费。

该等费用的标准按照收取该等费用的有关机构确定的标准执行。

3.3保险责任承担所有权不属于乙方的房屋和设备、设施,其保险责任归所有权人。

所有权属于乙方的设备、设施和经营责任,其保险责任归乙方。

4、房屋用途4.1租赁房屋仅限作为乙方合法经营场所之用。

乙方须严格遵守中国制定的有关租赁房屋及乙方在租赁房屋内进行其业务的政策和法规。

除非事先得到甲方的书面同意,否则乙方不得擅自变更租赁房屋的用途。

4.2甲方有义务保证乙方在本合同存续期间,按本合同确定的使用用途,正常使用租赁房屋和相应设施。

4、3合同期间,经通知甲方,乙方有权在合法的前提下以其认为合适的规格、形式等悬挂(或不悬挂)其名称标牌、商标标志或服务标志。

5、租赁房屋的装修及维护5.1租赁期内,租赁房屋的装修费由乙方自行承担。

合同期内,乙方投资于租赁房屋或为使租赁房屋具备、维持正常使用功能及满足商业经营特殊需要而投入的装修、设备及其他附属物、附着物之所有权属于乙方。

合同解除后,能移动并不破坏房屋外观及内部结构的部分由乙方拆起。

5.2乙方的装修方案应经过甲方书面同意后,方可按照有关规定实施。

5.3乙方对租赁房屋的任何改建均需得到甲方的书面许可。

5.4租赁期间内,甲方负责租赁房屋的定期检查和维修并承担费用,包括自然损坏造成的维修责任。

5.5甲方在暂停或不暂停租赁房屋内任何设施的使用的情况下进入租赁房屋进行维修,但应事先征得乙方同意。

紧急情况下,甲方可在没有任何通知的情况下,为了保安、消防和抢修租赁房屋,甲方和其授权人有权不经乙方损失,否则甲方负责赔偿,法定紧急避险情况除外。

6、甲方的陈述与保证6.1保证其作为本合同签约人依法成立、依法存续,具备签订本合同的主体资格。

6.2保证对本合同租赁房屋拥有合法的所有权和以出租方式进行处置的权利,不存在任何形式的权利瑕疵。

6.3保证租赁房屋具备出租的合法条件,并保证该合法条件在合同期内持续存在。

6.4根据乙方要求及时提供与本合同履行有关的资料和法律文件。

7.乙方的陈述与保证7.1及时、足额地缴付本合同规定的租金及相关费用及其他一切费用。

7.2未经甲方同意,不得将租赁房屋内的设备进行改造、增设或拆除,改变房屋内结构不得改变租赁房屋的用途。

7.3保持租赁房屋内部清洁完好,乙方对所租房间的损害,以及对乙方或其客人造成的公用地段的损害,甲方修复时的费用由乙方如数缴付。

7.4在暴风大风等恶劣天气来临之前采取一切适当措施,保护租赁房屋的内部不受损害。

7.5如乙方不履行或违反本合同的任何条款、规定或条件,而使租赁房屋遭受损失,被罚款或造成甲方的其他支出,在甲方开出单据的五天内,乙方应如数补偿或赔偿甲方。

7.6不得在租赁房屋存放,也不允许他人存放武器、弹药、硝石、火药、火油或其他易爆易燃违法危险物品。

7.7不得在租赁房屋内进行,允许、默认任何可能对甲方造成损害的活动。

7.8不得在租赁房屋内进行或允许他人进行有悖社会或行业道德的活动。

7.9乙方在经营期间必须投保。

7.10未经甲方书面同意乙方不得转租。

8.合同终止与解除8.1本合同于有效期满之日终止。

8.2依本合同规定或法定条件成就时,从合同终止或者解除之日起一周内,乙方应腾空房屋并完整的向甲方交回房屋租赁房屋的钥匙,如违此约定甲方有权处置房内任何物品。

8.3租赁期内,如因不可抗力(且不可抗力延续两个月),法律政策变化以及政府城市规划等原因致使合同无法履行,则本合同可以终止。

但受上述事件影响的一方应当在上述事件发生之日起15日内通知另一方,甲、乙双方互不承担任何法律责任。

8.4因甲、乙双方任何一方违约而解除合同,如果违约方在收到守约方一书面纠正通知后15日内未进行任何补救措施或与守约方达成新的协商安排,则守约方可以随时向违约方发出解约的通知,解约通知自送达违约方之日起生效。

守约方有权向违约方追讨由此引致的全部损失及开支。

9、通知与联络9、1双方各指定本合同文首列明的联系人负责收发相关通知、就本合同履行相关事宜传递信息并进行必要的协调。

9.2如果本合同联络人发生变更,变更一方应及时将变更后的人员及联系方式书面通知对方。

任何一方在未收到前述人员变更通知前按照原来的联络人及联系方式发出的相关通知均为有效通知。

9.3除本合同对有关通知事项已有约定外,任何一方发生法定代表人、名称、住所、企业组织形式等的变更,或发生合并、分立、并购、破产,或发生租赁房屋查封、扣押、监管、变卖、拍卖及其他可能影响本合同履行的任何事项,均应本着诚实信用的原则及时通知对方,履行法定通知义务。

10.征用及不可抗力10.1由于政府征用土地因素导致本合同被迫终止时,本合同则自政府征用之日起终止执行,但乙方应支付自起租日始至政府征用日止的租金及相关费用。

若部分所租赁房屋被政府租用,则甲、乙双方均有权在一个月内以书面形式通知对方取消或终止本合同。

10.2不可抗力是指严重自然灾害及其他本合同双方在订立本合同时人力不能预见,其发生或后果不能避免且不能克服的事件。

在本合同履行过程中,由于发生战争、洪水、台风、地震或其他人力不能控制等不可抗力事件,致使任何一方无法履约后发生不可抗力的,迟延履约一方不能免除责任。

遭受不可抗力一方在不可抗力事件发生后的15天内,应向另一方出具经不可抗力发生地公证机构公证的有关权威部门的证明。

不可抗力事件消除后,由双方协商确定是否恢复对本合同的继续履行。

发生不可抗力,对于事故前双方发生的经济上的义务不受影响。

11.违约责任11.1甲、乙双方任何一方有违反本合同的行为,应就违约行为给对方造成的进行承担赔偿责任。

如属双方的过失,应根据情况,由甲、乙双方分别承担违约责任。

11.2如乙方未能按本合同规定支付租金乙方责任如下: (1)从违约之日起,房租加价10%,直至乙方搬出日为止。

(2)从违约之日起,甲方可以单方解除本合同或变更本合同。

12.争议的解决12.1本合同之订立、效力、解释、履行及争议的解决均适用中华人民共和国法律。

如甲、乙双方中任何一方有违约行为,另一方可以书面形式通知其纠正,并进行友好协商,解决违约问题。

12.2协商不成的,任何一方有权向租赁房屋所在地有管辖权的中国人民法院提起诉讼。

13.附则:13.1合同有效期限内,如任何一方由于改制、合并、分立等发生变更,则由变更后的主体承继该方在本合同项下之各项权利义务。

13.2本合同的任何修改均应经双方同意,并制作书面协议经甲方和乙方双方法定代表人或授权的委托代理人签字并加盖公章后方为有效。

13.3本合同未尽事宜,甲、乙双方可签订补充协议,补充协议与本合同具有同等法律效力。

如该等补充协议与本合同有不一致之处,以该等补充协议有关规定为准。

13.4任何一方对另一方违反合同的态度或疏忽都不应视为其放弃权利。

任何一方放弃本合同各项条款规定的任何权利,只能以该方书面签字为准。

13.5本合同及附件正本一式份,甲、乙双方各持有份,具有同等法律效力。

13.6本合同经甲、乙双方法定代表人或其授权的委托代理人签字并加盖公章后生效。

13.7在签署本合同前,甲、乙双方须持有中国政府签署的营业执照或具有法律效力证明文件的复印件作为本合同的附件。

13.8本合同附件为本合同不可分割的组成部分,与本合同具有同等的法律效力。

During theterms of theagreement, any parties are not able toperform the agreement due towar, flood,typhoon, earthquakeandother Force Majeure events that are beyond reasonable control ofhuman.11.Defaultliabilities11.1either defaulting party shall compensatethe other party’slosses incurredby the breach. In the case ofthebreacharising from bothparties, bothpartiesshall bear resp ective responsibilities.11.2 in thecase that party B does not pay the rental in accordance withtermssetout under the agreement:(1)Party Bshall payadditional 10% ofthe rental fromthe date ofthe occurrence ofthe breach to the date of the leaving.(2)party B shallbe entitled to unilatera llyterminate oramendthis contract at its discretion from thedateof theoccurrence ofthe breach.12.Disputes resolution12.1 the execution, effectiveness, interpretation, performance and disputes resolution shallbe go verned bythe relevant Chinese laws. In the case thatthereis a breach,either party may require the defaulting party to cure the defaults andcarry out friendlyconsultationin order tosettle down thebreach.12.2 If parties failto reach anagreement,any disputes shall be submittedtothe people’scourt with jurisdictionoftheplace where thepremises is locatedin by either party.13.Miscellaneous13.1During the terms oftheagreement,inthe case that either party becomes re organization,merger, and other changes, changed party shall inheritall rights and resp onsibilities underthis agreement from the orig inal body.13.2 any amendment to this agreement shall be madein writing upon the agreement ofthe bothparties’ legal representatives or authorized representatives andbecome effect with the chop.13.3any matters not covered in thisagreementshall be further agreedinwriting in a supplementary agreementboth parties. In case of discrepancyarising from articles ofthis agreementand the supplementary agreem ent, the supplementary agreement shall prevail.13.4 attitudeor negligence of any partiestoward the breachshall not be deemed as a waiver.
