项目合作框架协议
甲方：郑州新尚置业有限公司
乙方：郑州群缘房地产开发有限公司
鉴于甲方已与新郑市中心城区新区建设管理委员会签订的《土地预约协议》内容，甲方预约的新郑市Ｅ-３-０７，Ｅ-３-０９宗地的土地使用权，经甲方同意，乙方自愿参与出资、与甲方共同合作房地产开发建设项目，按本协议约定的比例共同出资、共享收益、共担风险。

为明确甲、乙双方的权利义务，甲、乙双方根据我国相关法律法规等规定，经友好协商，在平等、自愿的基础上一致达成如下协议：

预约土地编号：《新郑市中心城区新区控制性详细规划》图中的编号为：（详见附图一）Ｅ-３-０７，Ｅ-３-０９（以下简称“预约土地”）；
1、E-3-07：东至文化路，西至永盛路，南至创业路，北至市政道路（未命名），占地约 70 亩（最终以公开出让面积为准）。

2、E-3-09：东至人和街，西至政通路，南至创业路，北至市政道路（未命名），占地约 70 亩（最终以公开出让面积为准）。

3、房地产开发建设项目名称：开发上述预约土地建设项目：“郑

州新尚天地城市商业综合体”（暂定名），（以下简称“新尚天地”）
