4. ExpensesThe parties hereto shall each bear their respective expenses incurred in connection with the preparation, execution and performance of this Agreement and in the prosecution and defense of the Claim, including, without limitation, all fees and expenses of agents, representatives, counsel, accountants, and experts.2(费用因本协议的制作、签署、执行以及对权利主张进行起诉、抗辩而发生的费用，应由本协议当事人各方自行负担。
该费用包括但不限于聘用代理人、代表人、律师、会计、专家的费用。
5. Successors, Assigns; Third Party BeneficiariesThis Agreement shall inure to the benefit of, and be binding upon, the parties hereto and their respective2successors, affiliated entities, assigns, representatives, and agents.3(继承人、受让人、第三方受益人本协议对当事人各方及其继承人、附属机构、受让人、代表人和代理人生效，对其产生法律约束力。
6. Entire Agreement; ModificationThis Agreement constitutes the entire agreement between the parties hereto and all prior agreements between the parties with respect thereto are superseded by this Agreement. This Agreement may not be modified, supplemented or amended except by a subsequent written instrument executed by all of the parties hereto.4(协议整体性及其变更本协议构成了本协议各方达成的所有协议，此前因此达成的所有协议均被本协议所替代。

7. Headings; Construction of AgreementThe paragraph titles contained herein are solely for convenience and shall not be used to construe, limit or expand any rights or obligations of the parties hereto. The language used in this Agreement shall be deemed to be the3language chosen by the parties hereto to express their mutual intent. This Agreement shall not be construed more strictly against one party than the other merely by virtue of the fact that it may have beendrafted by counsel of its choice and each counsel was given andexercised fully his or her opportunity to review, modify and approve each and every provision hereof.5(标题与协议的解释本协议各条标题仅为使用方便，不得用以解释、限制、扩大协议当事人的权利、义务。
本协议的语言应视为协议当事人各方表达各自意愿所选择的语言。
不得因该协议由一方选择的律师草拟而将本协议解释得对另一方更严格。
已经给各方律师充分机会，律师已充分利用了该机会，对本协议的每一条约定进行了审查、变更，并通过之。
8. Governing LawThis Agreement and the rights and obligations of the partieshereunder shall be construed in accordance with and governed by the laws of the State of New Hampshire, United States of America, notwithstanding the fact that it may be executed in any other state, province or country.6(法律的适用尽管本协议可在任何国家、省、州签署执行，但本协议及4其规定的当事人的权利和义务悉受美利坚合众国新罕布舍尔州法律的管辖和解释。
9. SeverabilityIf any provision(s) hereof shall be held by an court of competent jurisdiction to be illegal, void or unenforceable, such provisions shall be of no force and effect, but the illegality or unenforceability shall have no effect upon and shall not impair the unenforceability of anyother provision of this Agreement.7(可分割性本协议任何约定被有管辖权的法院认定不合法、无效或无强制执行效力的，该规定则不生效，但该不合法和无强制效力性不得削弱本协议其它任何条款的强制执行效力。
