本合作合同旨在提高双方市场竞争力，共同创造双赢商机，为了维护甲乙方的合法权益，经双方协商一致，签订本合同。

The principle of this cooperation contract is to enhance market competitiveness of both parties, and to create favorable business opportunities . In order to protect the legitimate rights and interests of party A and party B, this contract is entered into by and between both parties through negotiation.

第一条合作内容

Article 1 contents of cooperation

1 为展示乙方具有足够意愿和能力维护本合同，在甲方交付机器前，乙方需先：

（1）向甲方下单购买，并在一个月内提取完毕至少50 吨彩涂卷。

（2）缴纳30000 比索押金，此押金1年后甲方若无违规现象予以退还。

1 To demonstrate Party B possesses adequate will and means to uphold the integrity of this contract ,prior to the delivering of the machine stated below, Party B must :

(1)Place and complete transaction of a purchasing order of 50 tons color steel coils with

Party A within a month.

(2)Make a refundable payment of 30,000 pesos as security deposit, the deposit will be

credited back to Party B after 12 months without any breaching of the contract.

2 乙方向甲方租用设备，机型为，编码/权属证明每月租金70000 元比索，于每月日前支付。

2 Party B rents certain equipment from party A, the model number is ______________,equipment series number is _______________ /ownership certificate ,The monthly rent is 70,000 Pesos per month, payable by_______ of each month.

3 乙方向甲方采购彩涂卷，每月购买吨数达到50 吨以上，乙方支付租金可以抵扣货款。

3 . Party B shall purchase color coated steel rolls from party A. When purchasing tonnage exceeds ____50____tons per month, the rental payment can be applied toward total purchase.

4 合作期限自年月日起至年月日止。

第二条双方权利义务

Article 2 rights and obligations of both parties

1 作为甲方的合作伙伴，乙方享有：

（1）具有市场竞争力的产品及价格。

（2）配合制作，提供市场营销物资

（3）不定期进行伙伴专属的特价促销。

1.As a preferred partner , Party B enjoys

(1)Competitive products and pricing directly from the factory

(2)Supporting in creating marketing material

(3)Access to partners exclusive special price promotions.

2 乙方只能在该地点使用设备：

2 , party B the equipment can only be used on the designated site

3 该设备仅为乙方加工甲方原材料使用，在租赁期内未征得甲方同意，不得擅自另作别用。

3 The equipment is only allowed to be used by party B to process party A's raw materials. During the lease term, party B shall not use the equipment for any other uses without party A's consent.

4 合作期间，设备的所有权仍归属甲方，乙方仅具有使用权。乙方使用过程中不得对设备进行灭失、变更和处理等有损设备安全的行为。如果在合作期间内，未经甲方书面同意，乙方将该设备转卖或者毁损，乙方应赔偿给甲方元。.

4 During the cooperation term, the ownership of the equipment shall remain with party A, and party B shall only have the right to use the equipment. Party B shall not destroy, alter or dispose the equipment which may cause damage to the equipment If party B resells or damages the equipment without party A's written consent during the cooperation period, party B shall pay party A _________ yuan as compensation.

5 合作期间，乙方应妥善保管该设备，尽必要的保养义务。设备的自然损耗和人为故障等影响正常使用时均由乙方自行维修。未经甲方同意，乙方不得对借用物进行改善、增设行为; .否则，甲方可要求乙方恢复原状、赔偿损失。

5 During the cooperation period, party B shall properly maintain the equipment and perform necessary maintenance obligations,Party B shall make necessary repair and maintenance so that the equipment stays in good operational condition . Without the consent of party A, party B shall not make any improvement or addition .Otherwise, party A may require party B to restore the equipment to the original condition and compensate for the loss.

6 合作期限届满之日，设备的所有权归乙方所有。

6 Upon expiration of the term of this cooperation agreement , the ownership of the equipment shall be transferred to party B

第三条解除条件

Article 3 termination

1、合作期间内，若乙方想单方解除本合同，需归还设备给甲方，以甲方出具书面的设备交接签收单为正式的凭据，才能证实设备已经交还甲方。

1.During the term of cooperation, if party B wish to unilaterally terminate this contract, it shall return the equipment to party A, and a written equipment handover receipt issued by party A shall be taken as the official evidence to prove that the equipment has been returned to party A 2、合作期间内，若乙方未向甲方购买彩钢卷，也拒不支付租金的，违约一个月甲方即可单方解除本合作合同，并要求乙方归还设备，支付使用期间的租金。

2.During the cooperation period, if party B fails to purchase colored steel coil from party A, and fails to pay the rent, party A has the right to unilaterally terminate the cooperation contract one month after the breach of contract and requires party B to return the equipment and pay the rent for the period the equipment was used.

3、因违约而产生的一切维权法律费用，由违约方承担。

3. The breaching party shall bear all legal expenses for safeguarding rights and interests arising out of the breach.

第四条其他事项

1、本合同一式两份，双方各执一份。自双方签字盖章后生效，本合同未尽事宜，经合同双
